The Provider shall execute the Services in accordance with the project timeline and milestone schedule set forth in Exhibit A. Any material modification, expansion, or reduction of the Scope of Services must be reduced to writing and executed by authorized representatives of both parties via a formal Change Order.

The Client or the Provider may terminate this Agreement, in whole or in part, at any time without cause upon providing thirty (30) calendar days’ prior written notice to the non-terminating party. Upon receipt of such notice, the Provider shall immediately cease all non-essential work and take all reasonable steps to mitigate costs. 3.3 Termination for Cause. Either party may terminate this Agreement immediately upon written notice if the other party materially breaches any term, covenant, or condition of this Agreement and fails to cure such material breach within fifteen (15) calendar days following receipt of written notice detailing the specific breach. 3.4 Effect of Termination. Upon termination of this Agreement for any reason:

Section 9: Governing Law & Jurisdiction

9.1 Choice of Law. This Agreement, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, enforced under, and construed in accordance with the internal laws of the State of [State/Jurisdiction], without regard to its conflict of laws principles. 9.2 Jurisdiction and Venue. Subject to Section 8, each party irrevocably and unconditionally submits to the exclusive personal jurisdiction of the state and federal courts located in [County] County, [State]`, for the purposes of enforcing any arbitration award or seeking equitable relief.

Section 10: Miscellaneous Provisions

10.1 Severability. This Agreement, including all exhibits, schedules, and attachments referenced herein, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous oral or written agreements, proposals, negotiations, and understandings between the parties. 10.3 Amendments and Waivers. No modification, amendment, or waiver of any provision of this Agreement shall be effective unless set forth in a written instrument executed by authorized representatives of both parties. No failure or delay by either party in exercising any right, power, or remedy under this Agreement shall operate as a waiver thereof. 10.4 Force Majeure. Neither party shall be liable or responsible to the other party for any failure or delay in fulfilling or performing any term of this Agreement when and to the extent such failure or delay is caused by acts of God, flood, fire, earthquake, explosion, war, terrorism, invasion, epidemic, pandemic, government orders, or other catastrophic events beyond the reasonable control of the impacted party (a "Force Majeure Event"). The impacted party shall give prompt written notice to the other party and use diligent efforts to resume performance. 10.5 Assignment. Neither party may assign, transfer, or delegate this Agreement or any of its rights or obligations hereunder, by operation of law or otherwise, without the prior written consent of the non-assigning party.
