NOW, THEREFORE, in consideration of the mutual covenants, promises, and valuable consideration set forth herein, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

Section 1: Scope of Services & Project Specification

1.1. Services Engagement. Provider shall furnish to Client the professional services, deliverables, project outputs, and milestones (collectively, the "Services") detailed in the Statement of Work attached hereto as Exhibit A and incorporated herein by this reference.
1.2. Project Parameters. Any modification, expansion, or reduction of the Services must be executed via a formal, written Change Order signed by authorized representatives of both Parties. Provider shall not be bound by any oral or informal directives that alter the core scope of work.
1.3. Client Cooperation. Client shall provide timely access to necessary data, personnel, technical infrastructure, and decision-making frameworks required for Provider to execute the Services. Delays caused by Client’s failure to provide requisite cooperation shall extend corresponding project timelines proportionally.

Section 2: Compensation & Payment Terms

2.1. Total Fee Structure. In consideration for the full and faithful performance of the Services, Client shall pay Provider the total sum of [Amount in USD] USD (the "Contract Price"), payable in accordance with the milestone schedule set forth in Exhibit A.
2.2. Invoicing & Terms. Provider shall issue invoices to Client upon the completion of designated project milestones or on a [Monthly/Bi-Weekly] recurring basis. All invoices are due and payable in full within thirty (30) days of the invoice date (Net 30) via wire transfer or ACH to the bank account designated by Provider.
2.3. Late Payment & Interest. Any undisputed invoice amount not received by Provider within thirty (30) days of the invoice date shall accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable law, calculated from the date such payment was due until paid in full.
2.4. Suspension of Services. If any undisputed invoice remains unpaid for more than fifteen (15) days past its due date, Provider reserves the right, upon written notice to Client, to suspend performance of the Services until all past-due balances and accrued interest are paid in full, without incurring any liability to Client for breach or project delay.

Section 3: Term & Termination

3.1. Term. This Agreement shall commence on the Effective Date and shall continue until the completion of the Services or until terminated in accordance with the provisions of this Section 3 (the "Term").
3.2. Termination for Convenience. Client or Provider may terminate this Agreement, in whole or in part, for any reason or no reason, by providing thirty (30) days prior written notice to the other Party. Upon such termination, Client shall pay Provider for all Services rendered, milestones achieved, and non-cancellable commitments incurred up to the effective date of termination.
3.3. Termination for Cause. Either Party may terminate this Agreement immediately upon written notice if the other Party: (a) materially breaches any provision of this Agreement and fails to cure such material breach within fifteen (15) days after receipt of written notice detailing the breach; or (b) files for bankruptcy, becomes insolvent, makes an assignment for the benefit of creditors, or has a receiver appointed over its assets.
3.4. Survival. The provisions of Sections 4, 5, 6, 7, 8, and 9 shall survive the expiration or termination of this Agreement indefinitely.

Section 4: Intellectual Property Ownership & Work Made for Hire

4.1. Client Materials. Client retains all right, title, and interest in and to all pre-existing data, trademarks, software, documentation, and proprietary materials provided by Client to Provider (collectively, "Client Materials"). Client grants Provider a limited, non-exclusive, royalty-free license to use the Client Materials solely as necessary to perform the Services.
4.2. Work Product. Subject to full and final payment of the Contract Price, all custom deliverables, code, designs, reports, and documentation specifically created by Provider for Client under this Agreement (collectively, the "Work Product") shall be deemed "work made for hire" under United States copyright law. To the extent that any Work Product does not qualify as a work made for hire, Provider hereby irrevocably assigns, transfers, and conveys to Client all right, title, and interest worldwide in and to such Work Product, including all intellectual property rights therein.
4.3. Provider Background IP. Notwithstanding anything to the contrary, Provider retains sole and exclusive ownership of all pre-existing tools, methodologies, software libraries, frameworks, templates, and general know-how utilized by Provider in performing the Services ("Provider Background IP"). Provider grants Client a perpetual, worldwide, non-exclusive, royalty-free license to use Provider Background IP solely to the extent incorporated into or necessary for the operational use of the Work Product.

Section 5: Mutual Confidentiality & Non-Disclosure

5.1. Definition of Confidential Information. "Confidential Information" means all non-public, proprietary, or commercial information disclosed by one Party ("Disclosing Party") to the other Party ("Receiving Party"), whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.
5.2. Obligations of Non-Disclosure. The Receiving Party shall: (a) protect the Disclosing Party's Confidential Information with the same degree of care it uses for its own confidential information, but no less than a reasonable standard of care; (b) not disclose such Confidential Information to any third party, except to its employees, legal counsel, and financial advisors who need to know such information and are bound by confidentiality obligations at least as restrictive as those herein; and (c) use such Confidential Information solely for the purpose of performing its obligations or exercising its rights under this Agreement.
5.3. Exclusions. Confidential Information shall not include information that: (a) is or becomes publicly known through no breach of the Receiving Party; (b) was already known to the Receiving Party prior to disclosure; (c) is independently developed by the Receiving Party without reference to the Disclosing Party's Confidential Information; or (d) is required to be disclosed by law or court order, provided the Receiving Party gives prompt written notice to the Disclosing Party.

Section 6: Representations & Warranties

6.1. Mutual Representations. Each Party represents and warrants that: (a) it is duly organized, validly existing, and in good standing under the laws of its jurisdiction of incorporation; (b) it has full power and authority to enter into this Agreement and perform its obligations hereunder; and (c) the execution and delivery of this Agreement have been duly authorized by all necessary corporate action.
6.2. Provider Performance Warranty. Provider warrants that the Services shall be performed in a professional, workmanlike manner, in accordance with generally accepted industry standards. Provider makes no other warranties, express or implied, including any implied warranties of merchantability or fitness for a particular purpose.

Section 7: Limitation of Liability & Indemnification

7.1. Limitation of Liability. EXCEPT FOR LIABILITY ARISING FROM BREACHES OF CONFIDENTIALITY (SECTION 5), INTELLECTUAL PROPERTY INFRINGEMENT, OR GROSS NEGLIGENCE/WILLFUL MISCONDUCT, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT.
7.2. Aggregate Liability Cap. PROVIDER'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, SHALL BE STRICTLY LIMITED TO THE TOTAL AMOUNT ACTUALLY PAID BY CLIENT TO PROVIDER UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO LIABILITY.
7.3. Client Indemnification. Client agrees to defend, indemnify, and hold harmless Provider, its officers, directors, employees, and agents from and against any third-party claims, liabilities, losses, damages, or costs (including reasonable attorneys' fees) arising out of or resulting from: (a) Client's breach of this Agreement; (b) Client Materials; or (c) Client's violation of applicable laws.

Section 8: Dispute Resolution & Arbitration

8.1. Good Faith Negotiation. In the event of any dispute, controversy, or claim arising out of or relating to this Agreement, the designated executive representatives of both Parties shall first attempt to resolve the matter through good-faith negotiations for a period of thirty (30) days.
8.2. Binding Arbitration. If the dispute is not resolved through negotiation, it shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The place of arbitration shall be [City, State]. The arbitration shall be conducted by a single arbitrator, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

This Agreement, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, enforced under, and construed in accordance with the internal laws of the State of [State], without regard to its conflict of laws principles.
9.2. Jurisdiction. Subject to Section 8, each Party irrevocably and unconditionally submits to the exclusive jurisdiction of the state and federal courts located in [County], [State], for any legal action, suit, or proceeding arising out of or relating to this Agreement.

Section 10: Miscellaneous

10.1. Severability. If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall remain in full force and effect.
10.2. Counterparts. This Agreement may be executed in multiple counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Delivery of an executed counterpart by electronic mail (PDF) or digital signature platform shall be equally effective as delivery of an original manual signature.
