INSTRUCTIONS FOR USE

• Completion: The Client must complete Sections 1, 2, and 3. The Freelancer must review and sign. Ensure all defined terms align with the specific Statement of Work (SOW).
• Filing/Retention: Both parties must retain a digitally signed or physical copy for a minimum of seven (7) years to satisfy BIR and potential labor audit requirements.
• Attachments: Mandatory attachments include a detailed Statement of Work (SOW), proof of Freelancer’s BIR Certificate of Registration (Form 2303), and valid government ID.

4. INDEPENDENT CONTRACTOR STATUS

The parties acknowledge that the Freelancer is an independent contractor, not an employee. No employer-employee relationship is created under this Agreement. The Freelancer is not entitled to benefits (SSS, PhilHealth, Pag-IBIG) from the Client unless otherwise mandated by law.

5. INTELLECTUAL PROPERTY

All work products, designs, code, or materials created under this Agreement shall be considered "work made for hire." Upon full payment, the Client shall hold exclusive ownership of all Intellectual Property rights.

6. CONFIDENTIALITY

The Freelancer agrees to hold all proprietary information disclosed by the Client in strict confidence and shall not disclose or use such information for any purpose outside the scope of this Agreement.

7. TERMINATION

Either party may terminate this agreement upon [__________] days’ written notice. In the event of early termination, the Freelancer shall be compensated for all work completed and accepted up to the effective date of termination.
