STEP-BY-STEP EXECUTION & FILING GUIDE
- Customization: Open the document in your preferred word processor. Use the "Find and Replace" function (Ctrl+H) to locate all bracketed
[...]fields and replace them with project-specific data. - Review: Ensure the "Scope of Services" in Exhibit A is granular. Vague scopes are the primary cause of litigation in IT services.
- Verify Authority: Confirm that the signatories for both the Provider and Client have the legal authority to bind their respective corporate entities (check Articles of Incorporation or Board Resolutions if dealing with large sums).
- Digital Execution: Upload the finalized PDF to a secure digital signing platform such as DocuSign, Adobe Sign, or HelloSign. Ensure the "Audit Trail" feature is enabled to capture IP addresses and timestamps for each signature.
- Record Retention: Save the executed document in a centralized, encrypted Contract Lifecycle Management (CLM) system or a secure corporate server. Retain a digital copy for at least seven (7) years post-termination to satisfy potential audit or statutory requirements.
