NOW, THEREFORE, in consideration of the mutual covenants, promises, and conditions set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

Section 1. Scope of Services & Project Deliverables

1.1 Engagement of Services. Client hereby retains Provider to perform the information technology services, software development, systems integration, and project deliverables set forth in Exhibit A (Statement of Work) attached hereto and incorporated herein by this reference (collectively, the "Services").

1.2 Project Milestones and Deliverables. Provider shall deliver the software code, technical documentation, system architectures, and functional prototypes (the "Deliverables") in accordance with the milestone schedule and specifications detailed in Exhibit A. All Deliverables shall be subjected to rigorous quality assurance testing prior to presentation to Client.

1.3 Client Cooperation. Client shall provide timely access, cooperation, information, data, hardware, software licenses, and personnel necessary for Provider to perform the Services. Any delay by Client in fulfilling its obligations hereunder shall extend the project timeline and delivery dates on a day-for-day basis.

Section 2. Compensation & Payment Terms

2.1 Project Fee. In consideration for the full and faithful performance of the Services and the delivery of the Deliverables, Client shall pay Provider the total fixed fee of $[Amount in USD] (the "Project Fee"), payable in accordance with the milestone payment schedule set forth in Exhibit B. Alternatively, if performed on a time-and-materials basis, rates shall be billed as specified in Exhibit B.

2.2 Invoicing and Payment Schedule. Provider shall issue invoices to Client upon the completion and acceptance of each project milestone as outlined in Exhibit B. Client shall remit payment in full via wire transfer, ACH, or check within thirty (30) calendar days of the receipt of an undisputed invoice.

2.3 Late Payments and Interest. Any undisputed amounts not paid when due shall accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable law, calculated from the date such payment was due until the date paid in full. Provider reserves the right to suspend performance of Services and withhold the delivery of any Deliverables if any invoice remains unpaid thirty (30) days past its due date.

2.4 Expenses. Client shall reimburse Provider for all pre-approved, out-of-pocket operational expenses reasonably incurred in the performance of the Services, including third-party cloud hosting fees, specialized software licenses, and hardware components, subject to presentation of valid receipts.

Section 3. Term & Termination

3.1 Term. This Agreement shall commence on the Effective Date and shall continue in full force and effect until the completion of the Services and final delivery of all Deliverables, or until terminated earlier in accordance with the provisions of this Section 3 (the "Term").

3.2 Termination for Convenience. Client or Provider may terminate this Agreement, in whole or in part, at any time for any reason or no reason, by providing thirty (30) calendar days' prior written notice to the other Party. Upon such termination, Client shall pay Provider for all Services performed and expenses incurred up to the effective date of termination, calculated on a pro-rata basis.

3.3 Termination for Cause. Either Party may terminate this Agreement immediately upon written notice if the other Party: (a) materially breaches any provision of this Agreement and fails to cure such material breach within thirty (30) calendar days after receipt of written notice detailing the breach; (b) becomes insolvent, files a petition in bankruptcy, makes an assignment for the benefit of creditors; or (c) has a receiver, trustee, or similar officer appointed for its property or assets.

3.4 Effect of Termination. Upon termination of this Agreement for any reason, Provider shall immediately cease all work, and Client shall immediately pay Provider all accrued, unpaid fees for Services rendered up to the date of termination. Provisions regarding Intellectual Property, Confidentiality, Limitation of Liability, and Governing Law shall survive any expiration or termination of this Agreement.

4.1 Pre-Existing Intellectual Property. Each Party shall retain exclusive ownership of all right, title, and interest in and to its pre-existing intellectual property, tools, methodologies, software frameworks, and trade secrets developed prior to or independently of this Agreement ("Pre-Existing IP"). Provider grants Client a non-exclusive, worldwide, royalty-free license to use Provider's Pre-Existing IP solely to the extent necessary to operate and utilize the final Deliverables.

4.2 Assignment of Work Product. Subject to full payment of the Project Fee, Provider agrees that all custom software code, databases, interface designs, documentation, and specific technical inventions created by Provider specifically for Client under this Agreement (collectively, the "Work Product") shall be deemed a "work made for hire" under United States copyright law. To the extent that any Work Product does not qualify as a work made for hire, Provider hereby irrevocably assigns, transfers, and conveys to Client all worldwide right, title, and interest in and to such Work Product, including all copyrights, patents, trade secrets, and trademark rights.

4.3 Academic Retention Rights. 5.2 Obligations of Non-Disclosure. The Receiving Party shall: (a) protect the Disclosing Party's Confidential Information with the same degree of care it uses for its own confidential information, but not less than a reasonable degree of care; (b) not disclose such Confidential Information to any third party, except to its employees, agents, or contractors who need to know such information and are bound by confidentiality obligations at least as restrictive as those herein; and (c) use such Confidential Information solely for the purpose of performing its obligations or exercising its rights under this Agreement.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7.2 Aggregate Liability Cap. PROVIDER'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT, UNDER ANY LEGAL THEORY (WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), SHALL BE STRICTLY LIMITED TO THE TOTAL PROJECT FEE ACTUALLY PAID BY CLIENT TO PROVIDER UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9.2 Consent to Jurisdiction. Subject to Section 8, each Party irrevocably and unconditionally submits to the exclusive jurisdiction of the state and federal courts located within [County County, State] for any legal action, suit, or proceeding arising out of or relating to this Agreement.

Section 10. Miscellaneous Provisions

10.1 Severability. If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of this Agreement shall remain in full force and effect.
