3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

Section 1. Scope of Services & Project Plan

1.1 Scope of Work. Provider shall perform the professional services, deliver the deliverables, and execute the project phases as detailed in the Statement of Work ("SOW") attached hereto as Exhibit A and incorporated herein by reference (collectively, the "Services"). 1.2 Project Management & Changes. Any material modification, expansion, or reduction of the Services set forth in Exhibit A must be executed via a formal, written Change Order signed by authorized representatives of both Parties (a "Change Order"). Provider shall not be obligated to perform any out-of-scope work without an executed Change Order detailing the corresponding adjustment to fees, timelines, and resource allocation. 1.3 Client Cooperation. Client shall promptly provide Provider with all necessary access, information, documentation, and personnel required for the successful and timely execution of the Services. Delays caused by Client’s failure to provide such cooperation shall extend project timelines proportionately.

Section 2. Compensation & Payment Terms

2.1 Fee Structure. In consideration for the performance of the Services, Client shall pay Provider the fees set forth in Exhibit A, totaling [Amount in USD] (the "Contract Price"), payable in accordance with the milestone schedule or invoicing frequency specified therein. 2.2 Invoicing and Payment. Provider shall issue invoices to Client on a [monthly / milestone / project-completion] basis. Client shall pay all undisputed invoices within [Number, e.g., 30] calendar days of receipt (the "Due Date"). All payments shall be made in United States Dollars via wire transfer, ACH, or check to the account designated by Provider. 2.3 Late Payments & Interest. Any undisputed amount not paid by Client when due shall accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable law, calculated from the date due until the date paid in full. Provider reserves the right to suspend the performance of Services upon ten (10) days' written notice if any invoice remains unpaid past the Due Date. 2.4 Taxes. The fees set forth herein are exclusive of all sales, use, value-added, excise, and other governmental taxes, duties, and tariffs. Client shall be solely responsible for all such taxes, excluding taxes levied upon Provider’s net income.

Section 3. Term & Termination

3.1 Term. This Agreement shall commence on the Effective Date and shall continue in full force and effect until the completion of the Services or until terminated in accordance with this Section 3 (the "Term"). 3.2 Termination for Convenience. Client or Provider may terminate this Agreement, in whole or in part, for any reason or no reason, upon providing thirty (30) days' prior written notice to the other Party. Upon such termination, Client shall pay Provider for all Services performed and expenses incurred up to the effective date of termination, plus any non-cancellable commitments reasonably incurred by Provider. 3.3 Termination for Cause. Either Party may terminate this Agreement effective immediately upon written notice if the other Party: (a) materially breaches any provision of this Agreement and fails to cure such material breach within thirty (30) days after receipt of written notice detailing the breach; (b) becomes insolvent, files a petition for bankruptcy, makes an assignment for the benefit of creditors; or (c) has a receiver, trustee, or similar officer appointed for its property or assets. 3.4 Survival. Termination or expiration of this Agreement shall not affect any rights or obligations that have accrued prior to termination, including payment obligations, nor shall it affect any provisions that expressly or by their nature survive termination (including Sections 4, 5, 7, 8, 9, and 10).

Section 4. Intellectual Property Ownership & Work Made for Hire

4.1 Pre-Existing Intellectual Property. Each Party retains all right, title, and interest in and to its respective pre-existing intellectual property, tools, methodologies, software, and proprietary materials developed independently of this Agreement ("Pre-Existing IP"). Provider grants Client a perpetual, non-exclusive, royalty-free, worldwide license to use Provider's Pre-Existing IP solely to the extent incorporated into or necessary for the use of the Deliverables. 4.2 Work Product & Deliverables. Subject to full payment of all fees due under this Agreement, all custom deliverables, reports, software code, designs, and documentation created specifically for Client pursuant to Exhibit A (collectively, the "Work Product") shall be deemed "works made for hire" under the copyright laws of the United States. To the extent that any Work Product does not qualify as a work made for hire, Provider hereby irrevocably assigns, transfers, and conveys to Client all right, title, and interest worldwide in and to such Work Product, including all intellectual property rights therein. 4.3 Provider Tools. Notwithstanding Section 4.2, Provider retains sole ownership of all generic frameworks, routines, development tools, templates, and know-how used by Provider in the performance of the Services.

Section 5. Mutual Confidentiality & Non-Disclosure

5.1 Definition of Confidential Information. "Confidential Information" means any proprietary, non-public information disclosed by one Party ("Disclosing Party") to the other Party ("Receiving Party") under this Agreement, whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, including business plans, financial data, customer lists, source code, and trade secrets. 5.2 Obligations of Confidentiality. The Receiving Party shall: (a) protect the Disclosing Party's Confidential Information with the same degree of care it uses for its own confidential information, but no less than a reasonable degree of care; (b) not disclose such Confidential Information to any third party, except to its directors, officers, employees, and legal/financial advisors who have a need to know and are bound by confidentiality obligations at least as restrictive as those herein; and (c) use such Confidential Information solely for the purpose of performing its obligations or exercising its rights under this Agreement. 5.3 Exclusions. Confidential Information does not include information that: (a) is or becomes generally known to the public without breach of this Agreement; (b) was known to the Receiving Party prior to disclosure without confidentiality restrictions; (c) is independently developed by the Receiving Party without reference to or use of the Disclosing Party's Confidential Information; or (d) is rightfully received from a third party without duty of confidentiality.

Section 6. Representations & Warranties

6.1 Provider Warranties. Provider represents and warrants that: (a) it has the full power and authority to enter into this Agreement and perform its obligations hereunder; (b) the Services will be performed in a professional, workmanlike manner in accordance with industry standards; and (c) the Work Product will not knowingly infringe, misappropriate, or violate any third-party copyright, patent, trademark, or trade secret. 6.2 Client Warranties. Client represents and warrants that: (a) it has the full power and authority to enter into this Agreement; (b) it owns or has obtained all necessary rights, licenses, and permissions to provide materials, data, and information to Provider for use in connection with the Services; and (c) its provision and use of such materials will not violate any applicable laws or third-party rights. 6.3 Disclaimer. EXCEPT AS EXPRESSLY SET FORTH IN THIS SECTION 6, NEITHER PARTY MAKES ANY WARRANTIES, EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Section 7. Limitation of Liability & Indemnification

7.1 Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 7.2 Cap on Liability. PROVIDER’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT, UNDER ANY LEGAL OR EQUITABLE THEORY, INCLUDING BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, SHALL UNDER NO CIRCUMSTANCES EXCEED THE TOTAL AMOUNT PAID BY CLIENT TO PROVIDER UNDER THIS AGREEMENT IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. 7.3 Indemnification by Provider. Provider shall defend, indemnify, and hold harmless Client, its officers, directors, employees, and agents from and against any third-party claims, liabilities, losses, damages, and reasonable expenses (including attorney's fees) arising out of or resulting from: (a) Provider’s gross negligence or willful misconduct; or (b) any allegation that the Deliverables infringe or misappropriate any valid third-party intellectual property right. 7.4 Indemnification by Client. Client shall defend, indemnify, and hold harmless Provider, its officers, directors, employees, and agents from and against any third-party claims, liabilities, losses, damages, and reasonable expenses (including attorney's fees) arising out of or resulting from: (a) Client’s gross negligence or willful misconduct; or (b) Client’s materials, data, or specifications infringing or violating any third-party rights or applicable laws.

Section 8. Dispute Resolution & Arbitration

8.1 Negotiation. In the event of any dispute, controversy, or claim arising out of or relating to this Agreement, the Parties shall first attempt in good faith to resolve the matter through senior management negotiations within thirty (30) days of written notice of the dispute by either Party. 8.2 Binding Arbitration. If the dispute is not resolved pursuant to Section 8.1, the dispute shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The place of arbitration shall be [City, State]. The arbitration shall be conducted by a single neutral arbitrator. The award rendered by the arbitrator shall be final and binding, and judgment upon the award may be entered in any court having jurisdiction thereof. The prevailing party in any such arbitration shall be entitled to recover its reasonable attorney's fees and costs.

Section 9. Governing Law & Jurisdiction

9.1 Governing Law. This Agreement, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, enforced under, and construed in accordance with the internal laws of the State of [State/Country], without giving effect to any choice or conflict of law provision or rule. 9.2 Jurisdiction. Subject to Section 8, each Party irrevocably and unconditionally submits to the exclusive jurisdiction of the state and federal courts located in [County, State], for any legal action, suit, or proceeding arising out of or relating to this Agreement.

Section 10. Miscellaneous

10.1 Severability. If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of this Agreement shall remain in full force and effect. 10.2 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Delivery of an executed counterpart of a signature page by electronic transmission (PDF or electronic signature platform) shall be effective as manual delivery. 10.3 Entire Agreement. This Agreement, together with Exhibit A and any duly executed Change Orders, constitutes the sole and entire agreement of the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral. 10.4 Force Majeure. Neither Party shall be liable for any failure or delay in performance under this Agreement (excluding payment obligations) resulting from acts beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, utility failures, or governmental restrictions (each a "Force Majeure Event"), provided that the affected Party uses reasonable efforts to mitigate the effects of such failure. 10.5 Assignment. Neither Party may assign, transfer, or delegate this Agreement or any of its rights or obligations hereunder, by operation of law or otherwise, without the prior written consent of the other Party; provided, however, that either Party may assign this Agreement without consent to a successor in interest by way of merger, acquisition, or sale of substantially all of its assets. 10.6 Independent Contractors.
