3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

SECTION 1: SCOPE OF SERVICES & PROJECT PROPOSAL

1.1 Scope of Work. Provider shall furnish all necessary labor, supervision, materials, software, hardware, and expertise required to complete the project detailed in Exhibit A (Statement of Work & Project Specifications) attached hereto and incorporated herein by reference (the "Services"). 1.2 Project Milestones. The Services shall be executed in accordance with the timeline, deliverables, and milestone benchmarks set forth in Exhibit A. Provider shall use commercially reasonable efforts to meet all established deadlines; however, any adjustment to the timeline must be authorized via a formal, written Change Order executed by both parties. 1.3 Client Cooperation. Client shall provide timely access to necessary facilities, IT infrastructure, administrative personnel, and decision-makers as reasonably required by Provider to perform the Services. Delays caused by Client's failure to provide required access or information shall extend Provider's deadlines on a day-for-day basis.

SECTION 2: COMPENSATION & PAYMENT TERMS

2.1 Total Compensation. As full and complete compensation for the Services rendered under this Agreement, Client shall pay Provider the total sum of [Amount in USD] USD (the "Contract Price"), payable in accordance with the milestone payment schedule set forth in Exhibit B (Fee Schedule & Milestone Invoicing). 2.2 Invoicing. Provider shall submit formal, itemized invoices to Client upon the completion and acceptance of each project milestone or on a monthly recurring basis as specified in Exhibit B. 2.3 Payment Due Date. All undisputed invoices shall be due and payable by Client within thirty (30) calendar days of the invoice receipt date (Net 30). Payments shall be remitted via wire transfer, ACH, or check to the designated banking coordinates provided by Provider. 2.4 Late Payments & Interest. Any undisputed amount not paid when due shall accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable state law, calculated from the date due until paid in full. Provider reserves the right to suspend Services upon ten (10) business days' written notice for any account remaining past due. 2.5 Taxes. The Contract Price is exclusive of all applicable federal, state, and local sales, use, excise, and value-added taxes. Client shall be solely responsible for the payment of all such taxes associated with this Agreement, provided that Client is not exempt under applicable law and provides a valid tax-exemption certificate upon execution hereof.

SECTION 3: TERM & TERMINATION

3.1 Term. This Agreement shall commence on the Effective Date and shall continue in full force and effect until the Services are fully completed and accepted by Client, or until terminated earlier in accordance with the provisions of this Section 3 (the "Term"). 3.2 Termination for Convenience. Client or Provider may terminate this Agreement, in whole or in part, for any reason or no reason, by providing sixty (60) calendar days' prior written notice to the non-terminating party. Upon termination for convenience, Client shall pay Provider for all Services performed and reimbursable expenses incurred up to the effective date of termination, plus any non-cancellable commitments incurred by Provider. 3.3 Termination for Cause (Breach). Either party may terminate this Agreement immediately upon written notice if the other party materially breaches any of its representations, warranties, or material obligations hereunder, and fails to cure such material breach within thirty (30) calendar days following receipt of written notice specifying the exact nature of the breach. 3.4 Effect of Termination. Upon expiration or termination of this Agreement for any reason, Provider shall immediately cease performance of the Services, and each party shall return or securely destroy all Confidential Information of the other party in its possession. Client shall remit final payment to Provider for all compliant Services rendered through the effective date of termination within thirty (30) days of invoice presentation.

SECTION 4: INTELLECTUAL PROPERTY OWNERSHIP & WORK MADE FOR HIRE

4.1 Pre-Existing Intellectual Property. Each party shall retain exclusive ownership of all patents, copyrights, trademarks, trade secrets, and proprietary methodologies owned or developed by such party prior to the Effective Date or independently of this Agreement ("Pre-Existing IP"). 4.2 Work Made for Hire. To the maximum extent permitted by applicable law, all custom deliverables, documentation, software code, educational materials, and derivative works specifically created by Provider for Client under this Agreement (collectively, the "Work Product") shall be deemed a "work made for hire" for Client. 4.3 Assignment of Rights. To the extent that any Work Product does not qualify as a work made for hire under applicable law, Provider hereby irrevocably assigns, transfers, and conveys to Client all right, title, and interest worldwide in and to such Work Product, including all intellectual property rights therein, upon receipt of full payment of the Contract Price. 4.4 Provider License to Pre-Existing IP. To the extent that any Work Product incorporates any of Provider's Pre-Existing IP, Provider hereby grants to Client a perpetual, irrevocable, non-exclusive, royalty-free, worldwide license to use, execute, reproduce, and display such Pre-Existing IP solely as embedded within and necessary for the operational utilization of the Work Product.

SECTION 5: MUTUAL CONFIDENTIALITY & NON-DISCLOSURE

5.1 Definition of Confidential Information. "Confidential Information" means all non-public, proprietary, or confidential information disclosed by one party (the "Disclosing Party") to the other party (the "Receiving Party"), whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential, including student records, educational data, financial information, technical specifications, and business operations. Specifically, both parties agree to strictly comply with the Family Educational Rights and Privacy Act (FERPA) and associated state student data privacy laws. 5.2 Obligations of Confidentiality. The Receiving Party shall protect the Disclosing Party's Confidential Information with the same degree of care it uses for its own confidential information (but not less than a reasonable standard of care), and shall not disclose such Confidential Information to any third party, except to its employees, legal counsel, and contractors who have a strict need to know and are bound by confidentiality obligations at least as restrictive as those herein. 5.3 Exclusions. Confidential Information shall not include information that: (a) is or becomes generally known to the public through no breach of the Receiving Party; (b) was already known to the Receiving Party prior to disclosure without confidentiality restrictions; (c) is independently developed by the Receiving Party without reference to or use of Disclosing Party's Confidential Information; or (d) is required to be disclosed by law, court order, or governmental agency, provided the Receiving Party gives prompt written notice to the Disclosing Party.

EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, NEITHER PARTY MAKES ANY OTHER WARRANTIES, EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

SECTION 7: LIMITATION OF LIABILITY & INDEMNIFICATION

7.1 Limitation of Liability. EXCEPT FOR BREACHES OF CONFIDENTIALITY, INTELLECTUAL PROPERTY INFRINGEMENT, OR GROSS NEGLIGENCE/WILLFUL MISCONDUCT, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR EDUCATIONAL STANDINGS, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, REGARDLESS OF THE THEORY OF LIABILITY. 7.2 Cap on Liability. EXCEPT FOR INDEMNIFICATION OBLIGATIONS UNDER SECTION 7.3, EACH PARTY’S TOTAL AGGREGATE LIABILITY ARISING UNDER OR RELATED TO THIS AGREEMENT SHALL BE STRICTLY LIMITED TO THE TOTAL CONTRACT PRICE ACTUALLY PAID OR PAYABLE BY CLIENT TO PROVIDER UNDER THIS AGREEMENT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. 7.3 Indemnification by Provider. Provider shall defend, indemnify, and hold harmless Client, its officers, school board members, employees, and agents from and against any third-party claims, liabilities, losses, damages, judgments, and reasonable expenses (including attorney's fees) arising out of or resulting from: (a) Provider's gross negligence or willful misconduct; or (b) any allegation that the Work Product infringes or misappropriates any valid third-party intellectual property right. 7.4 Indemnification by Client. To the extent permitted by applicable state law, Client shall defend, indemnify, and hold harmless Provider, its officers, directors, employees, and agents from and against any third-party claims, liabilities, losses, damages, judgments, and reasonable expenses arising out of: (a) Client's material breach of this Agreement; or (b) unauthorized use, modification, or deployment of the Work Product by Client or its affiliates.

SECTION 8: DISPUTE RESOLUTION & ARBITRATION

8.1 Good Faith Negotiations. In the event of any dispute, controversy, or claim arising out of or relating to this Agreement, the designated representatives of both parties shall first attempt to resolve the matter amicably through good-faith negotiations for a period of thirty (30) calendar days. 8.2 Binding Arbitration. If the dispute cannot be resolved through negotiation, the controversy shall be settled by final and binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted by a single neutral arbitrator in [City, State]. The arbitrator's award shall be final, and judgment upon the award rendered may be entered in any court having competent jurisdiction. 8.3 Injunctive Relief. Notwithstanding the foregoing, either party may seek emergency injunctive relief or equitable remedies in a court of competent jurisdiction to protect its intellectual property rights or confidential information without waiving its right to arbitration.

SECTION 9: GOVERNING LAW & JURISDICTION

9.1 Governing Law. This Agreement, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, enforced under, and construed in accordance with the internal laws of the State of [State / Province], without regard to its conflict of laws principles. 9.2 Jurisdiction. Subject to Section 8, each party irrevocably and unconditionally submits to the exclusive jurisdiction of the state and federal courts located in [County], [State], for any legal action, suit, or proceeding arising out of or relating to this Agreement.

SECTION 10: MISCELLANEOUS PROVISIONS

10.1 Severability. If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall remain in full force and effect. 10.2 Entire Agreement. This Agreement, including all exhibits, schedules, and attachments hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof, and supersedes all prior and contemporaneous negotiations, understandings, proposals, and agreements, whether written or oral. 10.3 Amendments & Waivers. No modification, amendment, or waiver of any provision of this Agreement shall be effective unless set forth in a written instrument signed by an authorized representative of each party. No failure or delay by either party in exercising any right, power, or privilege hereunder shall operate as a waiver thereof. 10.4 Force Majeure. Neither party shall be liable for any failure or delay in performing its obligations under this Agreement if such failure or delay is caused by acts of God, natural disasters, epidemics, pandemics, government restrictions, war, terrorism, civil unrest, labor strikes, power failures, or other causes beyond the reasonable control of the affected party (a "Force Majeure Event"), provided that the affected party gives prompt written notice and uses diligent efforts to resume performance. 10.5 Assignment. Neither party may assign, transfer, or delegate this Agreement or any of its rights or obligations hereunder, by operation of law or otherwise, without the prior written consent of the other party; provided, however, that Provider may assign this Agreement to an affiliate or in connection with a merger, acquisition, or sale of substantially all of its assets. 10.6 Counterparts & Electronic Signatures. This Agreement may be executed in multiple counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
