Each Change Order shall explicitly detail the adjustments to project scope, timeline, and compensation. Provider shall not be obligated to perform any modified or additional services without an executed Change Order. 1.3 Client Cooperation. Client shall provide timely access to necessary personnel, systems, data, facilities, and decisions required for Provider to perform the Services. Client acknowledges that any delays caused by Client’s failure to provide such cooperation shall automatically extend project timelines and milestones proportionately without penalty or liability to Provider.
SECTION 2: COMPENSATION & PAYMENT TERMS
2.1 Fee Structure. In consideration for the performance of the Services, Client shall pay Provider the total sum of [Amount in USD] USD, payable in accordance with the milestone schedule set forth in Exhibit A, or on a time-and-materials basis as specified therein.
2.2 Invoicing & Payment Schedule. Provider shall issue invoices to Client upon the completion of designated project milestones or on a monthly calendar basis. All invoices are due and payable within [Number, e.g., Thirty (30)] calendar days from the date of receipt of the invoice (the "Due Date"). Payments shall be made via wire transfer, ACH, or check in United States Dollars to the bank account designated by Provider in writing.
2.3 Late Payments & Interest. Any undisputed amount not paid by Client when due shall accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable law, calculated from the Due Date until the date of actual payment in full.
2.4 Suspension of Services. If any invoice remains unpaid thirty (30) days past its Due Date, Provider reserves the right, upon written notice to Client, to suspend the performance of any and all Services until all outstanding balances and accrued interest are paid in full. Provider shall not be liable for any claims, losses, or damages arising out of or resulting from such suspension.
2.5 Taxes. All fees and compensation set forth in this Agreement are exclusive of all applicable federal, state, local, and foreign sales, use, value-added, excise, and similar taxes. Client shall be solely responsible for the payment of all such taxes, excluding taxes based solely upon Provider’s net income.

4.1 Pre-Existing Intellectual Property. Each Party retains all right, title, and interest in and to its respective pre-existing intellectual property, proprietary tools, frameworks, methodologies, software, and trade secrets developed prior to or independently of this Agreement ("Pre-Existing IP"). If the Receiving Party is legally compelled by subpoena, court order, or regulatory agency to disclose Confidential Information, it shall, to the extent legally permissible, provide prompt written notice to the Disclosing Party so that the Disclosing Party may seek a protective order or other appropriate remedy.

SECTION 7: LIMITATION OF LIABILITY & INDEMNIFICATION
7.1 Limitation of Liability. EXCEPT FOR BREACHES OF CONFIDENTIALITY (SECTION 5), INTELLECTUAL PROPERTY INFRINGEMENT, OR WILLFUL MISCONDUCT, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 7.2 Cap on Liability. PROVIDER’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT, UNDER ANY LEGAL THEORY, SHALL BE STRICTLY LIMITED TO THE TOTAL FEES ACTUALLY PAID BY CLIENT TO PROVIDER UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO LIABILITY. 7.3 Indemnification by Provider. Provider shall defend, indemnify, and hold harmless Client, its officers, directors, employees, and agents from and against any third-party claims, liabilities, losses, damages, judgments, and reasonable expenses (including attorney's fees) arising out of or resulting from: (a) Provider’s gross negligence or willful misconduct; or (b) any allegation that the Work Product infringes or misappropriates any valid United States copyright, patent, or trade secret of a third party. 7.4 Indemnification by Client. SECTION 8: DISPUTE RESOLUTION & ARBITRATION
8.1 Negotiation in Good Faith. 8.2 Binding Arbitration. If the dispute cannot be resolved through good-faith negotiations within thirty (30) days, the dispute shall be submitted to final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The place of arbitration shall be [City, State]. The arbitration shall be conducted by a single neutral arbitrator. The award rendered by the arbitrator shall be final and binding, and judgment upon the award may be entered in any court having jurisdiction thereof.
8.3 Injunctive Relief. Notwithstanding anything to the contrary, either Party may seek temporary, preliminary, or permanent injunctive relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information without first engaging in arbitration.
SECTION 9: GOVERNING LAW & JURISDICTION
9.1 Governing Law. This Agreement, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, enforced under, and construed in accordance with the internal laws of the State of [State / Province], without regard to its conflict of law principles.

SECTION 10: MISCELLANEOUS
10.1 Severability. This Agreement, including any Exhibits, Statements of Work, and Change Orders attached hereto, constitutes the entire agreement between the Parties concerning the subject matter hereof and supersedes all prior and contemporaneous oral or written understandings, negotiations, and agreements between the Parties. 10.3 Amendments & Waivers. No amendment, modification, or waiver of any provision of this Agreement shall be effective unless it is in writing and signed by an authorized representative of both Parties. The failure of either Party to enforce any right or provision of this Agreement shall not constitute a waiver of future enforcement of that or any other right or provision. 10.4 Force Majeure. Neither Party shall be liable for any failure or delay in performance under this Agreement (other than for the payment of money) to the extent such failure or delay is caused by acts of God, natural disasters, war, civil unrest, terrorism, labor strikes, utility failures, pandemics, or any other cause beyond the reasonable control of the affected Party. 10.5 Counterparts & Electronic Signatures. This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
