  2. Revocation: The Principal may revoke this Special Power of Attorney at any time, with or without cause, by delivering written notice of revocation to the Attorney-in-Fact. Such revocation shall be effective upon receipt or upon such future date as may be specified in the notice, provided that any third party (including the Tender Issuer) that relies in good faith upon this instrument prior to receiving actual written notice of revocation shall be fully protected.

SECTION 6: INDEMNIFICATION OF ATTORNEY-IN-FACT

The Principal agrees to indemnify, defend, and hold harmless the Attorney-in-Fact from and against any and all claims, liabilities, losses, damages, costs, or expenses (including reasonable legal fees and disbursements) arising out of or in connection with any act performed or omitted by the Attorney-in-Fact in good faith and strictly within the scope of the authority granted under this Special Power of Attorney, excepting only those acts resulting from the willful misconduct or gross negligence of the Attorney-in-Fact.

5. STEP-BY-STEP EXECUTION & FILING GUIDE

  1. Document Review and Customization: Open the template in Microsoft Word or Google Docs. Locate all bracketed text fields (e.g., [Company Full Legal Name], [Principal Address], [Amount in USD]) and replace them with accurate, verified legal data. Do not leave any bracketed placeholders uncompleted.
  2. Corporate Authorization Check: Verify that the person signing as "The Principal" (e.g., CEO, Director) possesses the corporate authority under the company’s Bylaws, Articles of Incorporation, or Board Resolution to delegate authority to the Attorney-in-Fact for the specific Tender. It is highly recommended to attach a certified copy of the Corporate Board Resolution authorizing this Power of Attorney.
  3. Execution & Witnessing / Notarization: The Principal's authorized signatory and the Attorney-in-Fact must sign the document in the presence of a licensed Notary Public or Commissioner of Oaths, depending on the jurisdiction where the tender is being submitted. Ensure the Notary Public affixes their official seal or stamp.
  4. Digital Signature Compliance: If utilizing digital execution platforms (e.g., DocuSign, Adobe Sign), ensure that the audit trail captures IP addresses, timestamps, and multi-factor authentication if required by the Tender Issuer. Note that certain procurement authorities strictly require wet-ink signatures and physical notarization/apostille; verify Tender Issuer instructions prior to digital execution.
  5. Submission and Record Retention: Include the fully executed, notarized original (or a certified true copy, as demanded by the procurement guidelines) directly within the administrative envelope of the Tender submission. Retain an electronic and physical copy in the corporate legal repository for a minimum of [Insert Retention Period, e.g., 7 years] post-tender completion.
