Provider warrants that all Services shall be performed by appropriately qualified, credentialed, licensed, and experienced personnel in accordance with highest professional standards prevailing in the healthcare industry, and in strict compliance with all applicable federal, state, and local laws, regulations, and accreditation standards (including The Joint Commission, CMS, and HIPAA). 1.3 Change Orders. Any material modification, expansion, or reduction of the Services set forth in Exhibit A shall require a written Change Order executed by the authorized representatives of both Parties. The Change Order shall detail the adjustment to the project timeline, deliverables, and fees resulting from such modification. Provider shall not be obligated to perform any modified or additional services without a fully executed Change Order. 1.4 Client Responsibilities. Client shall timely provide Provider with all necessary access, facilities, data, documentation, and qualified personnel required for Provider to perform the Services. Client acknowledges that Provider’s successful and timely completion of the Services is dependent upon Client’s prompt cooperation and fulfillment of its responsibilities.
2. Compensation & Payment Terms
2.1 Project Fees. Client shall pay Provider for the Services in accordance with the fee schedule and milestone payment structure set forth in Exhibit B. The total fixed fee for the Project shall not exceed [Amount in USD] (USD [Written Amount]), absent an approved Change Order.
2.2 Invoicing. Provider shall submit itemized invoices to Client on a [Monthly / Milestone] basis for Services rendered and reimbursable expenses incurred. Each invoice shall include reasonable documentation verifying the milestones achieved or hours expended.
2.3 Payment Terms. All undisputed invoice amounts shall be due and payable within [Thirty (30)] calendar days from the receipt date of the invoice (Net [30]). Payments shall be remitted via wire transfer, electronic ACH, or check to the designated bank account provided by Provider.
2.4 Late Interest & Penalties. Any undisputed amounts not paid when due shall accrue late interest at the rate of one and one-half percent (1.5%) per month, or the maximum rate permitted by applicable state usury law, whichever is lower, calculated from the date due until paid in full. Furthermore, Provider reserves the right to suspend performance of the Services upon ten (10) business days’ written notice if any invoice remains unpaid past thirty (30) days from its due date.
2.5 Disputed Invoices. If Client disputes any portion of an invoice in good faith, Client shall pay the undisputed portion and notify Provider in writing of the specific dispute within fifteen (15) days of invoice receipt, detailing the basis of the dispute. Upon receipt of such notice, Provider shall immediately cease all non-essential Services and mitigate ongoing costs.
3.3 Termination for Cause. Either Party may terminate this Agreement immediately upon written notice if the other Party: (a) materially breaches any provision of this Agreement and fails to cure such material breach within [Fifteen (15)] calendar days after receipt of written notice detailing the breach; (b) becomes insolvent, makes an assignment for the benefit of creditors, or files for bankruptcy protection; or (c) loses any professional license, accreditation, or credential required by law to perform its obligations hereunder.
3.4 Effect of Termination. Upon termination of this Agreement for any reason: (a) Client shall promptly pay Provider for all Services satisfactorily rendered and reimbursable expenses incurred up to and including the effective date of termination; (b) each Party shall return or securely destroy all Confidential Information of the other Party in accordance with Section 6; and (c) sections intended to survive by their nature (including IP, Confidentiality, Indemnification, and Limitation of Liability) shall survive indefinitely.

4.1 Pre-Existing Intellectual Property. Each Party retains exclusive ownership of all patents, copyrights, trademarks, trade secrets, and proprietary methodologies owned or developed by such Party prior to the Effective Date or independently of this Agreement ("Pre-Existing IP"). The Parties shall execute a separate, compliant Business Associate Agreement (BAA) attached hereto as Exhibit C prior to the exchange of any PHI. The terms of the BAA are incorporated herein by reference. 5.2 Compliance with Anti-Kickback & Stark Laws. The Parties acknowledge and agree that the compensation and terms set forth herein reflect fair market value resulting from arm's-length negotiations and are not intended to induce, encourage, or reward the referral of patients or the generation of healthcare business. Neither Party shall take any action that violates the Federal Anti-Kickback Statute (42 U.S.C. § 1320a-7b(b)) or the Physician Self-Referral Law (Stark Law, 42 U.S.C. § 1395nn). 5.3 OIG/GSA Exclusion Verification. Provider warrants that: (a) the Services will be performed in a professional and workmanlike manner by qualified personnel; (b) the Work Product will substantially conform to the specifications set forth in Exhibit A; and (c) to the best of its knowledge, the Work Product does not and will not infringe upon the intellectual property rights of any third party. 7.3 Disclaimer of Implied Warranties. EXCEPT FOR LIABILITY ARISING FROM BREACHES OF CONFIDENTIALITY (SECTION 6), INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS (SECTION 4), OR GROSS NEGLIGENCE/WILLFUL MISCONDUCT, EACH PARTY’S TOTAL AGGREGATE LIABILITY ARISING UNDER OR RELATED TO THIS AGREEMENT SHALL BE STRICTLY LIMITED TO THE TOTAL FEES PAID OR PAYABLE BY CLIENT TO PROVIDER UNDER THIS AGREEMENT IN THE TWELVE (12) MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO LIABILITY. 8.3 Indemnification by Provider. Provider agrees to defend, indemnify, and hold harmless Client, its officers, directors, employees, and agents from and against any third-party claims, liabilities, losses, damages, or costs (including reasonable attorneys' fees) arising out of or relating to: (a) Provider’s gross negligence or willful misconduct; (b) any material breach of Provider's representations, warranties, or covenants herein; or (c) any claim that the Work Product infringes upon any third-party patent, copyright, or trade secret. 8.4 Indemnification by Client. In the event of any dispute, controversy, or claim arising out of or relating to this Agreement, the designated executive representatives of each Party shall first attempt to resolve the dispute through good-faith negotiations during a period of thirty (30) days from receipt of written notice of dispute.
9.2 Binding Arbitration. If the dispute cannot be resolved through good-faith negotiations within thirty (30) days, the dispute shall be submitted to final and binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted by a single neutral arbitrator agreed upon by the Parties, or appointed by the AAA if agreement cannot be reached. The place of arbitration shall be [City, State]. The arbitrator's award shall be final, and judgment upon the award rendered may be entered in any court having competent jurisdiction.

This Agreement, together with Exhibits A, B, and C, constitutes the entire agreement between the Parties concerning the subject matter hereof and supersedes all prior and contemporaneous proposals, understandings, negotiations, and agreements, whether oral or written. 11.3 Amendments & Waivers. No amendment, modification, or waiver of any provision of this Agreement shall be effective unless set forth in a written instrument executed by authorized representatives of both Parties. No failure or delay by either Party in exercising any right, power, or remedy shall operate as a waiver thereof. 11.4 Force Majeure. Neither Party shall be liable for any failure or delay in performing its obligations under this Agreement if such failure or delay is caused by acts of God, natural disasters, epidemics, pandemics, government restrictions, acts of war, terrorism, civil unrest, electrical grid failures, or other unforeseen events beyond the reasonable control of the affected Party ("Force Majeure Event"), provided the affected Party gives prompt written notice and uses diligent efforts to resume performance. 11.5 Counterparts & Electronic Signatures.
