NOW, THEREFORE, in consideration of the mutual covenants, promises, and conditions set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:
3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS
1. Scope of Services & Project Proposal (IEEE Standard Alignment)
1.1 Project Definition. ServiceProvider shall provide the professional engineering, development, research, and technical services (the "Services") set forth in the IEEE Project Proposal attached hereto as Exhibit A (the "Project Proposal"). The Project Proposal shall adhere to recognized IEEE standards, methodologies, and engineering lifecycle phases, including requirements analysis, architectural design, implementation, verification, validation, and documentation, as applicable to the project scope.
1.2 Project Changes & Change Orders. Any material deviation, expansion, reduction, or modification of the scope of Services defined in Exhibit A shall require a formal written Change Order executed by authorized representatives of both Parties (the "Change Order"). Each Change Order shall detail the specific modifications to the Services, adjustments to the delivery schedule, and corresponding adjustments to the compensation. ServiceProvider shall not be obligated to perform any out-of-scope work absent an executed Change Order.
1.3 Client Cooperation. Client shall provide timely access to necessary personnel, proprietary technical documentation, hardware, software environments, and data required for ServiceProvider to execute the Services. Delays caused by Client’s failure to provide required inputs or approvals shall equitably extend ServiceProvider's project timelines and milestones.
2. Compensation & Payment Terms
2.1 Fee Structure. In consideration for the full and faithful performance of the Services, Client shall pay ServiceProvider the total fixed fee or time-and-materials compensation set forth in Exhibit A, not to exceed the sum of [Amount in USD], unless modified by an executed Change Order.
2.2 Invoicing Schedule. ServiceProvider shall issue invoices to Client in accordance with the milestone payment schedule or monthly billing intervals set forth in Exhibit A.
2.3 Payment Due Date. All undisputed invoices shall be due and payable by Client within thirty (30) calendar days from the date of receipt of the invoice (Net 30). Payments shall be made in United States Dollars (USD) via wire transfer or electronic clearinghouse (ACH) to the bank account designated by ServiceProvider in writing.
2.4 Late Interest & Penalties. Any undisputed amounts not paid when due shall accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable law, calculated from the date due until the date paid in full. ServiceProvider reserves the right to suspend the performance of Services upon ten (10) business days’ written notice if any invoice remains unpaid thirty (30) days past its due date.
2.5 Taxes. The fees set forth in this Agreement are exclusive of all applicable sales, use, value-added, excise, and similar taxes. Client shall be solely responsible for the payment of all such taxes, duties, and governmental charges levied in connection with this Agreement, excluding taxes based solely on ServiceProvider's net income.
3. Term & Termination
3.1 Term. This Agreement shall commence on the Effective Date and shall continue in full force and effect until the completion of the Services and final payment by Client, or until earlier terminated in accordance with the provisions of this Section 3 (the "Term").
3.2 Termination for Convenience. Client or ServiceProvider may terminate this Agreement, in whole or in part, for convenience upon providing thirty (30) calendar days' prior written notice to the other Party. Upon receipt of such notice, ServiceProvider shall immediately cease work, unless the notice dictates otherwise. Client shall pay ServiceProvider for all Services rendered, non-cancellable commitments incurred, and materials procured up to the effective date of termination, plus a wind-down fee equal to fifteen percent (15%) of the remaining unbilled project value.
3.3 Termination for Cause. Either Party may terminate this Agreement immediately upon written notice if the other Party: (a) materially breaches any representation, warranty, or operative term of this Agreement and fails to cure such material breach within thirty (30) calendar days after receipt of written notice detailing the breach; (b) files a petition for bankruptcy, is adjudicated bankrupt, or makes an assignment for the benefit of creditors; or (c) becomes insolvent or ceases business operations.
3.4 Post-Termination Obligations. Upon termination of this Agreement for any reason, ServiceProvider shall deliver to Client all work product, interim deliverables, and documentation paid for in full up to the date of termination. Client shall promptly remit payment for all outstanding invoices and approved work performed through the effective date of termination.
4. Intellectual Property Ownership & Work Made for Hire
4.1 Background IP. Each Party retains all right, title, and interest in and to its pre-existing intellectual property, proprietary frameworks, trade secrets, tools, methodologies, and algorithms created, acquired, or developed prior to the Effective Date or independently of this Agreement ("Background IP"). Neither Party grants any implied license to its Background IP except as strictly necessary to perform its obligations under this Agreement.
4.2 Work Product & Deliverables. Subject to full and final payment of all compensation due under this Agreement, all custom software, technical documentation, schematics, test results, and final deliverables specifically created by ServiceProvider for Client under this Agreement (collectively, the "Work Product") shall be deemed a "work made for hire" under United States copyright law to the extent legally permissible.
4.3 Assignment of Rights. To the extent that any Work Product does not qualify as a work made for hire, ServiceProvider hereby irrevocably assigns, transfers, and conveys to Client all worldwide right, title, and interest in and to such Work Product, including all copyrights, patent rights, trade secret rights, and other intellectual property rights therein. ServiceProvider agrees to execute all reasonable documents and take all necessary actions requested by Client at Client's expense to perfect such assignment.
4.4 ServiceProvider Tools & Residuals. Notwithstanding anything to the contrary herein, ServiceProvider retains sole ownership of all underlying libraries, routines, development tools, generalized algorithms, and know-how used to develop the Work Product. ServiceProvider grants Client a perpetual, irrevocable, non-exclusive, royalty-free, worldwide license to use such underlying tools solely as integrated into and necessary for the operation of the Work Product.
5. Mutual Confidentiality & Non-Disclosure
5.1 Definition of Confidential Information. "Confidential Information" means any proprietary or non-public information disclosed by one Party (the "Disclosing Party") to the other Party (the "Receiving Party") under this Agreement, whether orally, visually, or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, including technical data, source code, trade secrets, business plans, financial information, and customer lists.

5.3 Obligations of Confidentiality. The Receiving Party shall hold the Disclosing Party's Confidential Information in strict confidence, shall use at least the same degree of care it uses to protect its own confidential information of like nature (but no less than a reasonable degree of care), and shall not disclose such Confidential Information to any third party, except to its directors, officers, employees, legal counsel, and financial advisors who have a strict need to know and who are bound by confidentiality obligations at least as restrictive as those herein.
5.4 Compelled Disclosure. If the Receiving Party is legally compelled by deposition, interrogatory, request for documents, subpoena, civil investigative demand, or similar judicial or administrative process to disclose any Confidential Information, the Receiving Party shall provide prompt prior written notice to the Disclosing Party (where legally permissible) to enable the Disclosing Party to seek a protective order or other appropriate remedy.

ServiceProvider warrants that: (a) the Services shall be performed in a professional, workmanlike manner, conforming to generally accepted industry standards and IEEE engineering benchmarks; (b) the Work Product shall materially conform to the functional specifications set forth in Exhibit A; and (c) to ServiceProvider's knowledge, the Work Product does not infringe, misappropriate, or violate any third-party copyright, patent, trademark, or trade secret.
6.3 Disclaimer of Warranties. EXCEPT AS EXPRESSLY SET FORTH IN THIS SECTION 6, PROVIDER MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NONINFRINGEMENT.

7.2 Cap on Liability. EXCEPT FOR BREACHES OF SECTION 5, GROSS NEGLIGENCE, WILLFUL MISCONDUCT, AND INTELLECTUAL PROPERTY INDEMNIFICATION, EACH PARTY’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT, UNDER ANY LEGAL THEORY, SHALL BE STRICTLY LIMITED TO THE TOTAL FEES ACTUALLY PAID BY CLIENT TO SERVICEPROVIDER UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO LIABILITY.
7.3 Indemnification by ServiceProvider. ServiceProvider shall defend, indemnify, and hold harmless Client, its officers, directors, employees, and agents from and against any third-party claims, liabilities, losses, damages, judgments, and reasonable expenses (including attorney's fees) arising out of or resulting from: (a) any claim that the Work Product infringes or misappropriates any valid United States patent, copyright, or trade secret; or (b) any bodily injury, death, or tangible property damage caused by the negligent or willful acts or omissions of ServiceProvider personnel during the performance of Services.
7.4 Indemnification by Client. 8. Dispute Resolution & Arbitration
8.1 Negotiation & Escalation. In the event of any dispute, controversy, or claim arising out of or relating to this Agreement, including its formation, performance, breach, termination, or validity (a "Dispute"), the aggrieved Party shall notify the other Party in writing. Authorized senior executives of both Parties shall meet within fifteen (15) business days of such notice to attempt in good faith to resolve the Dispute.
8.2 Binding Arbitration. If the Dispute is not resolved through executive negotiation within thirty (30) days of the initial notice, the Dispute shall be submitted to final and binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted by a single neutral arbitrator appointed in accordance with such rules. The place of arbitration shall be [City, State], and the proceedings shall be conducted in the English language.
8.3 Arbitration Award & Enforcement. The award rendered by the arbitrator shall be final, binding, and non-appealable, and judgment upon the award rendered may be entered and enforced in any court having competent jurisdiction. Each Party shall bear its own legal fees and expenses, provided that the arbitrator may award reasonable costs and attorney's fees to the prevailing Party.

10. Miscellaneous
10.1 Severability. If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of this Agreement shall remain in full force and effect.
10.2 Counterparts & Electronic Signatures. This Agreement may be executed in multiple counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Delivery of an executed counterpart of this Agreement by facsimile, email PDF, or valid electronic signature platform (e.g., DocuSign, Adobe Sign) shall be equally effective as delivery of an original executed paper copy.
10.3 Entire Agreement. This Agreement, including Exhibit A (Project Proposal), constitutes the entire agreement between the Parties concerning the subject matter hereof and supersedes all prior and contemporaneous oral or written agreements, proposals, negotiations, representations, and understandings between the Parties.
10.4 Force Majeure. Neither Party shall be liable for any failure or delay in performing its obligations under this Agreement if such failure or delay arises from causes beyond its reasonable control, including acts of God, war, terrorism, civil unrest, labor disputes, utility failures, cyber-attacks, epidemics, or governmental regulations (a "Force Majeure Event"), provided that the affected Party gives prompt written notice to the other Party and uses commercially reasonable efforts to resume performance.
