PARTIES AND RECITALS

RECITALS: WHEREAS, Provider is a nursing student engaged in academic research/clinical project development; WHEREAS, Client desires to grant Provider access to resources to facilitate the project defined herein; NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

OPERATIVE CLAUSES

1. SCOPE OF SERVICES Provider shall perform the project entitled "[Project Title]" as detailed in Exhibit A (the "Services"). Provider warrants that all services shall be performed in accordance with the professional standards of the nursing profession and the policies of the Client’s facility.

2. COMPENSATION & PAYMENT TERMS Client shall pay Provider a total fee of [Amount in USD] for the completion of the project. Payments shall be made upon the completion of project milestones as follows: 50% upon commencement, and 50% upon final submission. Invoices are payable within thirty (30) days of receipt. Late payments shall accrue interest at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

3. TERM & TERMINATION This Agreement shall commence on [Effective Date] and terminate upon completion of the project or [End Date], whichever occurs first. Either party may terminate this Agreement for convenience upon fourteen (14) days’ written notice. INTELLECTUAL PROPERTY & WORK MADE FOR HIRE All deliverables, research data, nursing protocols, and documentation produced by the Provider under this Agreement shall be considered "Work Made for Hire" to the extent permitted by law and shall be the exclusive property of the Client. To the extent any work does not qualify as "Work Made for Hire," Provider hereby irrevocably assigns all right, title, and interest therein to the Client.

5. MUTUAL CONFIDENTIALITY & NON-DISCLOSURE Provider acknowledges that they may gain access to Protected Health Information (PHI) or proprietary business information. Provider agrees to maintain strict confidentiality and adhere to all applicable privacy laws (e.g., HIPAA). Provider shall not disclose any confidential information to third parties without prior written consent from the Client.

6. REPRESENTATIONS & WARRANTIES Provider represents that they have the requisite academic standing, insurance (if applicable), and institutional authorization to perform the Services. Client represents that it possesses the legal authority to enter into this Agreement and provide the necessary clinical environment for the project.

7. LIMITATION OF LIABILITY & INDEMNIFICATION To the maximum extent permitted by law, neither party shall be liable for indirect, incidental, or consequential damages. Provider agrees to indemnify and hold harmless the Client from any claims, damages, or expenses arising from the Provider’s negligence or willful misconduct in the performance of the Services.

8. DISPUTE RESOLUTION & ARBITRATION Any dispute arising out of this Agreement shall be settled by binding arbitration conducted in [City, State] in accordance with the rules of the American Arbitration Association. The prevailing party shall be entitled to recover reasonable attorney’s fees and costs.
