2. PARTIES & RECITALS

This Project Proposal and Master Services Agreement (the "Agreement") is entered into and made effective as of [Effective Date] (the "Effective Date"), by and between:

Provider: [Company Full Legal Name], a [State of Incorporation/Organization] [Corporation/LLC/Partnership], having its principal place of business at [Principal Address] ("Provider"), and

Client: [Client Full Legal Name], a [State of Incorporation/Organization] [Corporation/LLC/Partnership], having its principal place of business at [Principal Address] ("Client").

RECITALS

WHEREAS, Provider possesses specialized expertise, proprietary methodologies, and professional capabilities in the design, development, and execution of the project specified herein; and
WHEREAS, Client desires to retain Provider to perform certain professional services, and Provider agrees to perform such services under the terms, conditions, and specifications set forth in this Agreement and its associated Statements of Work.

NOW, THEREFORE, in consideration of the mutual covenants, promises, and conditions set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

SECTION 1: SCOPE OF SERVICES & PROJECT ENGAGEMENT

1.1 Scope of Work. Provider shall furnish the professional services, deliverables, and project outcomes (collectively, the "Services") as explicitly detailed in Project Proposal Exhibit A attached hereto and incorporated herein by this reference. Any modification, expansion, or reduction of the Scope of Services must be formally executed via a written Change Order signed by authorized representatives of both Parties.

1.2 Standard of Performance. Provider covenants and warrants that all Services shall be performed in a professional, workmanlike manner, conforming to the highest industry standards and best practices applicable to the field. Provider shall allocate sufficient, qualified personnel possessing the requisite skill, training, and experience to execute the Services efficiently and effectively.

1.3 Client Dependencies. Client acknowledges that Provider’s successful and timely performance of the Services is contingent upon Client’s prompt delivery of necessary information, access, approvals, and materials (collectively, "Client Dependencies"). Any delay caused by Client’s failure to fulfill Client Dependencies shall correspondingly extend Provider’s project timelines without penalty or liability to Provider.

SECTION 2: COMPENSATION & PAYMENT TERMS

2.1 Project Fees. In consideration for the full and faithful performance of the Services, Client shall pay Provider the total sum of [Amount in USD] USD (the "Project Fee"), payable in accordance with the milestone schedule set forth in Exhibit A or upon the issuance of periodic invoices.

2.2 Invoicing & Payment Schedule. Provider shall issue invoices to Client according to the agreed milestones or on a monthly basis for Services rendered. All undisputed invoices are due and payable in full within [Number] ([#]) calendar days from the date of receipt (the "Due Date"). Payments shall be remitted via wire transfer, ACH, or check to the designated banking coordinates provided by Provider.

2.3 Late Payments & Interest. Any undisputed amount not received by the Due Date shall accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable law, calculated daily and compounded monthly from the Due Date until paid in full. Provider reserves the right to suspend performance of Services upon ten (10) business days' written notice if any invoice remains unpaid past the Due Date.

2.4 Taxes. The fees and charges set forth in this Agreement are exclusive of all applicable federal, state, provincial, local, and foreign taxes, duties, tariffs, and levies (including value-added, sales, and use taxes). Client shall be solely responsible for the payment of all such taxes, excluding taxes based solely on Provider’s net income.

SECTION 3: TERM & TERMINATION

3.1 Term. This Agreement shall commence on the Effective Date and shall continue in full force and effect until the Services are fully completed and all undisputed financial obligations are satisfied, unless earlier terminated in accordance with this Section 3.

3.2 Termination for Convenience. Client or Provider may terminate this Agreement, or any individual Statement of Work, for any reason or no reason, upon providing thirty (30) days' prior written notice to the non-terminating Party. Upon termination for convenience, Client shall pay Provider for all Services performed, work-in-progress, and non-cancellable commitments incurred up to the effective date of termination.

3.3 Termination for Cause. Either Party may terminate this Agreement immediately upon written notice if the other Party: a. Materially breaches any provision of this Agreement and fails to cure such material breach within fifteen (15) calendar days after receipt of written notice detailing the specific breach; b. Files or has filed against it a petition for bankruptcy, makes an assignment for the benefit of creditors, or suffers the appointment of a receiver for a substantial portion of its assets; or c. Ceases or threatens to cease operations in the ordinary course of business.

3.4 Survival of Obligations. Termination or expiration of this Agreement shall not discharge either Party from any liability or obligation that accrued prior to such termination, nor shall it affect the survival of any provision that by its nature is intended to survive (including, without limitation, Sections 4, 5, 7, 8, and 9).

SECTION 4: INTELLECTUAL PROPERTY OWNERSHIP & WORK MADE FOR HIRE

4.1 Pre-Existing Intellectual Property. Each Party retains exclusive ownership of all right, title, and interest in and to its respective pre-existing trademarks, copyrights, trade secrets, patents, proprietary methodologies, tools, and software ("Pre-Existing IP"). Nothing in this Agreement transfers ownership of Pre-Existing IP to the opposing Party.

4.2 Work Made for Hire & Assignment. Upon full payment of all undisputed fees due under this Agreement, all custom deliverables, code, designs, documentation, and specific works of authorship created expressly by Provider for Client pursuant to this Agreement (collectively, the "Work Product") shall be deemed "work made for hire" under United States copyright law to the maximum extent permitted. To the extent any Work Product does not qualify as a work made for hire, Provider hereby irrevocably assigns, transfers, and conveys to Client all worldwide right, title, and interest in and to such Work Product, including all intellectual property rights therein.

4.3 Provider Tools & Residuals. Notwithstanding Section 4.2, Provider retains all right, title, and interest in its underlying frameworks, libraries, development tools, generalized algorithms, and know-how used to generate the Work Product. Provider grants Client a perpetual, non-exclusive, worldwide, fully paid-up, royalty-free license to utilize such underlying tools solely as integrated into and necessary for the operation of the Work Product.

SECTION 5: MUTUAL CONFIDENTIALITY & NON-DISCLOSURE

5.1 Definition of Confidential Information. "Confidential Information" means all non-public, proprietary, or confidential data or information disclosed by either Party ("Disclosing Party") to the other Party ("Receiving Party"), whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, including business plans, customer lists, financial data, technical specifications, source code, and trade secrets.

5.2 Obligations of Confidentiality. The Receiving Party shall hold the Disclosing Party's Confidential Information in strict confidence, shall use the same degree of care it uses to protect its own confidential information (but no less than reasonable care), and shall not disclose such Confidential Information to any third party, except to its directors, officers, employees, legal counsel, and financial advisors who have a strict need to know and are bound by confidentiality obligations at least as restrictive as those herein.

5.3 Exclusions. Confidential Information shall not include information that: a. Is or becomes generally known to the public without breach of this Agreement by the Receiving Party; b. Was known to the Receiving Party prior to disclosure without confidentiality restrictions; c. Is independently developed by the Receiving Party without reference to or use of the Disclosing Party’s Confidential Information; or d. Is rightfully received from a third party without duty of confidentiality.

5.4 Compelled Disclosure. If the Receiving Party is legally compelled by subpoena, court order, or regulatory demand to disclose any Confidential Information, it shall, to the extent legally permissible, provide prompt written notice to the Disclosing Party so the Disclosing Party may seek a protective order or other appropriate remedy.

SECTION 6: REPRESENTATIONS & WARRANTIES

6.1 Mutual Authority. Each Party represents and warrants that it possesses full corporate power and authority to enter into this Agreement, to perform its obligations hereunder, and that the individual executing this Agreement on its behalf is duly authorized to bind such Party.

6.2 Provider Warranties. Provider warrants that: a. The Services shall be performed in a professional and workmanlike manner by competent personnel; b. The Work Product shall not knowingly infringe, misappropriate, or violate any third-party copyright, trademark, patent, or trade secret; and c. It possesses all necessary rights, licenses, and permissions to perform the Services and deliver the Work Product.

6.3 Disclaimer of Warranties. EXCEPT AS EXPRESSLY SET FORTH IN THIS SECTION 6, PROVIDER MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. ALL SERVICES AND DELIVERABLES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS.

SECTION 7: LIMITATION OF LIABILITY & INDEMNIFICATION

7.1 Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7.2 Liability Cap. PROVIDER’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT, UNDER ANY AND ALL LEGAL THEORIES, SHALL BE STRICTLY LIMITED TO THE TOTAL FEES ACTUALLY PAID BY CLIENT TO PROVIDER UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO LIABILITY.

7.3 Client Indemnification. Client agrees to defend, indemnify, and hold harmless Provider, its officers, directors, employees, and agents from and against any third-party claims, liabilities, losses, damages, judgments, and reasonable expenses (including attorney's fees) arising out of or resulting from: (a) Client’s breach of this Agreement; (b) Client Dependencies or materials provided by Client infringing third-party intellectual property rights; or (c) Client’s gross negligence or willful misconduct.

SECTION 8: DISPUTE RESOLUTION & ARBITRATION

8.1 Good Faith Negotiations. In the event of any dispute, controversy, or claim arising out of or relating to this Agreement, the authorized representatives of the Parties shall first attempt to resolve the matter amicably through good-faith negotiations over a period of thirty (30) calendar days.

8.2 Binding Arbitration. If the dispute cannot be resolved through negotiations, it shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted before a single neutral arbitrator in [City, State]. The arbitration proceedings shall be conducted in English, and the award rendered by the arbitrator shall be final, binding, and enforceable in any court of competent jurisdiction.

8.3 Injunctive Relief. Notwithstanding anything to the contrary, either Party may seek temporary, preliminary, or permanent injunctive relief or other equitable remedies in any court of competent jurisdiction to protect its intellectual property rights or confidential information without the posting of a bond.

SECTION 9: GOVERNING LAW & JURISDICTION

9.1 Governing Law. This Agreement, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, enforced under, and construed in accordance with the internal laws of the State of [State], without regard to its conflict of laws principles.

9.2 Jurisdiction and Venue. Subject to Section 8, each Party irrevocably and unconditionally submits to the exclusive personal jurisdiction and venue of the state and federal courts located in [County, City, State] for any legal action or proceeding arising out of or relating to this Agreement.

SECTION 10: MISCELLANEOUS PROVISIONS

10.1 Severability. If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of this Agreement shall remain in full force and effect.

10.2 Entire Agreement. This Agreement, together with Exhibit A and any attached Statements of Work, constitutes the entire agreement between the Parties concerning the subject matter hereof and supersedes all prior or contemporaneous oral or written representations, understandings, proposals, or agreements.

10.3 Amendments and Waivers. No amendment, modification, or waiver of any provision of this Agreement shall be effective unless executed in writing and signed by an authorized representative of both Parties. No failure or delay by either Party in exercising any right, power, or remedy under this Agreement shall operate as a waiver thereof.

10.4 Force Majeure. Neither Party shall be liable for any failure or delay in performing its obligations under this Agreement if such failure or delay is caused by acts of God, natural disasters, war, terrorism, civil unrest, labor strikes, pandemics, utility outages, or other causes beyond the reasonable control of the affected Party ("Force Majeure Event").

10.5 Counterparts & Electronic Signatures. This Agreement may be executed in multiple counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Delivery of an executed counterpart of this Agreement by email PDF, DocuSign, or other electronic transmission shall be fully effective and legally binding.

5. STEP-BY-STEP EXECUTION & FILING GUIDE

Follow this operational protocol to ensure legal enforceability and rigorous contract administration:

  1. Placeholder Completion (Word Processor): Open this document in Microsoft Word or Google Docs. Utilize the "Find & Replace" function to locate all bracketed variables (e.g., [Company Full Legal Name], [Client Full Legal Name], [Principal Address], [Effective Date], [Amount in USD], [State], etc.) and replace them with verified legal data. Delete all bracketed formatting tags.
  2. Exhibit A Integration: Draft the project-specific technical scope, deliverables list, milestones, and fee structure. Append this document as "Exhibit A: Statement of Work" directly following this master text.
  3. Signatory Verification: Confirm that the individuals executing the agreement on behalf of both corporate entities hold actual or apparent authority (e.g., Chief Executive Officer, President, Managing Member, or authorized Vice President) under corporate bylaws or resolution documents.
  4. Digital Execution: Export the finalized text to a secure PDF format. Route the document through an institutional digital signature platform (such as DocuSign, Adobe Sign, or HelloSign) to capture cryptographic audit trails, IP address verification, and tamper-evident digital seals.
  5. Record Retention: Archive the fully executed contract, accompanying Exhibits, and digital audit certificates within the corporate Contract Management System (CMS) or secure cloud repository under strict access controls. Set calendar alerts for renewal milestones, expiration dates, and key performance reviews.
