Receiving Party shall not disclose Confidential Information to any third party except to its employees, legal counsel, and financial advisors who have a "need to know" and are bound by confidentiality obligations at least as restrictive as those herein. 5.3 Exclusions. Confidential Information does not include information that: (a) is or becomes publicly known through no breach of the Receiving Party; (b) was already in the rightful possession of the Receiving Party prior to disclosure; (c) is independently developed by the Receiving Party without reference to or use of the Disclosing Party’s Confidential Information; or (d) is required to be disclosed by law or court order, provided the Receiving Party gives prompt written notice to the Disclosing Party. 5.4 HIPAA and Patient Data Compliance. EXCEPT FOR BREACHES OF CONFIDENTIALITY UNDER SECTION 5, VIOLATIONS OF PRIVACY LAWS, OR INDEMNIFICATION OBLIGATIONS UNDER THIS SECTION 7, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS OR REVENUE, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 7.2 Liability Cap. Provider’s total aggregate liability arising out of or relating to this Agreement, under any legal theory (contract, tort, negligence, strict liability, or otherwise), shall be strictly limited to the total fees actually paid by Hospital to Provider under this Agreement in the twelve (12) months preceding the event giving rise to liability. 7.3 Indemnification by Provider. Provider agrees to defend, indemnify, and hold harmless Hospital, its officers, directors, trustees, medical staff, employees, and agents from and against any and all third-party claims, liabilities, losses, damages, judgments, costs, and expenses (including reasonable attorneys' fees) arising out of or resulting from: (a) the material breach of this Agreement by Provider or its personnel; (b) the negligent acts, omissions, or willful misconduct of Provider; or (c) any claim that the Work Product or Services infringe any third-party intellectual property right. 7.4 Indemnification by Hospital. Hospital agrees to defend, indemnify, and hold harmless Provider, its officers, directors, employees, and agents from and against any and all third-party claims, liabilities, losses, damages, judgments, costs, and expenses (including reasonable attorneys' fees) arising out of or resulting from the material breach of this Agreement by Hospital or Hospital's negligent operation of its facilities.

Section 8: Dispute Resolution & Arbitration

8.1 Good Faith Negotiation. In the event of any dispute, controversy, or claim arising out of or relating to this Agreement, the authorized executives of both parties shall first attempt to resolve the matter through good-faith negotiations for a period of thirty (30) days following written notice of the dispute by either party. 8.2 Binding Arbitration. If the dispute is not resolved through good-faith negotiation, it shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted before a single neutral arbitrator in [City, State]. The arbitrator’s award shall be final and binding, and judgment upon the award rendered may be entered in any court having jurisdiction thereof. 8.3 Injunctive Relief. Notwithstanding the foregoing, either party may seek interim injunctive or equitable relief from a court of competent jurisdiction to protect its intellectual property rights or confidential information without waiving its right to arbitration.

Section 9: Governing Law & Jurisdiction

9.1 Choice of Law. This Agreement, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, enforced under, and construed in accordance with the internal laws of the State of [State / Jurisdiction], without regard to its conflict of laws principles. 9.2 Jurisdiction. Subject to Section 8, each party irrevocably and unconditionally submits to the exclusive jurisdiction of the state and federal courts located in [County], [State] for any legal action or proceeding arising out of this Agreement.

Section 10: Miscellaneous

10.1 Severability. This Agreement may be executed in one or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Execution may be accomplished via facsimile, PDF, or secure electronic signature platforms (e.g., DocuSign). 10.3 Entire Agreement. This Agreement, together with Exhibits A, B, and C, constitutes the entire agreement between Hospital and Provider regarding the subject matter hereof, and supersedes all prior or contemporaneous oral or written agreements, proposals, representations, understandings, or negotiations.
