WHEREAS, the Principal wishes to invest the Agent with full operational and administrative authority to access, control, manage, deposit to, disburse from, and execute financial contracts with respect to said Accounts, subject to the explicit covenants, terms, limitations, and standard of care established herein; and
WHEREAS, the Agent has agreed to accept such appointment and undertake the fiduciary duties and contractual responsibilities inherent to managing the Principal’s banking relationships, in strict compliance with the mandate of this instrument.
NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Principal hereby appoints the Agent, and the Agent accepts such appointment, upon the following terms and conditions:
OPERATIVE CLAUSES & LEGAL TERMS
1. APPOINTMENT AND SPECIFIC SCOPE OF AUTHORITY
1.1. Formal Designation. The Principal hereby irrevocably (subject to Section 5 herein) makes, constitutes, and appoints the Agent as the Principal’s true and lawful attorney-in-fact, granting the Agent full power and legal authority to act in the Principal’s name, place, and stead across all designated banking and financial matters.
1.2. Enumerated Banking Transactions. The Agent’s authority is strictly confined to financial and banking affairs, empowering the Agent to:
(a) Open, maintain, modify, consolidate, and close commercial, checking, savings, certificate of deposit, and money market accounts in the name of the Principal at the Financial Institution;
(b) Sign, endorse, execute, deliver, and process checks, drafts, bills of exchange, acceptances, instruments, withdrawal slips, receipts, and negotiable instruments of any description payable to, drawn on, or belonging to the Principal;
(c) Initiate, verify, authorize, confirm, and execute domestic and international fund transfers, automated clearing house (ACH) transactions, wire transfers, book entries, and electronic debits or credits through the Financial Institution;
(d) Establish, manage, modify, and access online, digital, electronic, and treasury management platforms, including executing electronic enrollment documents, creating dual-control user profiles, resetting credentials, accepting commercial banking terms of service, and utilizing digital security tokens;
(e) Rent, access, maintain, inspect, inventory, surrender, and relinquish safe deposit boxes, night depository drop facilities, and custodial vaults held in the Principal’s name;
(f) Request, receive, audit, review, and reconcile all bank statements, account transcripts, vouchers, notices, confirmations, and general correspondences issued by the Financial Institution; and
(g) Apply for, secure, utilize, manage, and close corporate commercial credit cards, purchasing cards, and debit cards, provided that all charges incurred strictly serve the Principal’s legitimate operational and legal purposes.
2. LIMITATIONS, RESTRICTIONS, AND NEGATIVE COVENANTS
2.1. Strict Transactional Ceilings. Unless supplemented by an explicit, notarized unanimous board resolution or separate corporate authorization, the Agent shall not execute any single payment, wire disbursement, instrument, or transfer exceeding [Amount in USD, e.g., $100,000.00] (the "Single Transaction Limit"). Transactions shall not be artificially split or structured to evade this limit.
2.2. Prohibited Acts. The Agent is unequivocally stripped of the authority to:
(a) Execute any transaction that constitutes self-dealing, commingling of funds, or a transfer to the personal account of the Agent, the Agent’s spouse, or the Agent’s direct descendants, unless such transaction constitutes pre-authorized reimbursement of documented operational expenses supported by verifiable receipts;
(b) Pledge, encumber, hypothecate, mortgage, or grant a general floating lien over the Principal’s liquid reserves or securities held within the Financial Institution to secure indebtedness of any third party;
(c) Alter or modify existing beneficiary designations on any POD (payable on death), TOD (transfer on death), escrow, or trust accounts; or
(d) Incur debt, apply for commercial term loans, or execute corporate guarantees in the Principal's name without prior written consent from the Principal's governing body.
3. AGENT EXPENSES, REIMBURSEMENT, AND MANDATORY ACCOUNTING
3.1. Compensation. The Agent shall serve [check one: □ without compensation / ■ with compensation at an agreed hourly rate of $[Rate] per hour / monthly retainer of $[Amount]], as separately documented in writing.
3.2. Reimbursement of Expenses. The Principal shall reimburse the Agent for all reasonable, ordinary, direct, and out-of-pocket operational expenses (e.g., bank processing fees, notary costs, certified mailing charges) incurred exclusively in the performance of the powers granted hereunder, payable within thirty (30) calendar days following receipt of an itemized invoice supported by corresponding vouchers or receipts.
3.3. Fiduciary Duty of Accounting. The Agent shall maintain meticulously documented, contemporaneous financial ledgers and records of all transactions executed pursuant to this Power of Attorney. The Agent shall deliver a comprehensive, written accounting statement to the Principal on the first business day of each calendar quarter, or within five (5) business days following a written demand issued by the Principal or the Principal’s certified public accountants or legal counsel.
4. DURABILITY, TERM, AND TERMINATION
4.1. Durable Nature. This Power of Attorney is DURABLE and shall not be affected, suspended, or terminated by the subsequent physical disability, mental incapacity, incompetence, or corporate restructuring of the Principal, except as provided by governing state statutes.
4.2. Term. This instrument commences on the Effective Date and shall continue in full legal force and effect until the earliest occurrence of:
(a) The designated expiration date of [Expiration Date, or "Indefinite until revoked"];
(b) The actual receipt by the Financial Institution of a written Notice of Revocation executed by the Principal;
(c) The legal dissolution, bankruptcy, or liquidation of the Principal entity; or
(d) The death of the Agent, or the Agent’s written resignation or judicially determined incapacity.
4.3. Revocation Procedure. The Principal expressly reserves the right to amend, suspend, or revoke this Power of Attorney at any time. Revocation is effected strictly by executing a formal written Revocation of Power of Attorney and serving certified copies thereof via registered mail or verifiable electronic delivery directly upon the Financial Institution’s corporate operations and legal risk department. Revocation shall be prospective only and shall not invalidate any transaction legally consummated by the Agent and processed by the Financial Institution prior to the Financial Institution’s actual receipt of said written notice.
5. THIRD-PARTY RELIANCE AND FINANCIAL INSTITUTION PROTECTION
5.1. Inducement to Rely. The Principal hereby instructs and directs the Financial Institution, its officers, employees, agents, and counterparties, to rely fully, unreservedly, and without inquiry upon the validity, continuous efficacy, and binding force of this Power of Attorney and the representations made by the Agent pursuant hereto.
5.2. Complete Immunity for Relying Institutions. Any Financial Institution acting in good faith upon this instrument shall be fully protected and completely held harmless by the Principal from any and all liability, loss, cost, damage, claim, or expense arising out of or resulting from the Bank honoring any signature, order, instruction, wire, or transfer initiated by the Agent within the scope of this Agreement.
5.3. Affidavit of Full Force. A statutory affidavit or certification executed by the Agent asserting that this Power of Attorney remains in full force and effect, and has not been modified, superseded, or revoked, shall constitute conclusive proof to any Financial Institution of the non-revocation or non-termination of this instrument.
6. MUTUAL CONFIDENTIALITY AND NON-DISCLOSURE
6.1. Confidential Information. The Agent acknowledges that in discharging the powers granted hereunder, the Agent will obtain non-public, highly proprietary financial information, including account numbers, routing numbers, transaction volumes, liquidity reserves, treasury strategy, and security credentials (collectively, "Financial Confidential Information").
6.2. Duty of Protection. The Agent covenants to preserve the absolute confidentiality of all Financial Confidential Information with at least the highest degree of care employed by commercial fiduciaries, and shall not disclose, monetize, disseminate, or exploit such information for any purpose other than executing authorized transactions directly benefiting the Principal. This confidentiality obligation survives the termination or revocation of this instrument indefinitely.
7. REPRESENTATIONS AND WARRANTIES
7.1. Principal's Representations. The Principal represents and warrants that:
(a) It has absolute legal capacity, power, and corporate authority to execute, deliver, and perform its obligations under this Power of Attorney;
(b) The execution and performance of this document will not violate, conflict with, or constitute a default under any charter, bylaws, operating agreement, loan covenants, or judicial order binding the Principal; and
(c) All funds transferred, deposited, or managed through this authority derive from legitimate, lawful commercial operations and do not violate Anti-Money Laundering (AML) statutes.
7.2. Agent's Representations. The Agent represents and warrants that:
(a) The Agent is legally competent and under no legal, judicial, or regulatory impediment that would impair the uncompromised execution of these duties;
(b) The Agent has not been convicted of any felony involving financial fraud, embezzlement, conversion, grand larceny, or moral turpitude; and
(c) The Agent accepts the appointment as a fiduciary and agrees to discharge every authorized transaction in rigorous compliance with the highest standards of good faith, loyalty, and prudence.
8. LIMITATION OF LIABILITY AND INDEMNIFICATION
8.1. Agent Standard of Care. The Agent shall not be held liable to the Principal for any honest errors of business judgment or unintentional administrative mistakes, provided the Agent acted in good faith, within the scope of authority granted hereunder, and without gross negligence, willful misconduct, intentional fraud, or bad faith.
8.2. Principal Indemnification. The Principal covenants to defend, indemnify, and hold harmless the Agent from and against any and all liabilities, losses, claims, damages, judgments, and legal defense costs incurred by the Agent arising out of actions taken by the Agent within the authorized scope of this Agreement, excluding any liability resulting directly from the Agent’s gross negligence, bad faith, or intentional breach of fiduciary duty.
8.3. Agent Indemnification. The Agent covenants to defend, indemnify, and hold harmless the Principal, its directors, officers, and shareholders, from and against any and all direct losses, claims, compensatory damages, judgments, regulatory penalties, and legal costs (including reasonable attorneys' fees) proximately caused by the Agent's gross negligence, intentional conversion of funds, self-dealing, criminal acts, or willful ultra vires transactions outside the explicit bounds of this Power of Attorney.
9. DISPUTE RESOLUTION AND BINDING ARBITRATION
9.1. Informal Negotiations. In the event of any operational dispute, controversy, or claim arising out of or relating to this Power of Attorney, the Parties shall initially attempt in good faith to resolve the controversy through structured executive negotiations for a period of fifteen (15) business days following written notice of dispute.
9.2. Binding Arbitration. If unresolved by negotiation, any dispute, controversy, or claim arising out of or relating to this Power of Attorney, its breach, validity, or termination, shall be definitively settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
(a) The arbitral tribunal shall consist of a single neutral arbitrator possessing at least ten (10) years of experience in commercial banking law, mutually selected by the Parties, or appointed by the AAA if the Parties fail to agree within twenty (20) days.
(b) The place and seat of the arbitration shall be [City, State].
(c) The arbitral award shall be rendered in writing, shall be final and non-appealable, and judgment upon the award may be entered in any court having competent jurisdiction. Nothing herein impairs either Party's right to seek emergency preliminary injunctive relief from a court of competent jurisdiction to prevent ongoing conversion or improper dispersal of funds.
10. GOVERNING LAW AND JURISDICTION
This Agreement, and all matters arising out of or relating to the creation, validity, interpretation, performance, or breach of this Power of Attorney, shall be governed by, and construed in accordance with, the internal substantive laws of the State/Commonwealth of [State/Jurisdiction], without giving effect to any choice of law or conflict of law principles that would cause the application of the laws of any other jurisdiction.
11. MISCELLANEOUS PROVISIONS
11.1. Severability. If any provision of this Power of Attorney is held by an arbitrator or court of competent jurisdiction to be invalid, illegal, or unenforceable, such determination shall not affect any other provision hereof, and this Agreement shall be reformed and construed as if such invalid, illegal, or unenforceable provision had never been contained herein.
11.2. Successors and Assigns. This Power of Attorney is personal to the Agent and non-delegable. The Agent possesses no power or authority to assign these duties or appoint sub-agents or substitutes without an explicit written amendment executed by the Principal. This Agreement binds the Principal, its heirs, personal representatives, corporate successors, and permitted assigns.
11.3. Counterparts & Scanned Copies. This instrument may be executed in several counterparts, each of which shall be deemed an original, but all of which together constitute one and the same instrument. A facsimile, PDF, or certified electronically transmitted copy of this fully executed and notarized document shall carry the same authoritative evidential weight as the tangible, ink-signed paper original for the purposes of third-party bank reliance.
11.4. Entire Agreement. This instrument constitutes the final, complete, and exclusive expression of the Principal's grant of banking authority to the Agent regarding the designated Accounts. It supersedes and extinguishes all prior oral or written discussions, agreements, representations, or draft powers of attorney concerning the specific banking powers granted herein.

Step 1: Populating Metadata & Bracketed Identifiers
- Download or import this template into Microsoft Word or Google Docs.
- Execute a systematic find-and-replace command across all bracketed syntax (e.g.,
[Principal Full Legal Name],[Amount in USD],[Target Banking Institution Name]). - Ensure that the legal name of the Bank corresponds exactly to the charter name on record with regulatory authorities (e.g., "JPMorgan Chase Bank, N.A." or "Bank of America, N.A.").
- If establishing transaction limits under Section 2.1, confirm that the stated limit matches your internal corporate treasury controls.
Step 2: Signatory Verification and Corporate Resolution
- If the Principal is an entity (LLC, Corporation, Partnership), attach an unredacted copy of the Certificate of Incumbency or a Certified Board/Member Resolution specifically validating that the individual executing this document on behalf of the Principal holds active, unencumbered corporate signing authority.
Step 3: Execution and Notarization
- Wet-Ink Execution: The Principal must sign the document in the physical presence of a certified Notary Public. The Notary must complete the acknowledgment section, affix their official embossed or rubber stamp seal, and log the transaction in their notarial register.
- Remote Online Notarization (RON): If utilizing digital execution (e.g., DocuSign, Adobe Sign, Notarize), ensure compliance with the Electronic Signatures in Global and National Commerce Act (E-SIGN) and applicable state RON statutes. The platform must output an immutable, SHA-256 (or higher) cryptographic audit trail confirming the identity proofing (knowledge-based authentication and biometric credential analysis) of the Principal.
Step 4: Submission to Banking Institutions
- Deliver the original ink-signed instrument (or cryptographically certified electronic original) directly to the Treasury Management, Private Wealth, or Legal Operations Department of the Bank.
- Include the following required AML/KYC packet for the Agent:
- Two forms of non-expired government-issued photo identification (e.g., Passport and Real ID Driver's License);
- Proof of primary physical address (recent utility statement or bank statement); and
- The Agent's completed Bank Signature Card.
Step 5: Archival and Record Retention
- Maintain the primary wet-ink original within an offsite fire-rated corporate vault or institutional custodial depository.
- Retain a secure digital scan in your enterprise contract lifecycle management (CLM) repository. Set an automated compliance alert 60 calendar days prior to the expiration date (if any) established in Section 4.2. Verify the document’s validity on an annual basis to ensure uninterrupted financial operations.
