STEP-BY-STEP EXECUTION & FILING GUIDE
Step 1: Completing Bracketed Fields
- Open the document in Microsoft Word, Google Docs, or an enterprise contract management platform.
- Use the search tool (
Ctrl + ForCmd + F) to find all square brackets[and]. - Fill in every bracketed field with verified legal information:
- Parties: Match exact names to Jamaican Government IDs (Passport, Driver’s Licence, or National Identification Card) and include correct Tax Registration Numbers (TRNs).
- Parish: Ensure the correct Jamaican parish (e.g., Kingston, St. Andrew, St. Catherine) is stated in the attestation block.
- Fee terms: Choose whether the agent is uncompensated, paid a retainer, or paid a percentage under Section 2.1. Remove unused alternatives.
Step 2: Verification of Signatory Authority
- Individual: Verify the Principal has capacity and is not subject to mental health proceedings, guardianship, or bankruptcy orders.
- Corporate Entity: If the Principal is a company registered under the Jamaican Companies Act, confirm that a certified Board of Directors Resolution authorizes this Power of Attorney and that execution aligns with the company's Articles of Incorporation (typically signed by two Directors or one Director and the Company Secretary, under common seal).
Step 3: Execution and Witnessing Formalities
- Under Seal: Because Jamaican real property and financial transfer laws require a Power of Attorney to operate as a deed, the document must be signed and sealed. Individual principals should affix a red wafer seal or write the word "SEAL" alongside their signature.
- Attestation: The Principal must sign in the physical presence of a Justice of the Peace (JP) for Jamaica or an Attorney-at-Law.
- Execution Abroad: If executed outside of Jamaica, the Principal must sign before a Notary Public or a Jamaican Consular Officer. The Notary must affix their official seal. An Apostille (or consular legalization) is required if the executing country is an Apostille Convention member.
Step 4: Digital Signature Considerations
- Under the Electronic Transactions Act of Jamaica, electronic signatures are legally recognized for general commercial contracts.
- Critical Land/Deed Exception: The Registrar of Titles (NLA) and the Island Record Office (IRO) require physical, "wet-ink" signatures for real property instruments, transfers, and deeds of power of attorney affecting land. Do not use DocuSign, Adobe Sign, or other electronic signatures if this instrument will be used for Jamaican land transfers, real estate conveyancing, or registration with the Registrar of Titles or Island Record Office.
Step 5: Statutory Stamping, Enrollment, and Registration
- Stamp Duty Assessment: Take the original executed and witnessed deed to Tax Administration Jamaica (TAJ), Stamp Duty and Transfer Tax Division. Pay the required stamp duty pursuant to the Stamp Duty Act. TAJ will impress an official embossed stamp on the document.
- Island Record Office (IRO) Enrollment:
- Submit the stamped original deed to the Island Record Office (Twickenham Park, Spanish Town, St. Catherine).
- Pay the recording and copying fees.
- The IRO will assign a formal Liber and Folio number (e.g., Liber New Series), which serves as public notice under the Record Office Act.
- Deposit at Registrar of Titles (National Land Agency):
- If the Attorney-in-Fact will deal with registered land titles, deposit the stamped, IRO-enrolled original or an office copy with the Registrar of Titles (23½ Charles Street, Kingston) pursuant to Section 148 of the Registration of Titles Act.
Step 6: Record Retention and Operations
- Maintain the stamped and enrolled original in a fireproof safe or secure corporate vault.
- Provide certified copies (issued by the Island Record Office) to financial institutions, utility providers, and the Companies Office of Jamaica as needed.
- Maintain a separate administrative file containing the Agent's periodic accounting ledgers, transaction vouchers, bank reconciliations, and tax clearance certificates.
