INSTITUTIONAL POWER OF ATTORNEY AND COMPLIANCE MANAGEMENT AGREEMENT
FEDERAL MOTOR CARRIER SAFETY ADMINISTRATION (FMCSA)
DOCUMENT ID: FMCSA-POA-2026-V1.0
EFFECTIVE DATE: [Effective Date]
VERSION: 1.0
GOVERNING JURISDICTION: Federal Law of the United States and the State of [State of Jurisdiction]
1. STATUTORY & LEGAL COMPLIANCE NOTICE
CRITICAL LEGAL NOTICE: This document constitutes a formal Power of Attorney (POA) and binding legal agreement specifically tailored for interactions, filings, and regulatory compliance before the United States Department of Transportation (USDOT) and the Federal Motor Carrier Safety Administration (FMCSA). The Principal acknowledges that the execution of this document grants the designated Attorney-in-Fact/Agent broad legal authority to act on behalf of the Principal in matters concerning motor carrier operating authority, safety registrations, Unified Carrier Registration (UCR), process agent designations (BMC-91/BMC-91X, BMC-84/BMC-85), and electronic data interchanges via the FMCSA Unified Registration System (URS) and Motor Carrier Management Information System (MCMIS).
While drafted by senior corporate counsel to satisfy federal regulatory standards and common law agency principles, the enforceability of specific administrative delegations can vary based on operational scope, state-level corporate authorities, and evolving federal rules. Both parties are strongly advised to seek independent legal and regulatory counsel to verify that this instrument aligns with their specific corporate governance structures, insurance undertakings, and compliance workflows before execution.

SECTION 4: TERM & TERMINATION
4.1 Term. This Agreement shall commence on the Effective Date and shall continue for a period of [Number, e.g., one (1)] year(s) (the "Initial Term"), automatically renewing for successive one-year terms (each a "Renewal Term") unless either Party provides written notice of non-renewal at least sixty (60) days prior to the expiration of the then-current term.

The Receiving Party shall protect the Disclosing Party's Confidential Information with the same degree of care it uses for its own confidential data (but not less than reasonable care), shall not disclose it to any third party except as required by law or regulatory mandate (including disclosures to the FMCSA necessary to perform the Services), and shall use it solely for the performance of obligations under this Agreement.
6.3 Exclusions. Confidential Information does not include information that: (a) is or becomes publicly known through no breach by the Receiving Party; (b) was already in the possession of the Receiving Party prior to disclosure; (c) is independently developed by the Receiving Party without reference to the Disclosing Party's Confidential Information; or (d) is required to be disclosed by court order, subpoena, or federal regulatory requirement.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR OPERATIONAL DOWNTIME, ARISING OUT OF OR RELATING TO THIS AGREEMENT. THE TOTAL AGGREGATE LIABILITY OF THE ATTORNEY-IN-FACT UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY THE PRINCIPAL TO THE ATTORNEY-IN-FACT UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
8.2 Indemnification by Principal. The Principal agrees to defend, indemnify, and hold harmless the Attorney-in-Fact, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, penalties, fines, and expenses (including reasonable attorneys' fees) arising out of or resulting from: (a) any material breach of this Agreement by the Principal; (b) the falsity, inaccuracy, or omission of any data provided by the Principal for FMCSA filings; or (c) any violation of the FMCSRs or federal laws by the Principal.

If the dispute is not resolved through negotiation, it shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The place of arbitration shall be [City, State]. The arbitration shall be conducted by a single neutral arbitrator, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
9.3 Injunctive Relief. Notwithstanding the foregoing, either Party may seek temporary or preliminary injunctive relief in a court of competent jurisdiction to protect its intellectual property rights or Confidential Information prior to or during arbitration proceedings.
SECTION 10: GOVERNING LAW & JURISDICTION
10.1 Governing Law. This Agreement, and all claims or causes of action arising out of or relating to it, shall be governed by, construed, and enforced in accordance with the federal laws of the United States and the internal laws of the State of [State of Jurisdiction], without regard to its conflict of laws principles.
10.2 Jurisdiction. Subject to Section 9, each Party irrevocably submits to the exclusive jurisdiction of the state and federal courts located within [County, State] for any legal action or proceeding arising out of this Agreement.
SECTION 11: MISCELLANEOUS PROVISIONS
11.1 Severability. If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall remain in full force and effect.
11.2 Counterparts; Electronic Signatures. This Agreement may be executed in one or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
