  9. "Security Deposit" means the sum of [Dollar Amount] ($[Numeric Amount]), deposited by Tenant with Landlord as security for the full and faithful performance of Tenant's obligations under this Agreement.

3. SUBSTANTIVE TERMS & OBLIGATIONS

3.1 Demise and Term

Landlord hereby leases to Tenant, and Tenant hereby takes from Landlord, the Leased Premises for the Lease Term, subject to the terms and conditions set forth herein. The Lease Term shall commence on the Commencement Date and shall terminate on the Expiration Date, without the necessity of any notice from either Landlord or Tenant.

3.2 Rent and Payment Obligations

  1. Base Rent: Tenant shall pay to Landlord, without demand, setoff, or deduction, the initial Base Rent of [Dollar Amount] ($[Numeric Amount]) per month, payable in advance on or before the first (1st) day of each calendar month during the Lease Term.
  2. Additional Rent: Tenant shall pay all Additional Rent as billed by Landlord, including Tenant’s proportionate share of Operating Expenses, which is agreed to be [Percentage, e.g., 15.5]% of the total Building Operating Expenses.
  3. Late Charges: If any installment of Base Rent or Additional Rent is not received by Landlord within [Number, e.g., 5] days after its due date, Tenant shall pay a late charge equal to [Percentage, e.g., 5]% of the overdue amount to compensate Landlord for administrative costs.
  4. Place of Payment: All payments of Rent shall be delivered to Landlord at the address set forth in the preamble or to such other address or electronic account as Landlord may designate from time to time in writing.

3.3 Security Deposit

Upon the execution of this Agreement, Tenant shall deposit with Landlord the Security Deposit. Landlord may hold the Security Deposit without liability for interest and may apply the same to remedy any default by Tenant in the payment of Rent, repair of damage, or cleaning of the Leased Premises. If Landlord applies any portion of the Security Deposit during the Lease Term, Tenant shall, within [Number, e.g., 10] business days after written demand, deposit sufficient funds with Landlord to restore the Security Deposit to its original amount.

3.4 Use of Leased Premises

  1. Permitted Use: Tenant shall use and occupy the Leased Premises solely for the Permitted Use and for no other purpose. Tenant shall not use or permit the Leased Premises to be used in any manner that is unlawful, creates a nuisance, or voids any insurance policies maintained by Landlord.
  2. Compliance with Laws: Tenant shall, at its sole cost and expense, promptly comply with all applicable federal, state, provincial, municipal, and local laws, codes, ordinances, rules, and regulations governing the Leased Premises and Tenant’s specific use thereof.

3.5 Maintenance, Repairs, and Alterations

  1. Landlord Obligations: Landlord shall maintain and repair the structural elements of the Building, the roof, foundation, exterior walls, and the common building systems (plumbing, electrical, HVAC) in good working order, except where repairs are required due to the negligence or willful misconduct of Tenant, its agents, employees, or invitees.
  2. Tenant Obligations: Tenant shall, at its sole cost and expense, maintain the interior of the Leased Premises in a clean, safe, and sanitary condition, and make all necessary interior non-structural repairs occasioned by Tenant's operations.
  3. Alterations: Tenant shall not make any structural alterations, additions, or improvements to the Leased Premises without the prior written consent of Landlord, which consent shall not be unreasonably withheld, delayed, or conditioned. All approved alterations shall become the property of Landlord upon the expiration or termination of this Agreement, unless Landlord requires their removal pursuant to Section 3.6.

3.6 Surrender of Leased Premises

Upon the expiration or earlier termination of this Agreement, Tenant shall peaceably surrender the Leased Premises to Landlord in as good condition as when received, ordinary wear and tear and damage by casualty excepted. Tenant shall remove all its trade fixtures, furniture, and personal property, and shall repair any damage caused by such removal. Any property not so removed shall be deemed abandoned by Tenant and may be retained or disposed of by Landlord at Tenant's sole expense.

4. DEFAULT, TERMINATION, AND REMEDIES

4.1 Events of Default

The occurrence of any one or more of the following events shall constitute a material breach and "Event of Default" by Tenant under this Agreement:

  1. Failure by Tenant to pay any installment of Base Rent, Additional Rent, or any other monetary obligation when due, where such failure continues for a period of [Number, e.g., 5] business days after written notice from Landlord.
  2. Failure by Tenant to observe or perform any other covenant, condition, or agreement contained in this Agreement within thirty (30) business days after written notice specifying the nature of the default has been delivered to Tenant by Landlord.
  3. The filing of a petition by or against Tenant under any bankruptcy or insolvency law, the appointment of a receiver or trustee for all or substantially all of Tenant's assets, or the execution of an assignment for the benefit of creditors.
  4. The abandonment or vacation of the Leased Premises by Tenant for a consecutive period exceeding [Number, e.g., 15] days.

4.2 Notice and Cure Periods

Except for monetary defaults which shall be governed by Section 4.1(1), and emergencies posing an immediate threat to life, safety, or property, the defaulting Party shall be afforded a period of thirty (30) business days from the receipt of written notice of default within which to cure said default prior to the non-defaulting Party exercising legal remedies. If the default cannot reasonably be cured within thirty (30) business days through the exercise of due diligence, the cure period shall be extended for a reasonable duration, provided the defaulting Party commences the cure within the initial thirty-day period and diligently prosecutes the same to completion.

4.3 Landlord’s Remedies

Upon the occurrence of an Event of Default that remains uncured following the applicable cure period, Landlord shall have the right, at its sole election, to pursue any one or more of the following legal and equitable remedies without further notice or demand:

  1. Termination of Lease: Terminate this Agreement and Tenant's right to possession of the Leased Premises, recover all damages proximately caused by Tenant's default (including past-due Rent and the present value of future Rent for the remainder of the Lease Term), and re-enter the Leased Premises.
  2. Possession Retained: Retain possession of the Leased Premises and relet the same, or any part thereof, for the account of Tenant, applying the proceeds derived therefrom against Tenant's obligations hereunder.
  3. Cure on Behalf of Tenant: Perform the unfulfilled obligation on behalf of Tenant, in which case all costs and expenses incurred by Landlord, together with interest at the maximum legal rate, shall be immediately due and payable by Tenant as Additional Rent.
  4. Cumulative Remedies: Pursue any other remedy available at law or in equity, all remedies being cumulative and non-exclusive.

5. BOILERPLATE LEGAL PROVISIONS

5.1 Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from this Agreement. The remaining provisions of this Agreement shall remain in full force and effect and shall not be affected, impaired, or invalidated.

5.2 Entire Agreement

This Agreement, together with any attached exhibits, schedules, and addenda, constitutes the entire agreement between Landlord and Tenant pertaining to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written, of the Parties. No amendment, modification, or waiver of any provision of this Agreement shall be binding unless executed in writing by both Parties.

5.3 Force Majeure

Neither Landlord nor Tenant shall be held liable or responsible for any failure to perform, or delay in performing, any obligation under this Agreement (other than the obligation to pay Rent) when such failure or delay is caused by acts of God, natural disasters, war, civil unrest, terrorism, labor strikes, pandemics, government restrictions, utility failures, or any other cause beyond the reasonable control of the affected Party ("Force Majeure"). The time for performance of any such obligation shall be extended for a period equal to the duration of the Force Majeure event.

5.4 Governing Law and Jurisdiction

This Agreement shall be interpreted, construed, governed, and enforced in accordance with the laws of the Province/State of [Jurisdiction], without regard to its conflict of laws principles. The Parties hereby irrevocably submit to the exclusive jurisdiction of the courts located within [County or Judicial District], [Jurisdiction] for the resolution of any dispute arising under this Agreement.

5.5 Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or validity thereof, shall be settled first through good-faith negotiations between designated senior executives of the Parties. If the dispute cannot be resolved within thirty (30) days of the initial demand for negotiation, the Parties agree to submit the dispute to binding arbitration administered by [Arbitration Body, e.g., the American Arbitration Association / ADR Chambers] in accordance with its commercial arbitration rules, with the proceedings to be held in [City, State/Province].
