RECITALS

1. SCOPE OF SERVICES

1.1. 1.3. Performance Standards: Contractor shall perform the Services in a professional, diligent, and workmanlike manner, in accordance with generally accepted industry standards and practices, and to the reasonable satisfaction of Nonprofit. Contractor shall comply with all applicable laws, regulations, and Nonprofit policies relevant to the Services.


2. TERM OF AGREEMENT

2.1. Commencement: This Agreement shall commence on [____/____/2026].

3. COMPENSATION AND PAYMENT

3.1. All such expenses must be supported by original receipts.

3.4. Invoicing: Contractor shall submit invoices to Nonprofit at [____________________] (email/address) in a format acceptable to Nonprofit, detailing the Services performed, hours worked (if applicable), and any pre-approved expenses.

3.5. Taxes: Contractor acknowledges and agrees that it is an independent contractor and not an employee of Nonprofit. As such, Contractor is solely responsible for all federal, state, and local taxes, including income tax, social security, Medicare, and unemployment taxes, arising from the compensation paid under this Agreement. Nonprofit will not withhold any taxes from payments made to Contractor. Contractor agrees to indemnify and hold Nonprofit harmless from any claims, losses, or expenses related to Contractor's tax obligations. Nonprofit will issue a Form 1099-NEC to Contractor if required by law.


4. INDEPENDENT CONTRACTOR STATUS

4.1. No Employment Relationship: Contractor is an independent contractor and not an employee, agent, partner, or joint venturer of Nonprofit. Contractor shall have no authority to bind Nonprofit to any agreement or obligation.

4.2. No Benefits: Contractor is not entitled to any employee benefits, including but not limited to, health insurance, paid time off, retirement plans, or worker's compensation insurance from Nonprofit.

4.3. Control of Work: Contractor shall have sole control over the manner and means of performing the Services, subject to Nonprofit's reasonable right to inspect and evaluate the work. Contractor shall furnish its own equipment, tools, and materials necessary to perform the Services, unless otherwise expressly agreed upon in writing by the parties.

4.4. Other Clients: Contractor may perform services for other clients during the term of this Agreement, provided such services do not create a conflict of interest or interfere with the Contractor’s ability to perform the Services for Nonprofit.


5. CONFIDENTIALITY

5.1. Definition: "Confidential Information" means all non-public information, whether written or oral, disclosed by Nonprofit to Contractor or accessed by Contractor in connection with the Services, including, but not limited to, donor lists, fundraising strategies, program details, beneficiary information, financial data, intellectual property, and trade secrets.

5.2. Obligation: Contractor agrees to hold all Confidential Information in strict confidence and not to disclose it to any third party or use it for any purpose other than performing the Services for Nonprofit, both during and after the term of this Agreement.

5.3. Return of Materials: Upon termination or expiration of this Agreement, Contractor shall immediately return to Nonprofit all Confidential Information, documents, data, and materials (including all copies thereof) belonging to Nonprofit or relating to the Services.


6. INTELLECTUAL PROPERTY

6.1. Work Product: All work product, including but not limited to, reports, documents, designs, software, presentations, data, and any other materials created by Contractor in the course of performing the Services (collectively, "Work Product") shall be considered "work made for hire" under copyright law, and the Nonprofit shall be the sole and exclusive owner of all rights, title, and interest in and to the Work Product, including all intellectual property rights therein.

6.2. Assignment: To the extent that any Work Product may not be deemed a "work made for hire," Contractor hereby irrevocably assigns to Nonprofit all rights, title, and interest, including all intellectual property rights, in and to the Work Product.

6.3. Assistance: Contractor agrees to execute all documents and take all actions reasonably necessary to perfect Nonprofit's ownership of the Work Product and the intellectual property rights therein.

6.4. Pre-existing IP: Contractor retains ownership of any intellectual property created by Contractor prior to or independently of this Agreement. Contractor grants Nonprofit a non-exclusive, royalty-free, worldwide license to use such pre-existing intellectual property solely as necessary to utilize the Work Product.


7. REPRESENTATIONS AND WARRANTIES

Contractor represents and warrants that: 7.1. It has the full right, power, and authority to enter into this Agreement and perform the Services. 7.2. The Services will be performed in a professional manner consistent with the highest industry standards. 7.3. The Work Product will be original (except for pre-existing IP) and will not infringe upon the intellectual property rights of any third party. 7.4. It will comply with all applicable federal, state, and local laws, regulations, and ordinances in performing the Services.


8. INDEMNIFICATION

Contractor agrees to indemnify, defend, and hold harmless Nonprofit, its officers, directors, employees, and agents from and against any and all claims, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) Contractor's breach of this Agreement; (b) Contractor's negligence or willful misconduct in performing the Services; (c) any claim that the Work Product or Contractor’s activities infringe upon the intellectual property or other rights of any third party; or (d) any claim by a government agency or third party that Contractor is an employee of Nonprofit.


9. INSURANCE

Contractor shall, at its own expense, maintain adequate insurance coverage to protect against liabilities arising out of the performance of the Services, including, but not limited to, professional liability (errors & omissions) insurance, general liability insurance, and workers' compensation insurance (if required by law for Contractor's employees). Contractor shall provide Nonprofit with certificates of insurance upon request. Minimum coverage limits:

  • General Liability: $[__________] per occurrence.

10. TERMINATION

10.1. Termination for Cause: Either party may terminate this Agreement immediately upon written notice if the other party materially breaches any provision of this Agreement and fails to cure such breach within [__________] days after receiving written notice thereof.

10.2. Termination for Convenience: Nonprofit may terminate this Agreement for convenience, at any time, by providing [__________] days' written notice to Contractor. 10.3. Effect of Termination: Upon termination, Contractor shall cease all work, submit a final invoice, and immediately return all Nonprofit property and Confidential Information. Sections 4, 5, 6, 8, 11, and 12 shall survive any termination or expiration of this Agreement.


11. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of [__________], without regard to its conflict of laws principles. 12. GENERAL PROVISIONS

12.2. Amendments: No modification or amendment of this Agreement shall be valid unless in writing and signed by both parties.

12.4. Waiver: The failure of either party to enforce any provision of this Agreement shall not be construed as a waiver of such provision or the right to enforce it thereafter.

Notices shall be deemed effective upon personal delivery, three (3) business days after mailing by certified mail, return receipt requested, or one (1) business day after sending by reputable overnight courier or email with confirmation of receipt.

12.6. Assignment: Contractor shall not assign or transfer any rights or obligations under this Agreement without the prior written consent of Nonprofit. Nonprofit may assign its rights and obligations under this Agreement.

12.7. Counterparts: This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.

12.8. Compliance with Nonprofit Mission: Contractor agrees to perform services in a manner consistent with the Nonprofit's mission, values, and ethical guidelines, refraining from any activities that could harm the Nonprofit's reputation or jeopardize its tax-exempt status.
