ARTICLE II: BOARD OF DIRECTORS

Section 2.1 Powers

The business and affairs of the Corporation shall be managed, directed, and controlled by or under the direction of the Board of Directors. The Board of Directors may exercise all such powers of the Corporation and do all such lawful acts and things as are not by statute, by the Articles of Incorporation, or by these Bylaws directed or required to be exercised or done by the members, if any.

Section 2.2 Number, Qualification, and Election

The number of Directors constituting the entire Board of Directors shall be not less than [Minimum Number, e.g., three (3)] nor more than [Maximum Number, e.g., fifteen (15)], with the exact number to be fixed from time to time by resolution of the Board of Directors. Directors shall be natural persons of full age and need not be residents of the Commonwealth of Pennsylvania. Directors shall be elected by the affirmative vote of a majority of the Directors then in office at the annual meeting of the Board of Directors.

Section 2.3 Term of Office

Each Director shall hold office for a term of [Number, e.g., three (3)] years, or until such Director's successor has been elected and qualified, or until such Director's earlier death, resignation, or removal. To ensure continuity, the terms of the Directors shall be staggered as determined by the initial Board of Directors. No individual shall serve for more than [Number, e.g., two (2)] consecutive full terms, excluding any partial term served to fill a vacancy.

Section 2.4 Resignation and Removal

Any Director may resign at any time by giving written notice to the President, the Secretary, or the Board of Directors. A Director elected to fill a vacancy shall be elected for the unexpired term of their predecessor in office.

Section 3.5 Quorum and Voting

A majority of the Directors in office shall constitute a quorum for the transaction of business at any meeting of the Board of Directors. If a quorum is present, the act of a majority of the Directors present shall be the act of the Board of Directors, unless the act of a greater number is required by law, the Articles of Incorporation, or these Bylaws.
