3. OPERATIVE CLAUSES & TERMS

SECTION 1: GRANT OF LEASE

Landlord hereby leases the Premises to Tenant, and Tenant hereby leases the Premises from Landlord, subject to all terms, covenants, and conditions set forth in this Agreement. The Premises includes the non-exclusive right to use common areas, parking facilities, and walkways, subject to Landlord's rules and regulations.

SECTION 2: TERM

If Landlord is unable to deliver possession of the Premises to Tenant by the Commencement Date due to construction delays or holdover of prior tenants, Landlord shall not be liable for any damage caused thereby, and this Agreement shall remain in full force and effect, except that the Commencement Date and Rent obligations shall be abated until possession is tendered to Tenant.

SECTION 3: RENT, LATE FEES, AND TAXES

  1. Base Rent: Tenant shall pay to Landlord Base Rent without prior notice, demand, setoff, or deduction, on or before the first (1st) day of each calendar month. Payments shall be remitted to [Payment Address/Instructions].

SECTION 6: UTILITIES AND SERVICES

  1. Tenant Responsibilities: Tenant shall directly contract and pay for all utilities consumed on the Premises, including electricity, gas, internet, telecommunications, and janitorial services.
  2. Landlord Responsibilities: Landlord shall provide structural maintenance, roof upkeep, parking lot maintenance, and common area lighting/HVAC services (if applicable to the Building structure).

SECTION 7: MAINTENANCE, REPAIRS, AND ALTERATIONS

  1. Tenant Maintenance: Tenant shall keep the interior of the Premises in a clean, sanitary, and good operating condition, performing minor interior repairs resulting from Tenant's operations.
  2. Landlord Maintenance: Landlord shall maintain the structural integrity, foundation, exterior walls, roof, and core utility systems of the Building.
  3. Alterations: Tenant shall not make structural alterations, additions, or improvements to the Premises without Landlord's prior written consent, which shall not be unreasonably withheld. Any approved alterations shall become the property of Landlord upon termination of this Agreement unless Landlord requests their removal.

SECTION 8: INSURANCE AND INDEMNIFICATION
