1. Instructions for Use
- Completion: This form must be completed in full by the Company Representative and the Employee prior to the Employee commencing employment or gaining access to Confidential Information.
- Filing & Retention: The original signed agreement must be securely filed in the Employee's personnel file. Retain for a minimum of seven (7) years post-termination of employment.
- Mandatory Attachments: No additional attachments are strictly mandatory unless specific schedules of Confidential Information are deemed necessary by legal counsel (in which case, list and attach as "Schedule A").

3. Recitals
WHEREAS, the Company is engaged in business activities requiring the use and development of highly sensitive proprietary information, trade secrets, and other confidential materials;
WHEREAS, the Employee is employed by the Company in a position where the Employee will have access to, be exposed to, or create such Confidential Information;
WHEREAS, the Company desires to protect its legitimate business interests by ensuring the confidentiality of such information, and the Employee agrees to be bound by the terms herein in consideration of their employment and access to such information.
NOW, THEREFORE, in consideration of the mutual covenants contained herein and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:
4. Definition of Confidential Information
"Confidential Information" shall mean any and all non-public information, whether commercial, financial, technical, operational, strategic, or otherwise, related to the Company's current or prospective business, operations, clients, employees, products, services, technology, research, development, processes, strategies, data, know-how, and trade secrets, regardless of whether such information is marked as "confidential" or not, and regardless of the form or medium in which it is stored or communicated (e.g., written, oral, electronic, visual).
Confidential Information includes, but is not limited to:
- (a) Business plans, marketing strategies, client lists, pricing structures, financial data.
- (b) Proprietary software, algorithms, source code, object code, development methodologies.
- (c) Inventions, discoveries, research results, product designs, specifications, prototypes.
- (d) Employee data, personnel records, compensation structures.
- (e) Manufacturing processes, operational procedures, supply chain information.
- (f) Information received from third parties under an obligation of confidentiality.
5. Obligations of Employee
The Employee agrees to:
- (a) Maintain Confidentiality: Hold all Confidential Information in strict confidence and not disclose it to any third party without the prior written consent of the Company.
- (b) Limit Use: Use Confidential Information solely for the performance of duties for the Company and for no other purpose, personal or otherwise.
- (c) Protect Information: Take all reasonable measures to protect the secrecy of and avoid unauthorized disclosure or use of Confidential Information.
- (d) No Copying/Removal: Not copy, reproduce, or remove any Confidential Information from the Company's premises or systems, except as required for legitimate business purposes and with proper authorization.
- (e) Inform of Unauthorized Disclosure: Immediately notify the Company upon discovery of any unauthorized use or disclosure of Confidential Information.
6. Exclusions from Confidential Information
Confidential Information shall not include information that:
- (a) Is or becomes publicly available through no fault or breach of this Agreement by the Employee.
- (b) Is rightfully known to the Employee at the time of disclosure without an obligation of confidentiality, as evidenced by written records.
- (c) Is lawfully obtained by the Employee from a third party without restriction on disclosure and without breach of this Agreement.
- (d) Is independently developed by the Employee without reference to or reliance upon any Confidential Information, as evidenced by written records.
- (e) Is required to be disclosed by law, court order, or governmental agency, provided that the Employee gives prompt written notice to the Company prior to such disclosure (if legally permissible) to allow the Company to seek a protective order or other appropriate remedy.
7. Term and Survival
This Agreement commences on the Effective Date and continues throughout the Employee's employment with the Company. The obligations of the Employee under Sections 5 (Obligations of Employee) and 8 (Return of Materials) shall survive the termination of the Employee's employment for any reason, indefinitely.
8. Return of Materials
Upon termination of employment for any reason, or at any time upon the Company's request, the Employee shall immediately return to the Company all Confidential Information (including all copies thereof), Company property, and all other documents, devices, and materials belonging to the Company or relating to its business that are in the Employee's possession or control. The Employee shall also delete all Confidential Information from any personal devices or storage media.
9. Remedies
The Employee acknowledges that unauthorized disclosure or use of Confidential Information would cause irreparable harm to the Company for which monetary damages would be inadequate. Therefore, the Company shall be entitled to seek injunctive relief to prevent actual or threatened breach of this Agreement, in addition to any other remedies available at law or in equity.
10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of [__________], without regard to its conflict of laws principles.
11. Severability
If any provision of this Agreement is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be severed from the Agreement, and the remainder of the Agreement shall remain in full force and effect.
12. Entire Agreement
This Agreement constitutes the entire agreement between the Employee and the Company regarding the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written, of the parties.
13. Assignment
This Agreement is personal to the Employee and may not be assigned by the Employee. The Company may assign its rights and obligations under this Agreement.
14. Waiver
No waiver by the Company of any breach of this Agreement shall be effective unless in writing and signed by an authorized representative of the Company. A waiver of any breach shall not constitute a waiver of any subsequent breach.
15. Not an Employment Contract
This Agreement does not constitute a contract of employment and does not guarantee employment for any definite period. Employment with the Company remains at-will, unless otherwise specified in a separate, written employment agreement.
16. Execution and Signature
