Except as otherwise provided herein, the non-defaulting Party shall provide written notice of default specifying the exact nature of the breach. The defaulting Party shall have a period of thirty (30) business days from the receipt of such notice to cure said default (the "Cure Period"). If the default is not susceptible to cure within thirty (30) business days through the exercise of diligent commercial efforts, but the defaulting Party has commenced and is actively prosecuting a cure, the Cure Period may be extended for an additional period not to exceed [Number] days, upon written agreement of the Parties.

4.3 Termination Rights

  1. 4.5 Legal Recourse and Remedies

In the event of a breach, the non-defaulting Party shall be entitled to exercise all remedies available at law or in equity, including specific performance, injunctive relief, and recovery of actual damages. The prevailing Party in any legal action, arbitration, or proceeding arising out of this Agreement shall be entitled to recover its reasonable attorneys' fees, court costs, and expert witness fees.

5.2 Entire Agreement

This Agreement, including any exhibits and attachments referenced herein, constitutes the entire agreement between Owner and Manager regarding the subject matter hereof, and supersedes all prior oral or written agreements, negotiations, commitments, and understandings between the Parties. No modification, amendment, or waiver of any provision shall be valid unless executed in writing by both Parties.

5.3 Force Majeure

Neither Party shall be liable for any failure to perform its obligations under this Agreement if such failure stems from a Force Majeure Event, provided that the affected Party gives prompt written notice to the other Party detailing the cause and expected duration. Performance obligations shall be suspended for the duration of the Force Majeure Event, but if such event continues for more than [Number, e.g., 60] consecutive days, either Party may terminate this Agreement upon written notice.

5.4 Governing Law and Venue

5.5 Dispute Resolution (Mediation and Arbitration)

Any controversy or claim arising out of or relating to this Agreement, or the breach thereof, shall be settled first by good-faith negotiation between the principals. If such negotiations fail within thirty (30) days, the dispute shall be submitted to binding arbitration administered by the [Arbitration Body, e.g., American Arbitration Association] in accordance with its commercial arbitration rules. The place of arbitration shall be [City, State], and the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
