1. DOCUMENT PREAMBLE & RECITALS

THIS REMOTE WORK POLICY (the "Agreement" or "Policy") is entered into and made effective as of [Effective Date] (the "Effective Date"), by and between Microsoft Corporation, a [State of Incorporation] corporation, having its principal place of business at One Microsoft Way, Redmond, WA 98052 (hereinafter referred to as "Microsoft" or the "Company"), and [Employee Legal Name], an individual whose primary residence is located at [Employee Residential Address] (hereinafter referred to as the "Employee").

RECITALS

WHEREAS, Microsoft desires to establish clear, binding operational, legal, and administrative parameters under which the Employee may perform assigned employment duties from an Approved Alternative Worksite rather than a designated Microsoft corporate facility; and

WHEREAS, the Employee acknowledges that remote work is a specialized privilege and operational arrangement conditioned upon strict adherence to performance standards, data security protocols, and compliance with all Company policies and applicable laws; and

WHEREAS, both Parties intend for this Agreement to govern the rights, duties, obligations, and liabilities of the respective Parties relative to remote employment operations within the jurisdiction of [Jurisdiction].

NOW, THEREFORE, in consideration of the mutual covenants, promises, and conditions contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby mutually acknowledged, the Parties agree as follows:

2. OPERATIONAL DEFINITIONS

For purposes of this Agreement, the following terms shall have the meanings ascribed below, and such definitions shall be equally applicable to both the singular and plural forms of the terms defined:

  1. "Approved Alternative Worksite" means the specific physical residential location or alternative workspace approved in writing by Microsoft management where the Employee is authorized to perform work duties, specifically located at [Approved Address].
  2. "Company Information" means all proprietary, confidential, or trade secret information, data, software, source code, documentation, financial information, customer lists, and intellectual property owned, licensed, or utilized by Microsoft.
  3. "Core Working Hours" means the mandatory hours of [Start Time] to [End Time] in the [Time Zone] time zone during which the Employee must be immediately accessible via Company-approved communication channels.
  4. "Equipment" means all hardware, software, peripherals, mobile devices, security tokens, and corporate property supplied by Microsoft to the Employee for the execution of remote duties.
  5. "Force Majeure Event" means any catastrophic act of God, natural disaster, war, terrorism, civil unrest, widespread utility or internet infrastructure failure, or government-mandated lockdown beyond the reasonable control of the affected Party.
  6. "Information Security Policy" means Microsoft’s mandatory corporate security guidelines, cryptographic standards, multi-factor authentication mandates, and data classification protocols as updated from time to time.
  7. "Primary Work Location" means the standard Microsoft office, campus, or facility to which the Employee is officially assigned prior to or outside the scope of this remote arrangement.

3. SUBSTANTIVE TERMS & OBLIGATIONS

3.1 Authorization and Scope

Microsoft grants the Employee conditional authorization to perform employment duties exclusively from the Approved Alternative Worksite. This arrangement does not constitute an amendment to the Employee’s at-will employment status, nor does it create a permanent right to remote work.

3.2 Performance Metrics and Productivity Standards

  1. The Employee shall maintain performance levels, output metrics, and responsiveness equivalent to or exceeding those required of employees working on-site at a Primary Work Location.
  2. The Employee shall participate in mandatory scheduled check-ins, team meetings, and performance reviews as directed by Microsoft management.
  3. Failure to meet established Key Performance Indicators (KPIs) shall constitute grounds for immediate revocation of remote work privileges and/or formal disciplinary action up to and including termination of employment.

3.3 Equipment, Maintenance, and Workspace Safety

  1. Provision of Equipment: Microsoft shall provide necessary Equipment. All Equipment remains the sole and exclusive property of Microsoft.
  2. Use and Security: The Employee shall use the Equipment exclusively for authorized Microsoft business purposes. The Employee shall not permit any third party, including family members, to access or utilize Microsoft Equipment or Company Information.
  3. Home Office Safety: The Employee warrants that the Approved Alternative Worksite is safe, secure, free from recognized hazards, and compliant with applicable occupational health and safety standards. The Employee shall immediately report any work-related injury sustained at the Approved Alternative Worksite to Microsoft Human Resources within twenty-four (24) hours of occurrence.
  4. Inspection Rights: Upon reasonable prior notice (not less than twenty-four (24) hours), Microsoft reserves the right to inspect the designated workspace at the Approved Alternative Worksite to verify compliance with safety, security, and equipment maintenance standards.

3.4 Data Security, Confidentiality, and Compliance

  1. Information Security: The Employee shall strictly adhere to Microsoft’s Information Security Policy. This includes utilizing secure, encrypted virtual private networks (VPNs), mandatory multi-factor authentication, and locking all workstations whenever unattended.
  2. Confidentiality: The Employee shall prevent unauthorized access, viewing, or interception of Company Information by household members, guests, or third parties. Physical documents containing Company Information must be stored in locked receptacles and shredded securely in accordance with Microsoft document retention policies.
  3. Prohibited Jurisdictions: The Employee shall not access Company Information, networks, or systems from any location outside the Approved Alternative Worksite without prior written authorization from Microsoft Legal and Security departments. Cross-border remote work is strictly prohibited unless pre-cleared by corporate compliance.

3.5 Expenses and Compensation

  1. Business Expenses: Microsoft shall reimburse the Employee only for pre-approved, necessary business expenses incurred directly in the performance of duties, in strict accordance with the Microsoft Corporate Travel and Expense Policy.
  2. Non-Reimbursable Expenses: Unless explicitly mandated by local statutory law, Microsoft shall not reimburse costs associated with residential utilities, standard high-speed internet service, home maintenance, heating, air conditioning, or general workspace furniture at the Approved Alternative Worksite.
  3. Working Time and Overtime: Non-exempt employees must accurately log all hours worked. Any overtime, shift differential, or off-hours work must be authorized in advance by the Employee's direct supervisor.

4. DEFAULT, TERMINATION, AND REMEDIES

4.1 Events of Default

The occurrence of any of the following shall constitute an immediate "Event of Default" under this Agreement:

  1. Material breach of any substantive term, security protocol, or confidentiality obligation set forth herein.
  2. Unauthorized relocation of the Approved Alternative Worksite.
  3. Failure to maintain required productivity metrics or communication responsiveness.
  4. Gross negligence, willful misconduct, or violation of Microsoft’s Standards of Business Conduct while operating remotely.

4.2 Notice and Cure Period

Except in cases of severe security breaches, intentional data misappropriation, or emergency circumstances where immediate action is required, the non-defaulting Party shall provide written notice of default specifying the precise nature of the violation. The defaulting Party shall have a period of thirty (30) business days from receipt of such notice to cure said default to the reasonable satisfaction of the non-defaulting Party.

4.3 Remedies and Termination of Policy

  1. If an Event of Default is not cured within the thirty (30) business day cure period, Microsoft may immediately terminate this Agreement, revoke all remote work authorizations, and direct the Employee to report full-time to a designated Primary Work Location.
  2. Upon termination of this Agreement or termination of employment for any reason, the Employee shall immediately return all Microsoft Equipment, access tokens, physical security passes, and Company Information within forty-eight (48) hours, delivered to the address specified by Microsoft at the Employee's sole expense.
  3. Microsoft reserves all legal and equitable remedies available under law, including injunctive relief and recovery of damages arising from data breaches or unreturned Company property.

5. BOILERPLATE LEGAL PROVISIONS

5.1 Severability

If any provision, clause, or section of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity shall not affect the validity or enforceability of any other provision herein. This Agreement shall be construed as if such invalid provision had never been a part hereof, and the remaining provisions shall remain in full force and effect.

5.2 Entire Agreement

This Agreement, together with Microsoft's Employee Handbook and Code of Conduct (incorporated herein by reference), constitutes the entire understanding and agreement between the Parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, or agreements, whether written or oral.

5.3 Force Majeure

Neither Party shall be held liable for any failure or delay in performing operational obligations under this Agreement if such failure arises directly from a Force Majeure Event, provided that the affected Party uses commercially reasonable efforts to mitigate the impact and resumes performance as soon as practicable.

5.4 Governing Law

This Agreement, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, enforced under, and construed in accordance with the substantive laws of [Jurisdiction], without regard to its conflict of laws principles.

5.5 Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or validity thereof, shall be resolved through binding arbitration administered by [Arbitration Association, e.g., JAMS / American Arbitration Association] in accordance with its commercial arbitration rules. The place of arbitration shall be [City, State], and judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
