3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

SECTION 1: SCOPE OF SERVICES & ENGAGEMENT

1.1 Provision of Services. The Carrier shall provide freight transportation, cargo handling, routing, and logistics management services (the "Services") for the Shipper's goods as detailed in individual shipping orders, rate confirmations, and Bills of Lading issued pursuant to this Agreement.
1.2 Issuance of Bill of Lading. Upon receipt of the cargo for shipment, the Carrier or its authorized agent shall issue a Bill of Lading in a form compliant with applicable statutory requirements. The terms and conditions of this Agreement shall apply to and be incorporated into every Bill of Lading issued for shipments tendered by the Shipper. In the event of any direct conflict between the terms of a specific Bill of Lading and this Master Agreement, the terms of this Master Agreement shall control unless expressly modified in writing by an authorized officer of both Parties.
1.3 Tender of Cargo. The Shipper shall tender the cargo safely, securely, and in packaging suitable for transit, properly marked and addressed, accompanied by all necessary shipping documentation, customs declarations, and regulatory permits required by law.

SECTION 2: COMPENSATION & PAYMENT TERMS

2.1 Rates and Charges. The Shipper shall pay the Carrier for the Services rendered in accordance with the freight rates, accessorial charges, and fees set forth in the applicable rate confirmation, schedule of tariffs, or billing addendum attached hereto, totaling the estimated baseline sum of [Amount in USD] USD, subject to adjustment based on actual weight, volume, and realized accessorials.
2.2 Invoicing and Payment Window. The Carrier shall issue invoices to the Shipper upon completion of delivery or upon standard weekly/bi-weekly billing cycles as agreed. All undisputed invoices shall be due and payable in full within thirty (30) calendar days from the date of the invoice (Net 30).
2.3 Late Interest and Penalties. Any undisputed amounts not paid when due shall accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable law, calculated from the due date until the date of actual payment.
2.4 Disputed Invoices. If the Shipper disputes any portion of an invoice in good faith, the Shipper shall provide written notice to the Carrier within ten (10) business days of receipt of the invoice, detailing the specific grounds for dispute. The Shipper shall pay all undisputed portions of the invoice when due. The Parties shall negotiate in good faith to resolve any disputed amounts.
2.5 Lien Rights. The Carrier shall have a general and continuous lien upon all cargo, freight, and documents relating to goods in its possession or control for all charges, past and present, due from the Shipper under this Agreement or any other agreement, including storage fees, detention, demurrage, and legal costs incurred in enforcement.

SECTION 3: TERM & TERMINATION

3.1 Term. This Agreement shall commence on the Effective Date and shall continue for a period of one (1) year, automatically renewing for successive one-year terms unless either Party provides written notice of non-renewal at least sixty (60) days prior to the expiration of the then-current term.
3.2 Termination for Convenience. Either Party may terminate this Agreement at any time, with or without cause, by providing ninety (90) days prior written notice to the other Party.

Termination of this Agreement shall not release either Party from any liability, financial obligation, or accrued claim that arose prior to the effective date of termination, including the Shipper's obligation to pay for Services rendered up to the date of termination.

SECTION 4: INTELLECTUAL PROPERTY OWNERSHIP & WORK MADE FOR HIRE

4.1 Pre-Existing IP. Each Party shall retain sole and exclusive ownership of all proprietary software, proprietary routing algorithms, trademarks, trade secrets, and pre-existing intellectual property owned or developed prior to the Effective Date.
4.2 Logistics Data. All operational data, supply chain metrics, and shipping records generated by the Carrier in the performance of the Services shall remain the property of the Carrier, provided that the Shipper retains exclusive ownership of its underlying confidential business data, customer lists, and product specifications.

SECTION 5: MUTUAL CONFIDENTIALITY & NON-DISCLOSURE

5.1 Definition of Confidential Information. 5.2 Obligations of Confidentiality. The Receiving Party shall hold all Confidential Information in strict confidence, using the same degree of care it uses to protect its own proprietary information (but no less than reasonable care). The Receiving Party shall not disclose Confidential Information to any third party except to its employees, subcontractors, and legal counsel who have a need to know and are bound by confidentiality obligations at least as restrictive as those contained herein.
5.3 Exclusions. Confidential Information shall not include information that: (a) is or becomes publicly known through no breach of the Receiving Party; (b) was already in the rightful possession of the Receiving Party prior to disclosure; (c) is independently developed by the Receiving Party without reference to or reliance upon the Disclosing Party's Confidential Information; or (d) is required to be disclosed by law or court order, provided prompt written notice is given to the Disclosing Party.

The Carrier’s maximum aggregate liability for loss, damage, or delay to cargo shall be limited to the actual value of the goods at the time and place of shipment, or the released value agreed upon in the applicable Bill of Lading or tariff.
7.2 Carrier Indemnification. The Carrier shall defend, indemnify, and hold harmless the Shipper, its officers, directors, and employees from and against any and all third-party claims, liabilities, losses, damages, fines, and reasonable attorney fees arising out of the Carrier’s physical injury, property damage, or material breach of its statutory or contractual obligations.
