MENTORSHIP AGREEMENT

RECITALS

1. OPERATIONAL DEFINITIONS

1.1. "Mentorship Services" means the professional advice, guidance, feedback, and developmental sessions provided by the Mentor to the Mentee. 1.2. "Term" means the period commencing on the Effective Date and continuing until [End Date], unless terminated earlier in accordance with this Agreement. 1.3. "Confidential Information" means all non-public, proprietary, or sensitive information disclosed by one Party to the other, whether orally or in writing, designated as confidential or which should reasonably be understood to be confidential given the nature of the information. 1.4. 2. SUBSTANTIVE TERMS AND OBLIGATIONS

The Mentee agrees to act in good faith, attend all scheduled sessions, complete assigned developmental tasks, and provide timely feedback regarding the progress of the mentorship. 2.3. Nothing in this Agreement shall be construed to create a partnership, joint venture, employer-employee, or agency relationship between the Parties. 2.4. Representations. 3. DEFAULT, TERMINATION, AND REMEDIES

3.1. Termination for Cause. Either Party may terminate this Agreement immediately upon written notice if the other Party commits a material breach of any provision, provided that such breach remains uncured for a period of thirty (30) business days following receipt of written notice detailing the breach. 3.2.
