MENTORSHIP AGREEMENT

Mentor and Mentee are collectively referred to as the "Parties" and individually as a "Party."

1. RECITALS

2. OPERATIONAL DEFINITIONS

1. "Mentorship Program" means the scheduled series of advisory sessions, feedback cycles, and professional guidance provided by the Mentor to the Mentee.
2. "Confidential Information" means all non-public, proprietary, or sensitive information disclosed by one Party to the other, whether oral or written, including but not limited to business strategies, trade secrets, intellectual property, and personal professional data.
3. "Term" means the duration of this Agreement, commencing on the Effective Date and expiring on [End Date], unless terminated earlier in accordance with the provisions herein.
4. "Deliverables" means the specific objectives, reports, or professional milestones set forth in Exhibit A (if applicable).

3. SUBSTANTIVE TERMS & OBLIGATIONS

3. Representations: Each Party represents that they have the full right, power, and authority to enter into this Agreement and that the performance of their obligations hereunder will not conflict with any existing legal or contractual obligations.
4. Independent Relationship: The Parties acknowledge that this relationship is that of an independent contractor/mentor-mentee. Nothing herein shall be construed as creating an employer-employee, partnership, or joint venture relationship.

4. DEFAULT, TERMINATION, AND REMEDIES

1. Termination for Convenience: Either Party may terminate this Agreement upon thirty (30) days' prior written notice to the other Party.
2. Termination for Cause: Either Party may terminate this Agreement immediately upon a material breach by the other Party if such breach remains uncured for a period of thirty (30) business days following receipt of written notice detailing the breach.
3. Remedies: In the event of a breach, the non-breaching Party shall be entitled to seek equitable relief, including injunctive relief, in addition to any other remedies available at law or in equity.
4. Survival: Obligations regarding Confidentiality, Intellectual Property, and Governing Law shall survive the termination or expiration of this Agreement.

5. BOILERPLATE LEGAL PROVISIONS
