MEMORANDUM OF UNDERSTANDING FOR THE SALE OF A MOTOR VEHICLE

THIS MEMORANDUM OF UNDERSTANDING (the "Agreement") is entered into on this ______ day of ________, 20 (the "Effective Date"), by and between:

SELLER: ________________________________________, residing at __________________________________________________________________ (hereinafter referred to as the "Seller"),

AND

BUYER: ________________________________________, residing at __________________________________________________________________ (hereinafter referred to as the "Buyer").

(Collectively referred to as the "Parties").

The Seller agrees to sell, and the Buyer agrees to purchase, the following motor vehicle (the "Vehicle"):

2. PURCHASE PRICE AND PAYMENT TERMS

3. CONDITION OF VEHICLE

The Buyer acknowledges that they have inspected the Vehicle and accepts the Vehicle in "AS IS" condition. The Seller makes no warranties, express or implied, regarding the condition, merchantability, or fitness for a particular purpose of the Vehicle, except as otherwise required by law.

4. TRANSFER OF TITLE AND REGISTRATION

The Seller warrants that they hold clear and legal title to the Vehicle and that it is free of all liens, encumbrances, and liabilities. The Seller agrees to provide the Buyer with the signed Title and all necessary documentation required to register the Vehicle in the Buyer’s name immediately upon receipt of the full purchase price.

5. DELIVERY AND POSSESSION

The transfer of possession shall take place on ____________, 20, at ____________________________________________________. Upon transfer of possession, the Buyer assumes all responsibility for the Vehicle, including insurance coverage and liability for any damages or violations occurring thereafter.

6. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State/Province of ________________. Any disputes arising out of this Agreement shall be resolved in the jurisdiction of ________________.

7. ENTIRE AGREEMENT

This document constitutes the entire understanding between the Parties and supersedes all prior agreements or negotiations, whether written or oral. Any amendments to this Agreement must be made in writing and signed by both Parties.
