NOW, THEREFORE, in consideration of the mutual covenants contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

1. DEFINITIONS

The following capitalized terms shall have the meanings set forth below:

1.1. "Confidential Information" means any non-public information, whether commercial, financial, technical, or otherwise, disclosed by one Party (the "Disclosing Party") to the other Party (the "Receiving Party"), whether directly or indirectly, in writing, orally, or by inspection of tangible objects, which is designated as confidential or proprietary at the time of disclosure or which, by the nature of the circumstances surrounding disclosure, ought to be treated as confidential. This includes, without limitation, trade secrets, proprietary information, business plans, customer lists, pricing data, software, designs, data, and know-how.

1.2. "Deliverables" means all tangible and intangible results, work product, documentation, materials, and other items produced by Provider for Client in connection with the Services specified in a Statement of Work.

1.3. "Intellectual Property" means all patents, copyrights, trademarks, service marks, trade names, domain names, trade secrets, mask works, designs, know-how, and other proprietary rights, as well as applications for any of the foregoing, whether registered or unregistered, and all other intellectual property rights recognized in any jurisdiction.

1.4. "Services" means the specific tasks, duties, and responsibilities to be performed by Provider for Client, as detailed in an applicable Statement of Work.

1.5. "Statement of Work" or "SOW" means a written document executed by both Parties, referencing this Agreement, which describes the specific Services, Deliverables, timelines, fees, and other terms applicable to a particular project or engagement. Each SOW shall be governed by the terms of this Agreement.

1.6. "Term" means the period defined in Section 2.1 of this Agreement.

2. SERVICES AND STATEMENTS OF WORK

2.1. Scope of Services. Provider shall perform the Services and develop the Deliverables as described in one or more SOWs. Each SOW, when executed by both Parties, shall be incorporated into and become a part of this Agreement. In the event of any conflict between the terms of an SOW and the terms of this Agreement, the terms of this Agreement shall prevail, unless the SOW explicitly states an intent to supersede a specific provision of this Agreement.

2.2. Standard of Performance. Provider shall perform the Services in a professional and workmanlike manner, in accordance with generally accepted industry standards and practices, and with reasonable care and skill. Provider shall comply with all applicable laws, regulations, and ordinances in performing the Services.

2.3. Client Cooperation. Client shall provide timely access to its personnel, facilities, equipment, and information as reasonably required by Provider to perform the Services. Client shall respond promptly to Provider's inquiries and requests, and shall make timely decisions and approvals necessary for Provider to proceed with the Services.

2.4. Changes to SOWs. Any changes to an SOW must be mutually agreed upon in writing by authorized representatives of both Parties in an amendment to the SOW or a new SOW. Such changes may affect fees, timelines, and other terms.

3. TERM AND TERMINATION

3.1. Term. This Agreement shall commence on the Effective Date and shall continue for a period of [Number] [Years/Months] (the "Initial Term"), unless sooner terminated as provided herein. Thereafter, this Agreement shall automatically renew for successive [Number] [Years/Months] periods (each, a "Renewal Term") unless either Party provides written notice of non-renewal to the other Party at least [Number] days prior to the expiration of the Initial Term or any Renewal Term.

3.2. Termination for Convenience. Either Party may terminate this Agreement, or any individual SOW, for convenience by providing [Number] days' prior written notice to the other Party. In the event of such termination, Client shall pay Provider for all Services performed and Deliverables provided up to the effective date of termination, plus any non-cancelable third-party costs and expenses incurred by Provider in reliance on the SOW prior to receiving the termination notice.

3.3. Termination for Cause. Either Party may terminate this Agreement, or any individual SOW, effective immediately upon written notice, if the other Party: (a) Materially breaches any provision of this Agreement or an SOW and fails to cure such breach within [Number] days after receiving written notice thereof; (b) Becomes insolvent or admits its inability to pay its debts as they mature; (c) Files a petition in bankruptcy, is adjudicated bankrupt, or makes an assignment for the benefit of creditors; or (d) Has a receiver, trustee, or liquidator appointed for all or any substantial part of its business or assets.

3.4. Effect of Termination. Upon termination of this Agreement for any reason: (a) All SOWs outstanding at the time of termination of this Agreement shall also terminate. (b) Client shall immediately pay Provider all outstanding fees and expenses for Services performed and Deliverables provided up to the effective date of termination. (c) Each Party shall promptly return or destroy all Confidential Information of the other Party, except for one copy retained for archival purposes subject to continuing confidentiality obligations. (d) Sections [List sections by number, e.g., 1, 3.4, 4, 5, 6, 7, 8, 10, 11, 12, 13, 14, 15, 16, 17, 18] and any other provisions which by their nature are intended to survive, shall survive the termination or expiration of this Agreement.

4. FEES, INVOICING, AND PAYMENT

4.1. Fees. Client shall pay Provider the fees for Services and Deliverables as specified in each SOW (the "Fees"). Unless otherwise specified in an SOW, Fees are exclusive of all applicable sales, use, value-added, and other taxes, which shall be borne solely by Client.

4.2. Expenses. Client shall reimburse Provider for all reasonable and pre-approved out-of-pocket expenses incurred by Provider in the performance of the Services, provided such expenses are documented with receipts and comply with Client's expense policy, if provided to Provider in advance.

4.3. Invoicing. Provider shall invoice Client in accordance with the billing schedule set forth in the applicable SOW, or, if not specified, on a monthly basis for Services performed in the preceding month. Each invoice shall include a description of the Services performed, the applicable Fees, and any approved expenses.

4.4. Payment Terms. Client shall pay all undisputed invoices within [Number] days of the invoice date. Overdue amounts shall accrue interest at the rate of [Percentage, e.g., 1.5%] per month, or the maximum rate permitted by law, whichever is lower. Client shall reimburse Provider for all reasonable costs incurred in collecting any overdue amounts, including attorneys' fees.

4.5. Taxes. Client is responsible for any applicable sales, use, value-added, or other taxes, levies, or duties imposed by taxing authorities, which shall be added to Provider's invoices as separate charges where applicable, unless Client provides a valid tax exemption certificate.

5. CONFIDENTIALITY

5.1. Non-Disclosure. The Receiving Party shall: (a) hold the Disclosing Party's Confidential Information in strict confidence; (b) not disclose such Confidential Information to any third party without the Disclosing Party's prior written consent, except to its employees, subcontractors, or agents who have a need to know such information for the purpose of performing their obligations under this Agreement and who are bound by confidentiality obligations at least as restrictive as those contained herein; (c) use the Confidential Information solely for the purpose of performing its obligations or exercising its rights under this Agreement; and (d) protect the Confidential Information with at least the same degree of care it uses to protect its own confidential information of a similar nature, but in no event less than a reasonable degree of care.

5.2. Exclusions. The obligations under Section 5.1 shall not apply to information that: (a) is or becomes publicly known through no fault of the Receiving Party; (b) was rightfully known by the Receiving Party prior to disclosure by the Disclosing Party without breach of any confidentiality obligation; (c) is independently developed by the Receiving Party without reference to the Disclosing Party's Confidential Information; (d) is rightfully received by the Receiving Party from a third party without restriction on disclosure; or (e) is required to be disclosed by law, regulation, or court order, provided the Receiving Party gives prior written notice to the Disclosing Party (where legally permissible) to allow the Disclosing Party to seek a protective order or other appropriate remedy.

6. INTELLECTUAL PROPERTY

6.1. Client Ownership of Deliverables. Unless otherwise expressly agreed in an SOW, all Deliverables and all Intellectual Property rights therein (excluding Provider's pre-existing Intellectual Property incorporated therein, as defined below) shall be owned exclusively by Client upon full payment of the Fees for such Deliverables. Provider hereby assigns, and shall cause its personnel to assign, all rights, title, and interest in and to such Deliverables and the Intellectual Property rights therein to Client. Provider shall execute any further documents reasonably requested by Client to perfect Client's ownership.

6.2. Provider Pre-existing Intellectual Property. Provider may incorporate into the Deliverables its own Intellectual Property that was developed independently of this Agreement or any SOW ("Provider Background IP"). Provider retains all rights, title, and interest in and to the Provider Background IP. Provider grants to Client a worldwide, perpetual, irrevocable, non-exclusive, royalty-free license to use, reproduce, modify, distribute, and display the Provider Background IP solely as incorporated into and necessary for the use and enjoyment of the Deliverables.

6.3. Client Intellectual Property. Client retains all rights, title, and interest in and to any Intellectual Property provided by Client to Provider for use in performing the Services. Client grants to Provider a non-exclusive, non-transferable, revocable, royalty-free license to use Client's Intellectual Property solely for the purpose of performing the Services under this Agreement and applicable SOWs.

8. INDEMNIFICATION

8.1. Provider Indemnification. Provider shall indemnify, defend, and hold harmless Client, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) any breach by Provider of its representations or warranties under this Agreement; (b) any claim that the Services or Deliverables (excluding Client's Intellectual Property incorporated therein) infringe or misappropriate any third-party Intellectual Property right; or (c) any gross negligence or willful misconduct of Provider or its personnel in the performance of the Services.

8.2. Client Indemnification. 8.3. Indemnification Procedures. The indemnified Party shall: (a) give the indemnifying Party prompt written notice of any claim; (b) grant the indemnifying Party sole control over the defense and settlement of the claim (provided that the indemnifying Party may not settle any claim that imposes any liability or obligation on the indemnified Party without the indemnified Party's prior written consent); and (c) provide reasonable assistance to the indemnifying Party at the indemnifying Party's expense.

9. LIMITATION OF LIABILITY

9.1. Exclusion of Damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE SERVICES, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE.

10. INDEPENDENT CONTRACTOR STATUS

10.1. Relationship of Parties. Provider is an independent contractor and not an employee, agent, partner, or joint venturer of Client. Nothing in this Agreement shall be construed to create any employer-employee relationship between Client and Provider, or between Client and Provider's employees or subcontractors. Provider shall be solely responsible for the supervision, direction, and control of its personnel and for the payment of their compensation, benefits, and taxes.

10.2. No Authority. Provider has no authority to bind Client to any agreement or obligation without Client's prior written consent.

11. DATA PROTECTION AND PRIVACY

11.1. Compliance. Each Party shall comply with all applicable data protection and privacy laws and regulations in the performance of its obligations under this Agreement.

11.2. Data Processing. To the extent that Provider processes personal data on behalf of Client, the Parties may enter into a separate Data Processing Addendum (DPA) that will govern the terms of such processing and address obligations under applicable data protection laws.

12. FORCE MAJEURE

Neither Party shall be liable for any failure or delay in performing its obligations under this Agreement (other than payment obligations) due to any cause beyond its reasonable control, including, without limitation, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, epidemics, pandemics, strikes or shortages of transportation facilities, fuel, energy, labor, or materials (a "Force Majeure Event"). STEP-BY-STEP EXECUTION GUIDE FOR MASTER SERVICES AGREEMENT

This guide provides instructions for the proper execution, filing, and enforcement of the Master Services Agreement (MSA). Adherence to these steps is critical for legal validity and operational effectiveness.

  1. Legal Review and Customization:

    • Engage Counsel: Before filling any blanks or signing, BOTH PARTIES MUST ENGAGE INDEPENDENT LEGAL COUNSEL to review and advise on this MSA template. Ensure all provisions are suitable for your specific business context, jurisdiction, and risk profile.
    • Jurisdiction Confirmation: Your legal counsel should confirm the "Jurisdiction/Scope" in the header (e.g., [State, e.g., Delaware]) is appropriate and that the "Governing Law" in Section 13.1 matches.
    • Blanks Review: Your counsel will advise on specific values for all [Placeholder Description] blanks to align with your commercial agreement (e.g., payment terms, notice periods, liability caps).
  2. Information Gathering and Filling Blanks:

    • Header:
      • Effective Date: Insert the date on which the Agreement officially commences.
      • Version: Update if template modifications have been made.
      • Jurisdiction/Scope: Confirm the state/country governing the agreement.
    • Parties:
      • Provide the full legal name of the Service Provider company and Client company.
      • Specify the type of entity (e.g., Corporation, LLC) and the state/country of incorporation/formation.
      • Input the principal place of business address for both Parties.
    • Operative Clauses:
      • Section 3.1 (Term): Specify the "Initial Term" duration (e.g., one (1) Year) and "Renewal Term" duration and notice period (e.g., sixty (60) days).
      • Section 3.2 (Termination for Convenience): Specify the "Number" of days for notice (e.g., thirty (30)).
      • Section 3.3 (Termination for Cause): Specify the "Number" of days to cure a breach (e.g., fifteen (15)).
      • Section 4.4 (Payment Terms): Specify the "Number" of days for payment (e.g., thirty (30)) and the "Percentage" for interest on overdue amounts (e.g., 1.5%).
      • Section 9.2 (Cap on Liability): Specify the "Number" of months for the liability cap (e.g., twelve (12)).
      • Section 13.2 (Dispute Resolution): Specify "Number" of days for negotiation (e.g., ten (10)), and "Number" of days for mediation (e.g., thirty (30)). Specify the "City, State" for mediation and litigation venue.
      • Section 14 (Notices): Provide accurate contact names, addresses, and email addresses for official notices for both Parties.
    • Review for Completeness: Double-check that all [Placeholder Description] brackets have been replaced with specific, accurate information.
  3. Statement of Work (SOW) Attachment:

    • This MSA is a framework. No services can commence without an executed SOW.
    • Prepare a detailed SOW outlining specific services, deliverables, timelines, and fees. Ensure the SOW explicitly references this MSA.
    • Attach the SOW(s) as Exhibit(s) to this MSA or clearly state that SOWs will be incorporated by reference upon execution.
  4. Execution and Signatures:

    • Authorized Signatories: Ensure that the individuals signing on behalf of each company are duly authorized to bind their respective legal entities. This typically requires a corporate resolution or specific delegated authority.
    • Full Legal Names: The [Printed Name] under the signature line must be the full, legal printed name of the signatory.
    • Title: The [Title] must be the signatory's official corporate title (e.g., CEO, President, VP Legal).
    • Date: The [Date] should be the actual date each signatory affixes their signature. The Effective Date in the header should generally be the later of the two signature dates, or a pre-agreed date.
    • Method: Execute either physically (wet-ink signatures) or electronically (e.g., using Docusign, Adobe Sign), ensuring the electronic signature platform used complies with the ESIGN Act and UETA (in the US) or relevant local legislation (e.g., eIDAS in EU).
    • Counterparts: If executed in counterparts (different physical copies signed by each party), ensure both parties receive a copy of all executed counterparts.
  5. Filing and Record-Keeping:

    • Originals/Copies: Retain a fully executed original (or true electronic copy) of the MSA and all SOWs.
    • Central Repository: File the executed documents in a secure, designated legal or contract management system.
    • Distribution: Provide a complete, fully executed copy to all relevant internal departments (e.g., Legal, Finance, Operations, Sales/Account Management) and to the counterparty.
    • Version Control: Maintain clear version control for this MSA template and any subsequent amendments.
  6. Enforcement and Monitoring:

    • Contract Lifecycle Management: Establish procedures for monitoring contract terms, including:
      • Term Dates: Track the Initial Term and Renewal Term dates to manage non-renewal notices proactively (Section 3.1).
      • Payment Dates: Monitor invoice dates and payment due dates (Section 4.4).
      • Deliverable Milestones: Track progress on SOWs to ensure timely delivery and payment.
      • Compliance: Regularly review compliance with confidentiality (Section 5), data protection (Section 11), and other operational clauses.
    • Breach Procedures: In the event of a breach, follow the notice and cure provisions outlined in Section 3.3 and engage legal counsel immediately.
    • Dispute Resolution: Adhere strictly to the dispute resolution mechanism (negotiation, mediation, litigation) outlined in Section 13.2.

IMPORTANT: This guide provides procedural steps. It is not a substitute for legal advice. Each step should be reviewed and approved by your internal legal team or external counsel.
