LOUISIANA COMMERCIAL LEASE AGREEMENT

This Commercial Lease Agreement (the "Agreement") is made and entered into as of [Effective Date] (the "Effective Date"), by and between:

RECITALS

WHEREAS, Lessor is the owner of certain commercial real property located at [Property Address], Louisiana, with the legal description set forth in Exhibit A (the "Premises"); and WHEREAS, Lessor desires to lease the Premises to Lessee, and Lessee desires to lease the Premises from Lessor, subject to the terms and conditions set forth herein.

1. OPERATIONAL DEFINITIONS

Lessor hereby leases the Premises to Lessee, and Lessee hereby accepts the Premises in "as-is" condition, subject to any improvement work agreed upon in Exhibit B. 2.2 Use of Premises. The Premises shall be used solely for [Permitted Use] and for no other purpose without the prior written consent of Lessor. 2.3 Rent Payments. 4.1 Governing Law. This Agreement shall be governed by, and construed in accordance with, the laws of the State of Louisiana, without regard to conflict of law principles. 4.2 Dispute Resolution. Any dispute arising out of this Agreement shall be submitted to binding arbitration in [Parish Name], Louisiana, under the rules of the American Arbitration Association. 4.3 Entire Agreement.
