1. LEGAL NOTICE & COMPLIANCE DISCLAIMER

3. OPERATIVE CLAUSES & TERMS
Clause 1: Grant and Term
1.1 The Landlord hereby lets and the Tenant hereby takes the Demised Premises for the Term, subject to the covenants and conditions hereinafter contained. 1.2 The Tenant shall peacefully hold and enjoy the Demised Premises during the Term without any interruption by the Landlord or any person rightfully claiming under or in trust for the Landlord, subject to prompt performance of the Tenant's obligations.
Clause 2: Rent and Payment Terms
2.1 The Tenant covenants to pay to the Landlord the Rent without any deductions, set-off, or demand whatsoever on or before the [Day] day of each [calendar month / rental period].
2.2 All rental payments shall be remitted via Electronic Funds Transfer (EFT), mobile money, or direct bank deposit to:

Clause 3: Security Deposit
3.1 Upon execution of this Agreement, the Tenant shall deposit with the Landlord the sum of UGX [Deposit Amount] (equivalent to [Number] months' rent) as a Security Deposit.
3.2 The Security Deposit shall be held by the Landlord without liability for interest as security for the faithful performance by the Tenant of all terms, covenants, and conditions of this Agreement.
3.3 The Landlord shall refund the Security Deposit to the Tenant within [Number, e.g., 30] days after the expiration or termination of this Agreement, less any lawful deductions for unpaid utilities, structural damage beyond normal wear and tear, or breach of covenants.
Clause 4: Use of Demised Premises
4.1 The Demised Premises shall be used exclusively for private residential purposes by the Tenant and immediate family members registered herein and for no other purpose whatsoever. 4.2 The Tenant shall not assign, sublet, transfer, or part with possession of the Demised Premises or any part thereof without the prior express written consent of the Landlord. 4.3 The Tenant shall comply with all local government by-laws, statutory regulations, and rules issued by the relevant Local Council (LC I, LC III) or municipal authority in Uganda.
Clause 5: Utilities, Rates, and Outgoings
5.1 The Tenant shall be solely responsible for and promptly pay all charges for utilities consumed on the Demised Premises, including electricity (Umeme), water (National Water and Sewerage Corporation), internet, and garbage collection fees. 5.2 The Landlord shall remain responsible for property taxes, ground rent, and structural municipal rates levied against the freehold/leasehold title of the Demised Premises.
Clause 6: Maintenance, Repairs, and Alterations
6.1 The Landlord shall be responsible for structural repairs to the roof, main walls, foundations, and external drainage systems of the Demised Premises. 6.2 The Tenant shall maintain the interior of the Demised Premises, including electrical fittings, plumbing fixtures, doors, and windows, in good tenantable repair (fair wear and tear excepted). 6.3 The Tenant shall not make any structural alterations, additions, or improvements to the Demised Premises without the prior written consent of the Landlord.
Clause 7: Landlord’s Right of Entry
7.1 The Landlord or the Landlord's authorized agent reserves the right to enter the Demised Premises, upon giving at least [Number, e.g., 24] hours’ prior notice to the Tenant, to inspect the condition thereof, carry out necessary repairs, or show the premises to prospective buyers or future tenants during the final 60 days of the Term.
Clause 8: Default and Termination
8.1 If the Rent is unpaid for [Number, e.g., 21] days after becoming due (whether formally demanded or not), or if the Tenant breaches any covenant herein and fails to remedy the same within [Number, e.g., 14] days of receiving written notice from the Landlord, the Landlord shall be entitled to re-enter the Demised Premises or any part thereof in the name of the whole and immediately terminate this Agreement, without prejudice to any accrued rights of action.
8.2 Either party may terminate this Agreement prematurely by giving [Number, e.g., 60] days' written notice to the other party or by payment of equivalent rent in lieu thereof.
Clause 9: Governing Law and Dispute Resolution
9.1 This Agreement shall be governed by, construed, and enforced in accordance with the laws of Uganda. 9.2 Any dispute, controversy, or claim arising out of or relating to this contract, including its formation or breach, shall be settled amicably through good-faith negotiations. If unresolved within 30 days, the dispute shall be referred to arbitration in Kampala, Uganda, before a single arbitrator agreed upon by both parties, or failing agreement, appointed by the Chairman of the Center for Arbitration and Dispute Resolution (CADER).

5. STEP-BY-STEP EXECUTION GUIDE
- Verification of Credentials: Prior to signing, cross-verify the Landlord's Land Title (or authorized letter of administration) and the Tenant’s National Identification Card (NIN) or Passport. Ensure Local Council (LC I) officials are informed as per standard local residential protocols in Uganda.
