2. TERM OF LEASE

- Holding Over: If Tenant remains in possession of the Demised Premises after the expiration of this Agreement without the execution of a new lease, Tenant shall be deemed to be occupying the Premises as a tenant from month-to-month, subject to all terms and conditions of this Agreement, except that the Base Rent shall be equal to

3. RENT & FINANCIAL OBLIGATIONS
- Base Rent: Tenant shall pay to Landlord Base Rent in advance on or before the first (1st) day of each calendar month during the Term. Payments shall be remitted to Landlord at the address designated in Section 11 or via electronic wire transfer pursuant to instructions provided by Landlord.
- Additional Rent: All other sums of money or charges accruing under this Agreement, including utilities, maintenance surcharges, and pro-rata operational costs, shall constitute "Additional Rent." Base Rent and Additional Rent shall collectively be referred to as "Rent."
- Late Charges: If any installment of Rent is not received by Landlord within
[5]days after its due date, Tenant shall pay a late charge equal to[5%]of the overdue amount to cover administrative costs, plus interest at the rate of[1.5%]per month (or the maximum rate permitted by law) on the delinquent balance. - Security Deposit: Concurrently with the execution of this Agreement, Tenant shall deposit with Landlord the Security Deposit as security for the faithful performance of all terms by Tenant. Landlord may apply the Security Deposit to remedy any default, unpaid rent, or property damage caused by Tenant. Within

4. USE OF PREMISES & COMPLIANCE
- Permitted Use: The Demised Premises shall be used and occupied solely for the Permitted Use and for no other purpose without the prior written consent of Landlord.
- Compliance with Laws: Tenant shall, at its sole cost and expense, promptly comply with all applicable federal, state, county, and municipal laws, ordinances, rules, regulations, and orders of any governmental authority having jurisdiction over the Demised Premises.
- Environmental & Nuisance Restrictions: Tenant shall not permit any hazardous materials, toxic waste, or illegal substances to be brought onto, stored, or disposed of within the Building or Demised Premises. Tenant shall not generate any noise, odor, or vibration that constitutes a nuisance to other tenants or occupants of the Building.
5. MAINTENANCE, REPAIRS, AND ALTERATIONS
- Landlord Obligations: Landlord shall maintain and repair the structural elements of the Building, including the foundation, exterior walls, roof, and core utility systems, in good working order, except for damages caused by the negligence or willful misconduct of Tenant.
- Tenant Obligations: Tenant shall, at its sole cost and expense, maintain the interior of the Demised Premises in a clean, sanitary, and good condition, including interior partitions, doors, fixtures, and specific non-structural systems installed by Tenant.
- Alterations: Tenant shall not make any structural alterations, additions, or improvements to the Demised Premises without the prior written consent of Landlord, which consent shall not be unreasonably withheld. All approved alterations permanently affixed to the Premises shall become the property of Landlord upon the expiration or termination of this Agreement.
6. INSURANCE AND INDEMNIFICATION
- Tenant’s Insurance: Tenant shall, at its sole expense, maintain throughout the Term:
- Commercial General Liability (CGL) insurance with limits of not less than
[$1,000,000]per occurrence and[$2,000,000]in the aggregate. - Property insurance covering all personal property, trade fixtures, and tenant improvements located within the Demised Premises.

7. DEFAULT AND REMEDIES
- Events of Default: The occurrence of any of the following shall constitute an "Event of Default":
- Failure of Tenant to pay Base Rent or Additional Rent within
[10]days after written notice of delinquency. - Failure of Tenant to perform any other covenant or condition of this Agreement within
[30]days after written notice from Landlord. - The filing of a petition in bankruptcy by or against Tenant, or an assignment for the benefit of creditors.

8. ASSIGNMENT AND SUBLETTING
Tenant shall not assign, sublease, mortgage, pledge, or otherwise transfer this Agreement or any interest in the Demised Premises, in whole or in part, without the prior written consent of Landlord, which consent shall not be unreasonably withheld, conditioned, or delayed. Any attempted assignment or subletting without prior written consent shall be void ab initio and constitute a material Event of Default.
9. GOVERNING LAW AND DISPUTE RESOLUTION
- Governing Law: This Agreement shall be construed, interpreted, and governed by the laws of the State of
