2. PARTIES & DEFINITIONS

This Parking Space Lease Agreement (the "Agreement") is entered into and made effective as of [Date], by and between:

3. OPERATIVE CLAUSES & TERMS

3.1 Grant of Lease

Lessor hereby leases to Lessee, and Lessee hereby leases from Lessor, the Premises for the sole purpose of parking passenger-class motor vehicles. No commercial storage, maintenance, repair work, or habitation of vehicles is permitted.

3.2 Term & Holding Over

The initial term shall be as defined in Section 2. If Lessee remains in possession of the Premises after the expiration of the Term without a written renewal agreement, the tenancy shall convert to a month-to-month tenancy, terminable by either party upon thirty (30) days written notice, and the Monthly Rent may be adjusted by Lessor upon written notice.

3.3 Rent Payment & Late Fees

1. Payment Schedule: Monthly Rent is due on or before the first (1st) day of each calendar month without demand, offset, or deduction. Payments shall be remitted to [Payment Address / Electronic Portal Link].
2. Late Charges: If Rent is not received by Lessor by the fifth (5th) day of the month, Lessee shall pay a late fee of [$0.00 or % of rent], which is agreed to be liquidated damages to cover administrative costs associated with processing late payments.

3.4 Security Deposit

The Security Deposit shall be held by Lessor as security for the faithful performance by Lessee of all terms of this Agreement. 3.5 Use of Premises & Rules and Regulations

1. Compliance: Lessee shall use the Premises strictly in compliance with all applicable municipal, state, and federal laws, and the operational rules and regulations of the parking facility as posted or amended from time to time by Lessor.
2. Prohibited Activities:
   • Storage of unauthorized property, hazardous materials, or fuel containers.
   • Washing, repairing, or servicing of vehicles on the Premises.
   • Parking of commercial trucks, trailers, boats, or non-operational (inoperable/abandoned) vehicles.
3. Speed & Safety: Vehicles must be operated at a maximum speed of [5/10] MPH within the facility. Pedestrian right-of-way must be yielded at all times.

3.6 Assignment & Subletting

Lessee shall not assign, sublet, or transfer this Agreement or any interest in the Premises, nor permit any other vehicle to utilize the assigned space without the express prior written consent of Lessor. Any unauthorized transfer shall be void and constitute an immediate material default.

3.7 Maintenance, Damage & Condition of Premises

1. As-Is Acceptance: Lessee accepts the Premises in its "AS-IS" condition as of the commencement date.
2. Lessee Liability: Lessee shall be strictly liable for any damage caused to the parking facility, structural elements, gates, or other vehicles by Lessee, its guests, invitees, or Authorized Vehicles.

3.8 Risk Allocation, Indemnification & Disclaimer of Liability

1. Use at Own Risk: The parking space is leased on a "parking space only" basis. Lessor provides a license to park and does not act as a bailee or warehouseman.
2. No Bailment Created: LESSOR EXPRESSLY DISCLAIMS ANY CUSTODY, CONTROL, OR BAILMENT OF THE VEHICLE OR ITS CONTENTS. Lessor assumes no responsibility for theft, vandalism, fire, water damage, or collision occurring to vehicles or personal property left therein.
3. Indemnification: Lessee agrees to defend, indemnify, and hold harmless Lessor, its agents, officers, and assigns from and against any and all claims, liabilities, losses, damages, or costs (including reasonable attorney's fees) arising out of Lessee’s use of the Premises or breach of this Agreement.

3.9 Default & Remedies

1. Events of Default: The occurrence of any of the following shall constitute a material default by Lessee:
   • Failure to pay Monthly Rent or other charges within five (5) days of the due date.
   • Violation of any rule, regulation, or covenant contained herein.
   • Misrepresentation of vehicle information.
2. Remedies: Upon default, Lessor may, at its option, terminate this Agreement upon three (3) days written notice, tow or boot any unauthorized or non-compliant vehicle at Lessee’s sole expense, and pursue any other remedies available at law or in equity.

3.10 Termination

Either party may terminate this Agreement without cause by providing at least thirty (30) days prior written notice to the other party. Upon termination, Lessee shall remove all personal property and Authorized Vehicles and return any access cards, transponders, or keys to Lessor.

3.11 Miscellaneous Provisions

1. Governing Law: This Agreement shall be construed, interpreted, and governed by the laws of the State of [State], without regard to its conflict of laws principles.
2. Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
