2. PARTIES & DEFINITIONS

This Master Vehicle Lease Agreement (the "Agreement") is entered into on this [Day] day of [Month], [Year] (the "Execution Date"), by and between:

DEFINITIONS:

1. "Vehicle": The motor vehicle described in Schedule A, including all standard accessories, tools, documents, and replacement parts.
2. "Lease Term": The fixed period commencing on [Lease Start Date] and expiring on [Lease Expiry Date], unless terminated earlier in accordance with this Agreement.
3. "Monthly Lease Rental": The fixed monthly sum of INR [Amount in Figures] ([Amount in Words]) payable by the Lessee to the Lessor.

3. OPERATIVE CLAUSES & TERMS

1. LEASE OF VEHICLE AND TERM

1.1. The Lessor hereby agrees to lease the Vehicle to the Lessee, and the Lessee hereby takes on lease the Vehicle, subject to the terms and conditions set forth in this Agreement for the Lease Term. 1.2. Delivery of the Vehicle shall be evidenced by the execution of a Vehicle Handover Protocol in the format prescribed in Schedule B.

2. RENTALS, PAYMENTS, AND TAXES

2.1. The Lessee shall pay the Monthly Lease Rental on or before the [Day] day of each calendar month (the "Due Date") in advance, without any deduction, set-off, or counterclaim. 2.2. All payments shall be made via electronic wire transfer (NEFT/RTGS) to the Lessor’s designated bank account: Bank Name: [Bank Name], Account No: [Account Number], IFSC: [IFSC Code]. 2.3. Any delay in payment of the Monthly Lease Rental shall attract penal interest at the rate of [18]% per annum, calculated on a daily basis from the Due Date until actual realization, without prejudice to the Lessor's right to terminate this Agreement. 2.4. GST and Statutory Levies: The Lessee shall bear and pay all Goods and Services Tax (GST), road tolls, municipal taxes, parking fees, and any other statutory levies or cess applicable to the operation or leasing of the Vehicle during the Lease Term.

3. SECURITY DEPOSIT

3.1. Upon execution of this Agreement, the Lessee shall pay the Security Deposit to the Lessor. 3.2. The Security Deposit shall be held by the Lessor as security for the due and punctual performance of the Lessee’s obligations under this Agreement. 3.3. The Lessor shall be entitled to deduct from the Security Deposit any arrears of rentals, costs of repairs for damages beyond normal wear and tear, traffic challans, or any other unpaid liabilities of the Lessee upon expiry or termination. The balance, if any, shall be refunded without interest within [30] days of the return of the Vehicle.

4. REGISTRATION, PERMITS, AND COMPLIANCE

4.1. Ownership: The Vehicle shall at all times remain the absolute property of the Lessor. The Lessee shall not mortgage, hypothecate, pledge, sell, encumber, or part with possession of the Vehicle. 4.2. Statutory Compliance: The Lessor shall ensure that the Vehicle is registered with the competent Regional Transport Office (RTO) and holds a valid Pollution Under Control (PUC) certificate at delivery. 4.3. Ongoing Compliance: During the Lease Term, the Lessee shall maintain valid comprehensive motor vehicle insurance (including third-party liability), pay all periodic road taxes, secure necessary commercial/private permits, and ensure strict compliance with the Motor Vehicles Act, 1988 and rules framed thereunder.

5. USE, MAINTENANCE, AND REPAIRS

5.1. The Lessee shall use the Vehicle strictly in accordance with its design specifications and for lawful purposes only. The Vehicle shall not be driven by any person other than the Lessee or a licensed driver duly authorized by the Lessee. 5.2. The Lessee shall bear all costs relating to fuel, routine servicing, engine oil changes, tyre replacements, and day-to-day running maintenance. 5.3. The Lessee shall immediately notify the Lessor of any mechanical breakdown, accident, loss, or theft of the Vehicle within [24] hours of occurrence and file necessary First Information Reports (FIRs) with local law enforcement authorities if required.

6. INDEMNITY AND LIABILITY

6.1. The Lessee assumes all risk and liability for the operation, use, and possession of the Vehicle from the date of delivery until it is returned to the Lessor. 6.2. The Lessee shall indemnify, defend, and hold harmless the Lessor, its directors, employees, and agents from and against any claims, liabilities, penalties, traffic challans, fines, damages, or legal expenses arising out of the use, operation, or possession of the Vehicle during the Lease Term.

7. TERMINATION

7.1. Termination for Default: The Lessor may terminate this Agreement with immediate effect by written notice if the Lessee:

• (a) Fails to pay any Monthly Lease Rental within [7] days of the Due Date;
• (b) Commits a material breach of any other covenant of this Agreement and fails to remedy the same within [15] days of receipt of notice;
• (c) Becomes insolvent, files for bankruptcy, or undergoes liquidation. 7.2. Convenience Termination: Either Party may terminate this Agreement by issuing [30] days' prior written notice to the other Party. If terminated by the Lessee prior to the expiry of the Lease Term, the Lessee shall pay an early termination fee equivalent to [3] months' Monthly Lease Rentals or the remaining rentals, whichever is lower.

8. CONSEQUENCES OF EXPIRY OR TERMINATION

8.1. Upon expiry or early termination of this Agreement, the Lessee shall, at its own cost, return the Vehicle to the Lessor in good working condition, subject to normal wear and tear, at the location specified by the Lessor. 8.2. Failure to return the Vehicle upon termination shall render the Lessee liable to pay holding-over charges at double the prorated daily Monthly Lease Rental, without prejudice to the Lessor's right to repossess the Vehicle forcibly or via legal recourse.

9. GOVERNING LAW AND DISPUTE RESOLUTION

9.1. This Agreement shall be governed by, and construed in accordance with, the laws of the Republic of India. 9.2. Any dispute, controversy, or claim arising out of or relating to this Agreement, including its formation or breach, shall be settled by arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitral tribunal shall consist of a sole arbitrator appointed mutually by the Parties. 6. STEP-BY-STEP EXECUTION GUIDE (INDIA)

1. Stamp Duty Adjudication: Print this agreement on non-judicial stamp paper of appropriate value as mandated by the respective State Stamp Act where the agreement is executed (e.g., Maharashtra, Karnataka, Delhi have varying state-specific stamp duty rates for leases).
2. Execution & Witnessing: Ensure both Parties (or their authorized signatories carrying valid Board Resolutions/Power of Attorney) sign the agreement in the presence of two independent witnesses.
