Any attempted assignment, subletting, or transfer without Lessor's prior written consent shall be null and void and constitute a material default under this Agreement.
2.11. Lessor's Right of Entry: Lessor and its authorized agents shall have the right, upon reasonable prior notice (except in emergencies), to enter the Leased Premises at reasonable times to inspect the same, make repairs, alterations, or improvements, or to show the Leased Premises to prospective tenants or purchasers.

Acceleration of Rent: Lessor may, at its option, declare the entire balance of rent and other charges due hereunder for the remainder of the then-current Term immediately due and payable. 3.2.4. 4.6. Force Majeure: Neither Lessor nor Lessee shall be liable for any failure or delay in performing its obligations hereunder (except for payment of monetary sums) if such failure or delay is caused by circumstances beyond its reasonable control, including, without limitation, acts of God, war, terrorism, civil unrest, embargoes, fires, floods, earthquakes, epidemics, pandemics, government orders, or severe weather conditions.
