INSTRUCTIONS FOR USE

• Completion: This form must be completed by the Company Representative and the IT Contractor prior to the commencement of any billable work.
• Retention: Fully executed copies must be stored in the Company’s secure legal repository for a minimum of seven (7) years following the termination of the service period.
• Attachments: Mandatory attachments include: (A) Statement of Work (SOW), (B) Data Processing Addendum (DPA), and (C) Non-Disclosure Agreement (NDA).

4. INTELLECTUAL PROPERTY & WORK PRODUCT

All deliverables, software, documentation, and data developed by the Contractor specifically for the Company under this Agreement shall be deemed "work made for hire" and shall remain the sole and exclusive property of the Company. Contractor hereby assigns all rights, titles, and interest in such work to the Company upon payment.

5. CONFIDENTIALITY

Contractor acknowledges that they will have access to proprietary information. Contractor agrees to hold all Company data, source code, and business intelligence in strict confidence and shall not disclose or use such information for any purpose other than the performance of the services herein.

6. INDEPENDENT CONTRACTOR STATUS

The Contractor is an independent contractor, not an employee. Nothing in this Agreement shall be construed to create a partnership, joint venture, or employer-employee relationship. The Contractor is solely responsible for all tax filings and social security contributions.

7. TERMINATION

Either party may terminate this Agreement with [__________] days' prior written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice.
