INTERNSHIP AGREEMENT FORM

WHEREAS, the Company desires to provide the Intern with a professional learning experience; WHEREAS, the Intern desires to acquire practical experience and professional skills through a supervised internship program; NOW, THEREFORE, in consideration of the mutual covenants contained herein, the Parties agree as follows:

2. "Confidential Information" shall mean all non-public, proprietary, or sensitive information disclosed by the Company to the Intern, including but not limited to trade secrets, client lists, software, business strategies, and financial data.
3. "Work Product" shall mean all deliverables, inventions, designs, code, reports, and documentation created or developed by the Intern, either alone or jointly with others, during the Internship Period.
4. "Supervisor" shall mean the individual designated by the Company to oversee the Intern’s day-to-day activities and performance evaluation.

3. SUBSTANTIVE TERMS & OBLIGATIONS

1. Scope of Duties: The Intern agrees to perform tasks and duties as assigned by the Supervisor, which are primarily educational in nature and designed to provide professional training.
2. Compensation: The Intern shall receive [Stipend Amount or "Unpaid"] as total compensation. The Intern acknowledges that they are not entitled to employee benefits, including but not limited to health insurance, retirement plans, or vacation pay.
3. Performance Metrics: The Intern shall meet expectations regarding punctuality, professional conduct, and completion of assigned training modules. Performance shall be reviewed on a [Weekly/Monthly] basis.
4. Confidentiality: The Intern shall maintain the strictest confidence regarding all Confidential Information and shall not disclose, reproduce, or use such information for any purpose outside the scope of the internship.
5. Ownership of Work Product: All Work Product created by the Intern during the course of this internship shall be considered "work made for hire" and shall remain the exclusive property of the Company. The Intern hereby assigns all rights, title, and interest in such Work Product to the Company.

4. DEFAULT, TERMINATION, AND REMEDIES

1. Termination for Cause: The Company may terminate this Agreement immediately upon written notice for any of the following: (a) theft or dishonesty; (b) gross negligence; (c) disclosure of Confidential Information; or (d) violation of Company policies.
2. Termination Without Cause: Either party may terminate this Agreement upon [Number] days' prior written notice to the other party.
3. Cure Period: In the event of a curable breach, the breaching party shall have a period of [30] business days from the receipt of written notice detailing the breach to cure such default. Failure to cure within this period constitutes a material breach, allowing the non-breaching party to seek immediate termination and available legal remedies.

5. BOILERPLATE LEGAL PROVISIONS
