3.2 Access Control and Credential Management

  1. Uniquely Assigned Credentials: Access to Information Systems shall be restricted to Users utilizing uniquely assigned Access Credentials. Users are strictly prohibited from sharing, disclosing, or delegating their Access Credentials to any third party, including other Users, supervisors, or family members.
  2. 3.3 Acceptable Use of Information Systems

  1. Authorized Business Purpose: Information Systems and Information Assets shall be utilized exclusively for legitimate, authorized Company business purposes. The User shall have thirty (30) business days from the receipt of such notice to cure the default to the reasonable satisfaction of the Company.
  2. Immediate Termination for Material Breach: In the event of a material breach, or any breach involving the intentional theft, unauthorized export, or malicious destruction of Confidential Information or PII, the Company reserves the right to terminate this Agreement, revoke access privileges, and pursue legal remedies immediately without prior notice or cure period.

4.3 Legal Recourse and Remedies

Upon the occurrence of a material breach or upon the expiration of the cure period without effective remediation, the Company shall be entitled to exercise any and all cumulative legal and equitable remedies, including:

  1. Immediate Revocation of Access: Immediate termination of User's access to all Information Systems, network infrastructure, and physical premises.
  2. Injunctive Relief: Seeking temporary restraining orders, preliminary injunctions, or permanent injunctive relief in a court of competent jurisdiction to prevent further unauthorized use, dissemination, or threatened breach, without the requirement of posting a bond.

If modification is not possible, the offending provision shall be severed, and the remaining provisions of this Agreement shall remain in full force and effect.

5.2 Entire Agreement

This Agreement constitutes the entire understanding and agreement between the Parties with respect to the subject matter hereof, and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral. No modification, amendment, or waiver of any provision of this Agreement shall be effective unless set forth in a written instrument executed by authorized representatives of both Parties.

5.3 Force Majeure

Neither Party shall be held liable or deemed in default for any failure or delay in performance under this Agreement if such failure results from acts of God, war, terrorism, civil unrest, labor strikes, fire, flood, widespread telecommunications or internet infrastructure failure, cyber-attacks of unprecedented scale (e.g., state-sponsored distributed denial-of-service), or other events beyond the reasonable control of the affected Party.

5.4 Governing Law

This Agreement, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, enforced under, and construed in accordance with the internal laws of the State/Country of [Jurisdiction], without regard to its conflict of laws principles.
