NOW, THEREFORE, in consideration of the mutual covenants, promises, and conditions contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

  5. "Access Credentials" means any authentication mechanism, including usernames, passwords, multi-factor authentication tokens, cryptographic keys, biometric markers, and security certificates assigned to or utilized by the Recipient to access Information Systems.
  6. "Business Day" means any day other than a Saturday, Sunday, or any statutory holiday recognized under the laws of the jurisdiction of [Jurisdiction].

3. Substantive Terms & Obligations

3.1 Scope of Access and Acceptable Use

The Company hereby grants the Recipient a limited, non-exclusive, revocable, non-transferable license to access the Information Systems strictly as necessary for the performance of authorized commercial duties. The Recipient shall utilize the Information Systems exclusively for lawful, authorized business purposes in strict compliance with this Agreement and all applicable internal policies.

3.2 Password Security and Access Credentials

  1. The Recipient shall maintain the absolute confidentiality of all Access Credentials. Access Credentials shall not be shared, disclosed, written down, or stored in plaintext format.
  2. All passwords must comply with Company complexity standards, consisting of a minimum of [Number] characters, incorporating uppercase letters, lowercase letters, numbers, and special symbols, and must be rotated at least every [Number] days.
  3. Multi-factor authentication (MFA) must be enabled on all systems, applications, and accounts where available, and the Recipient shall not bypass or disable MFA protocols under any circumstances.

3.3 Data Protection, Encryption, and Handling

  1. The Recipient shall ensure that all Confidential Information and PII, whether stored locally, in transit, or within cloud environments, is encrypted using industry-standard protocols (e.g., AES-256 for data at rest, TLS 1.3 for data in transit).
  2. The storage of Company data on unapproved personal devices, unencrypted external drives, or unauthorized public cloud repositories is strictly prohibited.
  3. Physical documents containing Confidential Information must never be left unattended and must be shredded using cross-cut shredders immediately upon reaching the end of their operational utility.

3.4 Mandatory Incident Reporting Protocols

The Recipient assumes an affirmative, immediate legal duty to report any actual or suspected Security Incident to the Company’s designated Information Security Officer or legal counsel via [Email Address/Phone Number] within twenty-four (24) hours of discovery. The Recipient shall cooperate fully with the Company in any forensic investigation, remediation effort, or regulatory notification mandated by law.

3.5 Performance Metrics and Compliance Audits

The Company reserves the right to monitor, log, audit, and review all activities, data transmissions, and communications conducted across or stored within the Information Systems, to the maximum extent permitted by applicable law. The Recipient acknowledges that they have no expectation of privacy regarding their use of Company-owned hardware, networks, or digital platforms.

4. Default, Termination, and Remedies

  1. Unauthorized disclosure of Confidential Information or PII.
  2. Willful or grossly negligent disablement of security controls, anti-malware software, or encryption mechanisms.
  3. Failure to report a known Security Incident within the stipulated timeframe.

4.2 Notice and Cure Periods

  2. The Recipient shall, within forty-eight (48) hours, return to the Company or securely destroy all physical and digital copies of Confidential Information, and certify such destruction in writing.
  3. The Company reserves the right to remotely wipe, disable, or confiscate any hardware or devices containing Company data or Access Credentials.

4.4 Legal Recourse and Injunctive Relief

The Parties acknowledge and agree that any breach of this Agreement regarding Confidential Information or Information Systems would cause irreparable harm to the Company for which monetary damages alone would be an inadequate remedy. Accordingly, in the event of any actual or threatened breach, the Company shall be entitled to seek immediate injunctive relief, specific performance, or other equitable remedies from a court of competent jurisdiction, without the necessity of posting a bond, in addition to any damages and legal remedies available at law, including the recovery of reasonable attorney's fees and litigation costs. Furthermore, the breaching party shall be liable for statutory penalties and indemnification for third-party claims arising from a data breach caused by their non-compliance.

5. Boilerplate Legal Provisions

5.2 Entire Agreement

This Agreement constitutes the entire agreement between the Parties concerning the subject matter hereof and supersedes all prior oral or written negotiations, representations, understandings, or agreements. No modification, amendment, or waiver of any provision of this Agreement shall be effective unless set forth in a written instrument executed by authorized representatives of both Parties.

5.3 Force Majeure

Neither Party shall be held liable for any failure or delay in the performance of its obligations under this Agreement if such failure arises out of acts of God, war, terrorism, pandemics, government restrictions, severe utility failures, or other catastrophic events beyond the reasonable control of the affected Party, provided that the affected Party utilizes diligent efforts to mitigate the effects of such failure.
