1. PARTIES AND RECITALS

This Influencer Services Agreement (the "Agreement") is entered into as of the Effective Date by and between [Company Full Legal Name], with its principal place of business at [Company Principal Address] ("Company"), and [Influencer/Client Full Legal Name], with an address at [Influencer Principal Address] ("Influencer").

RECITALS: WHEREAS, Company desires to engage Influencer to provide content creation and promotional services; and WHEREAS, Influencer possesses the expertise and audience engagement to provide such services, and desires to perform the same for Company.

2. SCOPE OF SERVICES

Influencer agrees to perform the services described in Exhibit A (the "Services"). Influencer shall maintain complete creative control over the aesthetic style of the content, provided such content complies with Company’s brand guidelines and the mandatory disclosure requirements of the FTC (e.g., #ad, #sponsored) and the policies of the relevant social media platforms.

3. COMPENSATION AND PAYMENT TERMS

3.1 Fee: Company shall pay Influencer the sum of [Amount in USD] (the "Fee") for the performance of Services. 3.2 Invoicing: Influencer shall submit a formal invoice upon completion of the deliverables. 3.3 Payment: Company shall remit payment within thirty (30) days of receipt of a valid invoice via [ACH/Wire Transfer]. 3.4 Late Interest: Any undisputed amounts not paid when due shall accrue interest at the rate of 1.5% per month, or the maximum rate permitted by law, whichever is lower.

4. TERM AND TERMINATION

5. INTELLECTUAL PROPERTY AND WORK MADE FOR HIRE

All deliverables created under this Agreement shall be considered "works made for hire" to the extent permitted by law. To the extent any deliverable does not qualify as a work made for hire, Influencer hereby assigns to Company all right, title, and interest in and to the deliverables, including all worldwide copyrights and intellectual property rights. Influencer retains no rights to the final deliverables upon full payment of the Fee.

6. MUTUAL CONFIDENTIALITY

The parties agree to hold in strict confidence all non-public information, including but not limited to business strategies, marketing plans, and technical data, disclosed by the other party. This obligation survives for three (3) years following the termination of this Agreement.

7. REPRESENTATIONS AND WARRANTIES

Influencer represents and warrants that: (a) they have the full right to enter into this Agreement; (b) the deliverables will be original and will not infringe upon the intellectual property rights of any third party; and (c) all endorsements will reflect Influencer’s honest opinions and actual experiences.

8. LIMITATION OF LIABILITY AND INDEMNIFICATION

8.1 Indemnification: Influencer agrees to indemnify and hold harmless Company from any claims, damages, or expenses arising out of a breach of the representations contained herein or any third-party claim resulting from Influencer’s content. 8.2 Limitation: In no event shall either party be liable for consequential, incidental, or indirect damages. Total liability under this Agreement shall not exceed the total Fee paid.

9. DISPUTE RESOLUTION AND GOVERNING LAW
