2. Recitals
WHEREAS, the Company desires to retain the Contractor to perform certain services as an independent contractor, and the Contractor desires to provide such services to the Company;
WHEREAS, the Company and Contractor desire to enter into an agreement defining the terms and conditions under which the Contractor will provide services to the Company;

3. Scope of Services

4. Term and Termination

6. Independent Contractor Status

7. Confidentiality
7.1. Definition: "Confidential Information" means all non-public information, whether written or oral, disclosed by the Company to the Contractor, or otherwise obtained by the Contractor during the course of performing the Services, including but not limited to business plans, financial data, customer lists, product designs, software code, trade secrets, and marketing strategies.
7.2. Obligations: The Contractor agrees to: * (a) Keep all Confidential Information strictly confidential. * (b) Use Confidential Information solely for the purpose of performing the Services. * (c) Not disclose, publish, or otherwise disseminate Confidential Information to any third party without the Company's prior written consent. * (d) Take all reasonable precautions to protect the secrecy of and prevent unauthorized access to Confidential Information.
7.3. Return of Information: Upon termination or expiration of this Agreement, the Contractor shall immediately return to the Company or destroy all Confidential Information and all copies thereof, as directed by the Company.
8. Intellectual Property
8.1. Company IP: All intellectual property (including but not limited to copyrights, trademarks, patents, and trade secrets) developed, created, or conceived by the Contractor, either alone or with others, in the course of performing the Services under this Agreement ("Work Product") shall be the sole and exclusive property of the Company.
8.2. Assignment: The Contractor hereby assigns to the Company all rights, title, and interest in and to the Work Product. Contractor agrees to execute all documents reasonably requested by the Company to perfect such assignment.
8.3. Pre-existing IP: The Contractor retains ownership of any intellectual property owned by the Contractor prior to this Agreement. If Contractor incorporates any pre-existing IP into Work Product, Contractor grants Company a perpetual, worldwide, royalty-free license to use, reproduce, modify, and distribute such pre-existing IP as part of the Work Product.
9. Representations and Warranties
9.1. Contractor Warrants: The Contractor represents and warrants that: * (a) It has the full power and authority to enter into this Agreement and perform the Services. * (b) The Services will be performed in a professional manner and will not infringe upon the intellectual property rights of any third party. * (c) It holds all necessary licenses and permits to perform the Services.
10. Indemnification
10.1. Contractor Indemnity: The Contractor shall indemnify, defend, and hold harmless the Company, its officers, directors, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: * (a) Any breach by the Contractor of this Agreement. * (b) Any negligent or willful act or omission of the Contractor in the performance of the Services. * (c) Any claim that the Services or Work Product infringe upon the intellectual property rights of a third party.
