  1. Drafting: Replace all bracketed text (e.g., [Amount in USD]) with the specific terms negotiated. Ensure Exhibit A (the Scope of Services) is clearly defined to prevent "scope creep."
  2. Verification: Confirm that the person signing on behalf of the Proposer and Client has "Signature Authority" (e.g., CEO, CFO, or authorized Director) as per their company bylaws.
  3. Digital Execution: Utilize a compliant e-signature platform such as DocuSign, Adobe Sign, or HelloSign. Ensure the "Audit Trail" feature is enabled to create a legally binding record of the intent and identity of the signers.
  4. Distribution: Once signed, distribute a PDF copy of the fully executed agreement to both parties.
  5. Retention: Store the original signed contract in a secure, encrypted digital repository (or physical fireproof safe) for at least seven (7) years post-termination for tax and potential litigation purposes.
