WHEREAS, the Provider agrees to provide such services under the terms, covenants, and conditions hereinafter detailed.

NOW, THEREFORE, in consideration of the mutual covenants, promises, representations, and warranties contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

Section 1. Scope of Services & Engagement

1.1 Engagement. The Client hereby engages the Provider, and the Provider accepts such engagement, to perform the professional project structuring, financial modeling, environmental and social safeguards (ESS) alignment, gender assessment integration, and proposal drafting services necessary to produce a fully compliant and actionable funding proposal package intended for submission to the Green Climate Fund (GCF) and/or its accredited entities (collectively, the "Services"). 1.2 Deliverables. The specific milestones, project descriptions, target GCF result areas, and deliverable schedules are set forth in Exhibit A (Statement of Work), which is incorporated herein by this reference. The Provider shall execute the Services with that degree of professional skill, diligence, and expertise recognized by top-tier international project finance and advisory firms. 1.3 Client Cooperation. The Client shall provide the Provider with all necessary baseline data, technical studies, financial statements, stakeholder consultation records, and institutional documentation within the timeframes reasonably requested by the Provider to ensure timely completion of the Services.

Section 2. Compensation & Payment Terms

2.1 Professional Fees. In consideration for the full and faithful performance of the Services, the Client shall pay to the Provider the total aggregate sum of [Amount in USD] United States Dollars (USD), payable in accordance with the milestone schedule set forth in Exhibit B (Fee and Milestone Schedule). 2.2 Invoicing. The Provider shall issue formal invoices to the Client upon the successful completion and acceptance of each respective milestone. Invoices shall be transmitted via electronic mail to [Client Billing Email Address]. 2.3 Payment Terms. All invoices shall be due and payable in full in immediately available funds via wire transfer within thirty (30) calendar days of the invoice date (the "Due Date"). 2.4 Late Payments and Interest. Any invoice amount not paid when due shall accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable law, calculated daily and compounded monthly from the Due Date until the date of actual payment in full. 2.5 Suspension of Services. If any undisputed invoice remains unpaid for more than fifteen (15) calendar days following the Due Date, the Provider reserves the right, upon written notice to the Client, to suspend the performance of any and all Services until such time as all outstanding invoices and accrued late interest are paid in full. Such suspension shall not relieve the Client of any payment obligations nor constitute a breach of this Agreement by the Provider.

Section 3. Term & Termination

3.1 Term. This Agreement shall commence on the Effective Date and shall continue in full force and effect until the completion of the Services and final submission of the Funding Proposal to the GCF (or the relevant accredited entity), or until terminated earlier in accordance with this Section 3 (the "Term"). 3.2 Termination for Convenience. The Client may terminate this Agreement, in whole or in part, for its absolute convenience at any time upon providing thirty (30) calendar days' prior written notice to the Provider. Upon receipt of such notice, the Provider shall immediately cease all non-essential work. The Client shall pay the Provider for all Services performed up to the effective date of termination, plus any non-cancellable commitments incurred by the Provider in good faith prior to notice. 3.3 Termination for Cause. Either Party may terminate this Agreement immediately upon written notice if the other Party materially breaches any of its material obligations hereunder and fails to cure such material breach within thirty (30) calendar days after receipt of written notice detailing the specific breach. 3.4 Insolvency and Bankruptcy. This Agreement shall terminate automatically, without notice, if either Party files a petition in bankruptcy, is adjudicated bankrupt, makes an assignment for the benefit of creditors, invokes any provision of law for the relief of debtors, or has a receiver appointed for all or a substantial portion of its assets.

Section 4. Intellectual Property Ownership & Work Made for Hire

4.1 Pre-Existing Intellectual Property. Each Party shall retain exclusive ownership of all patents, trademarks, trade secrets, copyrights, software, methodologies, templates, financial models, and proprietary frameworks owned or developed by such Party prior to the Effective Date or independently of this Agreement ("Pre-Existing IP"). 4.2 Work Made for Hire & Deliverables. Subject to full payment of all compensation due under Section 2, all customized deliverables, draft funding proposals, environmental assessments, and project documents specifically compiled, drafted, or generated by the Provider for the Client pursuant to this Agreement (collectively, the "Work Product") shall be deemed "work made for hire" to the extent permitted by law. To the extent that any Work Product does not qualify as a work made for hire, the Provider hereby irrevocably assigns, transfers, and conveys to the Client all right, title, and interest worldwide in and to such Work Product, excluding Provider's Pre-Existing IP and underlying methodologies. 4.3 License to Pre-Existing IP. The Provider hereby grants to the Client a perpetual, irrevocable, non-exclusive, royalty-free, worldwide license to use, incorporate, and deploy any Pre-Existing IP embedded within the Work Product solely as necessary for the utilization, maintenance, and implementation of the GCF Funding Proposal.

Section 5. Mutual Confidentiality & Non-Disclosure

Confidential Information shall not include information that: (a) is or becomes generally known to the public through no breach of this Agreement by the Receiving Party; (b) was already known to the Receiving Party prior to disclosure without confidentiality restrictions; (c) is independently developed by the Receiving Party without reference to or use of the Disclosing Party's Confidential Information; or (d) is rightfully received from a third party without duty of confidentiality. 5.4 Legal Compulsion. If the Receiving Party is legally compelled by deposition, interrogatory, request for documents, subpoena, civil investigative demand, or similar judicial or regulatory process to disclose any Confidential Information, it shall, to the extent legally permitted, provide prompt prior written notice to the Disclosing Party so that the Disclosing Party may seek a protective order or other appropriate remedy.

EXCEPT FOR BREACHES OF SECTION 5 (CONFIDENTIALITY) OR INDEMNIFICATION OBLIGATIONS UNDER SECTION 7.3, EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL BE STRICTLY LIMITED TO AND SHALL IN NO EVENT EXCEED THE TOTAL FEES ACTUALLY PAID BY THE CLIENT TO THE PROVIDER UNDER THIS AGREEMENT IN THE TWELVE (12) MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO LIABILITY. 7.3 Indemnification by Client. The Client agrees to defend, indemnify, and hold harmless the Provider, its directors, officers, employees, agents, and subcontractors from and against any and all third-party claims, liabilities, losses, damages, judgments, and reasonable expenses (including reasonable attorneys' fees) arising out of or resulting from: (a) the Client's breach of any representation, warranty, or covenant under this Agreement; (b) the accuracy, completeness, or authenticity of data, financial projections, or technical studies provided by the Client; or (c) the operational implementation, execution, or environmental/social impacts of the underlying GCF project.
