INSTRUCTIONS FOR USE

• Completion: This document must be completed by the Company’s Hiring Manager and the Freelancer. Ensure all bracketed fields are filled before execution.
• Attachments: Mandatory attachments include: (i) Detailed Statement of Work (SOW), (ii) Form W-9 (or local equivalent), and (iii) Proof of professional liability insurance (if applicable).
• Retention: The executed original must be stored in the Company’s legal/HR repository for a period of seven (7) years following the termination of the engagement.

5. INTELLECTUAL PROPERTY & CONFIDENTIALITY

• Work Product: All deliverables produced under this Agreement are "work made for hire" and shall remain the exclusive property of the Company.
• Confidentiality: Freelancer shall maintain strict confidentiality regarding all proprietary information, trade secrets, and non-public data obtained during this engagement.

6. TERMINATION

Either party may terminate this Agreement upon [____] days written notice. In the event of material breach, the non-breaching party may terminate immediately.
