STATUTORY & LEGAL COMPLIANCE NOTICE

DISCLAIMER: This document is a template provided for informational purposes by legal counsel. It does not constitute specific legal advice or create an attorney-client relationship. Housing loans are subject to complex federal, state, and local regulations (e.g., Truth in Lending Act, RESPA, usury laws). Parties must consult with local legal counsel to ensure compliance with specific jurisdictional statutes, consumer protection laws, and recording requirements (e.g., mortgage/deed of trust registration).

1. PARTIES AND RECITALS

This Promissory Note (the "Note") is entered into as of the Effective Date by and between:

LENDER: [Lender Full Legal Name], with a principal address at [Full Address] ("Lender").

BORROWER: [Borrower Full Legal Name], with a principal address at [Full Address] ("Borrower").

RECITALS: WHEREAS, Lender has agreed to loan Borrower the principal sum of [Amount in USD] (the "Principal") for the purpose of [Purpose, e.g., residential property acquisition/renovation]; and WHEREAS, Borrower agrees to repay the Principal plus interest according to the terms set forth herein.

2. OPERATIVE CLAUSES

2.1 Promise to Pay. For value received, Borrower promises to pay to the order of Lender the Principal sum of [Amount in USD] in lawful money of the United States, together with interest on the unpaid principal balance at the rate of [Percentage]% per annum (the "Interest Rate"), calculated on a [360/365]-day year basis.

2.2 Payment Schedule. The Principal and accrued interest shall be due and payable as follows: [e.g., Monthly installments of $X beginning on Date, continuing until Date, at which time the remaining balance shall be due in full].

2.3 Late Charges. If any payment is not received by Lender within [Number] days of the due date, Borrower shall pay a late charge of [Percentage]% of the overdue amount to cover the costs of collection and administrative processing.

2.4 Prepayment. Borrower reserves the right to prepay the Principal in whole or in part at any time without penalty. Any partial prepayments shall be applied first to accrued interest and then to the reduction of the Principal.

2.5 Default and Acceleration. An "Event of Default" occurs if Borrower fails to make any payment when due or breaches any material covenant herein. Upon an Event of Default, and after providing a [Number]-day cure period, Lender may declare the entire unpaid Principal and accrued interest immediately due and payable.

2.6 Governing Law and Venue. This Note shall be governed by and construed in accordance with the laws of the State of [State]. Any legal action arising hereunder shall be brought exclusively in the courts located in [County, State].

2.7 Attorney’s Fees and Costs. If this Note is placed in the hands of an attorney for collection, or if it is collected through any legal proceeding, Borrower agrees to pay all reasonable attorney’s fees and court costs incurred by Lender.

2.8 Severability. If any provision of this Note is held to be invalid or unenforceable, such provision shall be severed, and the remaining provisions shall continue in full force and effect.

2.9 Entire Agreement. This Note constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior discussions or memoranda.

3. EXECUTION AND SIGNATURE BLOCKS

FOR [LENDER LEGAL NAME]: Signature: _____________________________________ Printed Name: [Authorized Signatory Name] Title: [Title / Role] Company: [Lender Legal Name] Date: [Date]

FOR [BORROWER LEGAL NAME]: Signature: _____________________________________ Printed Name: [Borrower Name] Title: [Borrower / Individual] Date: [Date]

4. STEP-BY-STEP EXECUTION & FILING GUIDE

  1. Drafting & Customization: Download this document into a word processor. Use the "Find/Replace" function to replace all bracketed fields (e.g., [Amount in USD]) with the specific terms agreed upon by both parties.
  2. Regulatory Review: Before execution, verify if the loan requires a separate Mortgage or Deed of Trust to be recorded against the property title in the county recorder’s office. If the loan is "secured," the Promissory Note alone is often insufficient to establish a lien on the property.
  3. Signatory Verification: Ensure the individuals signing have the legal capacity to bind the entities. If the Lender is a corporation, ensure the signer holds a position of authority (CEO/CFO/General Counsel).
  4. Digital Execution: Utilize a compliant e-signature platform such as DocuSign, Adobe Sign, or HelloSign. Ensure "Audit Trail" or "Certificate of Completion" is enabled to capture IP addresses and timestamps for evidentiary support.
  5. Notarization: While not strictly required for a Note in many jurisdictions, having the signatures acknowledged by a Notary Public is strongly recommended to prevent future disputes regarding the authenticity of the signatures.
  6. Record Retention: The original executed document should be kept in a secure, fireproof, or encrypted digital environment for the duration of the loan term plus the applicable statute of limitations (typically 7–10 years post-maturity).
