INSTRUCTIONS FOR USE

• Completion: Both the Client and the Freelancer must complete all bracketed fields. Ensure the Scope of Work is attached as an addendum to avoid ambiguity.
• Filing & Retention: Both parties should retain a signed digital original for a minimum of seven (7) years following the termination of the engagement for tax and audit purposes.
• Attachments: Mandatory attachments include Exhibit A (Statement of Work/Deliverables) and, if applicable, Exhibit B (Confidentiality & IP Assignment Agreement).

1. PARTIES

2. SCOPE OF SERVICES

Freelancer agrees to perform the services described in the attached Exhibit A: Statement of Work.

• Performance Standard: Freelancer shall perform services in a professional and workmanlike manner, consistent with industry standards.
• Deadlines: Time is of the essence regarding the milestones set forth in Exhibit A.

3. COMPENSATION & RETAINER TERMS

4. INDEPENDENT CONTRACTOR STATUS

The parties agree that Freelancer is an independent contractor. Nothing in this Agreement shall be construed to create an employer-employee relationship, partnership, or joint venture. Freelancer is responsible for all taxes, withholdings, and insurance.

5. INTELLECTUAL PROPERTY & OWNERSHIP

• Work Product: All work product created under this Agreement shall be deemed "work made for hire" and shall remain the exclusive property of the Client upon full payment of fees.
• Pre-existing IP: Freelancer retains ownership of all pre-existing tools, methodologies, and templates.

6. CONFIDENTIALITY

Freelancer shall not disclose any proprietary or confidential information of the Client to any third party during or after the term of this Agreement without prior written consent.

7. TERM & TERMINATION

• Term: This Agreement shall commence on [____/____/2026] and continue until terminated by either party.
• Termination: Either party may terminate this agreement with [__________] days' written notice. In the event of early termination, Client shall pay for all services performed up to the date of termination.
