Any attempted Transfer in violation of this Agreement shall be null and void ab initio, and the Corporation shall not record any such Transfer on its books.
  2. Right of First Refusal (ROFR): If any Shareholder (the "Selling Shareholder") receives a bona fide, written, arm's-length offer from a third party to purchase any or all of their Shares (the "Offered Shares"), which the Selling Shareholder desires to accept, the Selling Shareholder shall first deliver written notice (the "Transfer Notice") to the Corporation and the non-selling Shareholders. Severability: If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. If modification is not possible, the provision shall be deemed severed from this Agreement, and the remaining provisions shall remain in full force and effect, provided that the essential economic and legal substance of the transactions contemplated hereby is not affected in any manner adverse to any Party.
  2. Entire Agreement: This Agreement, along with Schedule A and any associated exhibits, constitutes the entire agreement between the Parties concerning the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to such subject matter.

Force Majeure: No Party shall be liable or responsible to the other Parties, nor be deemed to have defaulted under or breached this Agreement, for any failure or delay in fulfilling or performing any term of this Agreement when and to the extent such failure or delay is caused by or results from a Force Majeure event, provided that the affected Party gives prompt written notice to the other Parties and uses commercially reasonable efforts to resume performance.
  4. Governing Law: This Agreement, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, enforced under, and construed in accordance with the internal laws of the State/Jurisdiction of [Jurisdiction], without regard to its conflict of laws principles.

    • Negotiation: In the event of any dispute arising out of or relating to this Agreement, the disputing Parties shall first attempt in good faith to resolve the matter through direct negotiations between executive leadership.
    • Binding Arbitration: If the dispute is not resolved within thirty (30) days of the initial demand for negotiation, the dispute shall be submitted to final and binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.
