Instructions for Use

• Completion: The Client and Freelancer must complete all bracketed fields. Ensure the "Scope of Services" explicitly defines the depth of review (e.g., proofreading vs. copyediting).
• Filing/Retention: Both parties must retain a fully executed digital or physical copy in their respective administrative records for a minimum of seven (7) years post-termination.

4. INDEPENDENT CONTRACTOR STATUS

5. CONFIDENTIALITY

The Freelancer acknowledges that they may have access to proprietary information. Freelancer agrees to hold all such information in strict confidence and not to disclose, copy, or use it for any purpose outside the scope of this Agreement.

6. INTELLECTUAL PROPERTY

Upon full payment of fees, all final work product shall be considered "work made for hire" and shall become the sole and exclusive property of the Client. The Freelancer retains no rights to the final deliverables provided under this Agreement.

7. TERMINATION

• For Cause: Either party may terminate this agreement immediately upon written notice if the other party breaches any material term.
• For Convenience: Either party may terminate with [__________] days' written notice. In the event of early termination, the Freelancer shall be compensated for all work performed up to the date of termination.
