3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS
Section 1. Principal Amount and Interest Rate
1.1 Principal Sum. For value received, Maker promises to pay to the order of Payee the principal sum of [Written Amount] United States Dollars ($[Numerical Amount]), together with interest accrued thereon in accordance with the terms of this Promissory Note (this "Note").
1.2 Interest Rate. The outstanding principal balance of this Note shall bear interest at the rate of [Interest Rate, e.g., 8]ঙ্গার% per annum, calculated on the basis of a 360-day year and the actual number of days elapsed, or the maximum rate permitted by applicable New York usury laws, whichever is lower.
1.3 Default Interest. Upon the occurrence and during the continuance of any Event of Default under this Note, the entire outstanding principal balance and, to the extent permitted by applicable law, any overdue interest, shall bear interest at the lesser of eighteen percent (18%) per annum or the maximum rate permitted by applicable law (the "Default Rate"), payable on demand.
Section 2. Repayment Terms and Maturity
2.1 Maturity Date. The entire outstanding principal balance of this Note, together with all accrued and unpaid interest and any other charges or fees due hereunder, shall be due and payable in full on [Maturity Date] (the "Maturity Date"), unless accelerated earlier in accordance with the terms of this Note.
2.2 Installment Payments (If Applicable). If this Note is structured on an installment basis, Maker shall make consecutive monthly installments of principal and interest in the amount of [Monthly Payment Amount] United States Dollars ($[Numerical Amount]) on the [Day of Month, e.g., 1st] day of each calendar month, commencing on [Commencement Date], and continuing until the Maturity Date, at which time all remaining sums due hereunder shall be paid in full.
2.3 Application of Payments. All payments remitted by Maker pursuant to this Note shall be applied first to any collection costs, expenses, or late charges incurred by Payee, second to accrued and unpaid interest, and third to the reduction of the outstanding principal balance.
2.4 Method and Place of Payment. All payments of principal and interest shall be made in lawful money of the United States of America by wire transfer of immediately available funds to an account designated in writing by Payee, or by check delivered to Payee’s principal address set forth above, or at such other place as Payee may from time to time designate in writing to Maker. If any payment due date falls on a Saturday, Sunday, or legal holiday in the State of New York, such payment shall be made on the next succeeding business day.
Section 3. Prepayment Privileges
3.1 Voluntary Prepayment. Maker reserves the right to prepay this Note, in whole or in part, at any time and from time to time, without premium or penalty. Any partial prepayment shall be applied against the principal installments last maturing and shall not postpone the due dates of any subsequent regular installments scheduled under Section 2.2, unless otherwise agreed in writing by Payee.
Section 4. Events of Default
The occurrence of any one or more of the following events shall constitute an "Event of Default" under this Note:
4.1 Failure to Pay. Maker fails to pay any principal, interest, or other sum due under this Note within [Grace Period, e.g., 10] days of the date when due.
4.2 Breach of Covenants. Maker fails to observe, perform, or comply with any other covenant, term, or condition contained in this Note or any related security agreement, and such failure continues for a period of [Cure Period, e.g., 30] days after written notice thereof from Payee to Maker.

4.4 Judgment. Entry of any final judgment, order, or decree against Maker in an amount exceeding [Dollar Threshold, e.g., $50,000] that remains unsatisfied, unvacated, or unstayed for a period of thirty (30) consecutive days.
Section 5. Acceleration of Maturity & Remedies
5.1 Acceleration. Upon the occurrence of any Event of Default and at any time thereafter (such default not having been cured), Payee may, at its sole option, declare the entire unpaid principal balance of this Note, together with all accrued and unpaid interest thereon and all other sums due under this Note, to be immediately due and payable without presentment, demand, protest, or notice of any kind, all of which are hereby expressly waived by Maker. 5.2 Remedies Cumulative. No failure or delay on the part of Payee in exercising any right, power, or privilege under this Note shall operate as a waiver thereof, nor shall any single or partial exercise of any right, power, or privilege preclude any other or further exercise thereof or the exercise of any other right, power, or privilege. The rights and remedies of Payee provided herein are cumulative and exclusive of any rights or remedies provided by law. 5.3 Cost of Collection and Legal Fees. If this Note is placed in the hands of an attorney for collection, or if suit is instituted for collection of this Note, or if it is enforced through any bankruptcy, probate, or other judicial proceeding, Maker promises to pay to Payee all costs and expenses of collection, including, without limitation, reasonable attorneys’ fees, court costs, and legal expenses, whether or not litigation is formally commenced.
Section 6. Waivers and Consents
6.1 Waiver of Presentment and Notice. Maker, and any endorsers, sureties, guarantors, and all other parties now or hereafter liable for the payment of this Note, severally waive presentment for payment, demand, notice of dishonor, protest, notice of protest, notice of intent to accelerate, notice of acceleration, and all other notices or demands in connection with the delivery, acceptance, performance, default, or enforcement of this Note. 6.2 No Waiver by Payee. No indulgence, waiver, or modification of any term or provision of this Note shall be binding upon Payee unless expressed in a written instrument signed by Payee.
Section 7. Governing Law, Jurisdiction, and Venue
7.1 Governing Law. This Note, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Note, shall be governed by, and enforced in accordance with, the internal laws of the State of New York, without regard to its conflict of laws principles.
7.2 Consent to Jurisdiction. Maker irrevocably and unconditionally submits to the exclusive jurisdiction of the State courts located in [County Name, e.g., New York] County, New York, or the United States District Court for the [District Name, e.g., Southern District of New York], for any action, suit, or proceeding arising out of or relating to this Note. Maker irrevocably waives, to the fullest extent permitted by law, any objection that it may now or hereafter have to the laying of the venue of any such action, suit, or proceeding brought in any such court and any claim that any such action, suit, or proceeding has been brought in an inconvenient forum.
7.3 WAIVER OF JURY TRIAL. MAKER AND PAYEE EACH HEREBY KNOWINGLY, VOLUNTARILY, AND INTENTIONALLY WAIVE, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANY RIGHT TO TRIAL BY JURY IN ANY LEGAL ACTION, PROCEEDING, LAWSUIT, OR COUNTERCLAIM ARISING OUT OF OR RELATING TO THIS NOTE OR THE TRANSACTIONS CONTEMPLATED HEREBY.
Section 8. Miscellaneous Provisions
8.1 Successors and Assigns. This Note shall be binding upon Maker and Maker's heirs, legal representatives, successors, and assigns, and shallure to the benefit of Payee and Payee's successors and assigns. Maker may not assign, transfer, or delegate any of its rights or obligations under this Note without the prior written consent of Payee. Payee may freely assign or transfer this Note in whole or in part. 8.2 Severability. If any provision of this Note is held to be invalid, illegal, or unenforceable by any court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the provision shall be deemed severed from this Note. The invalidity, illegality, or unenforceability of any provision shall not affect the validity, legality, or enforceability of the remaining provisions hereof. 8.3 Entire Agreement; Amendments. This Note constitutes the entire agreement between Maker and Payee with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral. This Note may not be amended, modified, or changed except by a written instrument executed by both Maker and Payee. 8.4 Notices. All notices, requests, demands, and other communications required or permitted under this Note shall be in writing and shall be deemed to have been duly given if delivered personally, sent by nationally recognized overnight courier service with tracking, or sent by certified or registered mail, postage prepaid, return receipt requested, addressed to the respective parties at the addresses set forth in the preamble of this Note (or to such other address as a party may designate by notice to the other party). 8.5 Headings. 5. STEP-BY-STEP EXECUTION & FILING GUIDE
Step 1: Document Customization
Open this document in Microsoft Word, Google Docs, or an equivalent word processor. Locate all bracketed terms (e.g., [Maker Full Legal Name], [Principal Amount], [Maturity Date]) and replace them with accurate, verified information. Ensure all numerical figures match their written text counterparts (e.g., $100,000 and "One Hundred Thousand United States Dollars").
Step 2: Verification of Signatory Authority
Verify that the individual signing on behalf of the Maker possesses the legal capacity and corporate authority to bind the entity (e.g., via corporate resolutions, operating agreement, or bylaws). If the Maker is an individual, verify their identity using government-issued photo identification.
Step 3: Execution and Formalization
Print two physical copies of the fully completed document for "wet-ink" execution, or upload the final document to an institutional digital signature platform (such as DocuSign or Adobe Sign). Both Maker and Payee must sign and date the signature blocks. If required by specific transaction terms or for evidentiary purposes under New York CPLR, signatures should be executed in the presence of a Notary Public.
Step 4: Record Retention and Security
Store the executed original Promissory Note in a secure, fireproof physical vault or an encrypted digital document repository with restricted access. Because a promissory note functions as a negotiable instrument under certain frameworks, physical possession of the original wet-ink document may be required to enforce collection or transfer rights. Retain complete records for a minimum of six (6) years following the full satisfaction and discharge of the debt, or in accordance with applicable New York statute of limitations frameworks for written contracts (CPLR § 213).
