Instructions for Use

• Completion: Both the Client and the Designer must complete all bracketed fields. Ensure all Exhibits (Scope of Work/Rate Sheets) are appended prior to signing.
• Filing & Retention: Upon execution, a digital original must be stored in a secure corporate document management system. Retain all signed copies for a minimum of seven (7) years following the contract expiration.
• Attachments: Mandatory attachments include Exhibit A (Project Scope/Deliverables) and Exhibit B (Compensation/Fee Schedule).

4. INTELLECTUAL PROPERTY (IP) OWNERSHIP

Upon full payment of fees, all designs, patterns, sketches, and technical packs created under this Agreement shall be considered "Work Made for Hire" and the sole property of the Company. Designer hereby assigns all right, title, and interest in such works to the Company.

5. CONFIDENTIALITY

Designer acknowledges that they may have access to proprietary trade secrets, including but not limited to: textile sourcing, pricing structures, marketing strategies, and unreleased design concepts. Designer agrees to maintain strict confidentiality during and after the term of this engagement.

6. INDEPENDENT CONTRACTOR STATUS

Designer is an independent contractor, not an employee. Designer is solely responsible for all federal, state, and local taxes, insurance, and benefits.

7. TERMINATION

Either party may terminate this agreement with written notice of [__________] days. In the event of termination, Designer shall be compensated for all work completed and approved up to the date of notice.

8. GOVERNING LAW
